ON CALL STREET STRIPING SERVICES
This is Amendment No. 2 (“Amendment No. 2”) to that certain Contract Services Agreement (“Agreement”) made on February 7, 2024 , between the City of Menifee (“City”) and SUPERIOR PAVEMENT MARKINGS, INC. (“Contractor”) for ON CALL STREET STRIPING SERVICES, as amended by that certain Amendment No. 1 to the Agreement entered into on December 4, 2024 (“Amendment No. 1”) , which this Amendment No. 2 is made and entered into on ______________, 2026 to update the entity name, extend the term of services , and increase the compensation amount as indicated below:
1. Capitalized terms used but not defined in this Amendment No. 2 shall have the meanings ascribed to them in the Agreement.
2. The Contractor filed a Certificate of Conversion with the California Secretary of State on June 10, 2025, to convert its entity type from a Corporation to a Limited Liability Company. Contractor agrees that as successor in interest to SUPERIOR PAVEMENT MARKINGS, INC., Contractor shall remain liable for all obligations, actions, and omissions of SUPERIOR PAVEMENT MARKINGS, INC. under the Agreement. Further, the parties agree that as of June 10, 2025, all references to Contractor under the Agreement shall mean and refer to SUPERIOR PAVEMENT MARKINGS, LLC , without relieving SUPERIOR PAVEMENT MARKINGS, INC. from any liability thereunder.
3. Section 1.2, “Term of Services” is amended to read as follows:
1.2 Term of Services . The term of this Agreement shall begin on February 12, 2024 and shall end on January 31, 2027, unless the term of the Agreement is otherwise terminated or extended as provided for in Section
8. The time provided to Contractor to complete the Services required by this Agreement shall not affect the City's right to terminate this Agreement, as provided for in Section 8.
4. Section 2.1, “Contract Amount” is amended to increase the maximum compensation by One Hundred Thousand Dollars and Zero Cents ($100,000.00), and is amended to read as follows:
2.1 Contract Amount. City hereby agrees to pay Contractor a sum not to exceed Three Hundred Ten Thousand Dollars and Zero Cents ($310,000.00) notwithstanding any contrary indications that may be contained in Contractor’s proposal or bid, for the Services to be performed and reimbursable costs incurred under this Agreement. This compensation may be administratively adjusted pursuant to Section 8.4 herein. In the event of a conflict between this Agreement and Exhibit B, regarding the amount of

compensation, this Agreement shall prevail. City shall pay Contractor for the Services rendered pursuant to this Agreement at the time and in the manner set forth herein. The payments specified in this Section 2 shall be the only payments from City to Cont ractor for the Services rendered pursuant to this Agreement. Contractor shall submit all invoices to City in the manner specified herein.
5. All other terms and conditions of the Agreement remain in full force and effect.
6. This Amendment No. 2 may be executed in multiple counterparts, each of which shall be an original and all of which together shall constitute one agreement.
