Amendment 3 to Software License Agreement
This Amendment is made and entered into by and between enCodePlus, LLC, a Texas limited liability company (“Licensor”), and the City of Menifee, CA (“Licensee”), and is effective as of the date of signature below.
Agreement Details
• Original Agreement and Amendments : Th e Original Amendment was modified on July 7, 2021 (Amendment #1) and on January 9, 2026 (Amendment #2). the Software License Agreement originally entered into between Licensor and Licensee on August 13, 2018, and amended on July 7, 2021 . The details are as follows

• Amendment
3. License Renewal
a. Term. The Software License Agreement is hereby extended from August 12, 2026 through August 11, 2029.
b. Annual Fee. The U.S. Consumer Price Index (CPI) increased from an average of 251.23 in 2018 to 335.12 in 2026, marking a cumulative inflation rate of about 33.4% over this 8-year period.
This represents an average annualized inflation rate of roughly 3.67% per year, which increases the annual license fee of $4,250 to $5,670. Including the annual fees for the premium features and WCAG Annual Update, the new Annual License and Maintenance Fee amounts to $19,120.
Effect of Amendment: All other terms and conditions of the Agreement remain unchanged and in full force and effect.
