THIRD AMENDMENT TO AGREEMENT FOR
PROFESSIONAL SERVICES
THIS THIRD AMENDMENT TO AGREEMENT is made and entered into this _day of , 2022, by and between the City of Merced, a California Charter Municipal Corporation ("City"), and LABWORKS, LLC., a Wisconsin Limited Liability Company, whose address of record is 230 North 1200 East, Suite 202, Lehi, Utah 84043, ("Consultant").
WHEREAS, City is undertaking a project to utilize a laboratory information management system (LIMS); and,
WHEREAS, City and Consultant have previously entered into an Agreement for Professional Services ("Agreement") dated June 3, 2019; and, WHEREAS, City and Consultant entered into a First Amendment dated March 16, 2020 to add a field sampling module and 10 additional training days; and,
WHEREAS, City and Consultant entered into a Second Amendment dated July 6, 2021 to add additional days of training and configuration to the LIMS System for inventory calibration and reporting; and,
WHEREAS, City and Consultant desire to amend said Agreement to provide for additional compensation in connection with said project.
NOW, THEREFORE, the parties hereto, in consideration of the mutual covenants hereinafter recited, agree as follows:
1. Section 26, "ADDITIONAL COMPENSATION," is hereby added to the Agreement to read as follows:
"SECTION 26. ADDITIONAL COMPENSATION.
City shall pay to Consultant the not to exceed additional sum of Three Thousand Dollars ($3,000.00) for
laboratory field application software support for years 4 and 5 ($1,500.00 per year) as described in Exhibit "1." X: \Agreements|WWTP-General\2022\3rd Amendment PSA - LABWORKS Re LIMS. docx Except as herein amended, the Agreement dated June 3, 2019, First Amendment dated March 16, 2020 and Second Amendment dated July 6, 2021 shall remain in full force and effect.
IN WITNESS WHEREOF, the parties have caused this Third Amendment to Agreement to be executed on the date first above written.
