DEPOSIT AND REIMBURSEMENT AGREEMENT

THIS DEPOSIT AND REIMBURSEMENT AGREEMENT (the
"Agreement") is made and entered into as of this __ day of _____ _ 2023, by and between the City of Merced, a California Charter Law Municipal Corporation ("City t) and Campus Parkway Plaza 1, LLC, a California Limited Liability Company ("Developer").
RECITALS
WHEREAS, the City Council of the City of Merced proposes to establish one or more Community Facilities Districts (the "District") pursuant to the provi sions of the Mello-Roos Community Facilities Act of 1982, as amended, commencing with Section 53311 of the Government Code of the State of California (hereinafter referred to as the "Act"). The initial boundaries of the proposed District are depicted on the map attached hereto and incorporated herein as Exhibit "A"; and,
WHEREAS, Developer has an approved Site Plan Review (SP #439) allowing construction of a new facility on approximately 8.10 acres (the "Property"), as shown on the map attached hereto and incorporated herein by this reference as Exhibit "B"; and,
