SECOND AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT
THIS SECOND AMENDMENT TO AGREEMENT is made and entered
into this_ day of _____ , 20_, by and between the City of Merced, a California Charter Municipal Corporation ("City"), and Kiwanis Club of Greater Merced Foundation, a California Non Profit Corporation, ("Contractor").
WHEREAS, City is undertaking a project to provide non-profit support to mitigate the impact of COVID-19 through the American Rescue Plan Act; and, WHEREAS, City and Contractor have previously entered into an Agreement for Professional Services ("Agreement") dated July 1, 2022; and, a First Amendment dated July 1, 2023.
WHEREAS, City and Contractor had to amend Contractor's Joint Land Use Agreement to accommodate the new site plan (Exhibit A); and WHEREAS, the Amended and Restated Joint Land Use Agreement took a considerable amount of project time; and,
WHEREAS, City and Contractor desire to amend said Agreement to extend the term of the agreement to allow Contractor time to complete the project.
NOW, THEREFORE, the parties hereto, in consideration of the mutual covenants hereinafter recited, agree as follows:
1. Section 3, "TERM OF AGREEMENT," is hereby amended to the Agreement to read as follows:
"SECTION 3, TERM OF AGREEMENT. The term of
this Agreement shall commence on July 1, 2022 and shall end on June 30, 2026.
2. Except as herein amended, the Agreement dated July 1, 2022, shall remain in full force and effect, and First Amendment dated July 1, 2023.
