SECOND AMENDMENT TO
LEGAL SERVICES AGREEMENT
THIS SECOND AMENDMENT TO LEGAL SERVICES AGREEMENT is
made and entered into this _ day of _ 2025, by and between the City of Merced, a California Charter Municipal Corporation ("City"), and Prentice|Long, PC, ("Law Firm").
WHEREAS, City and Law Firm have previously entered into a Legal Services Agreement ("'Agreement") dated February 20, 2024, for a total not to exceed sum of $75,000;
WHEREAS, City and Law Firm have previously entered into a First Amendment to Agreement dated April 15, 2024, adding an additional $40,000 in compensation to make the total not to exceed contract amount of $115,000 for the Agreement; and
WHEREAS, City and Law Firm desire to amend said Agreement to provide for $60,000 in additional compensation.
NOW, THEREFORE, the parties hereto, in consideration of the mutual covenants hereinafter recited, agree as follows:
Section 2.10, "ADDITIONAL COMPENSATION," is hereby added to the Agreement to read as follows:
"SECTION 2.10. ADDITIONAL COMPENSATION.
City shall pay to Law Firm the not to exceed additional sum of Sixty Thousand Dollars ($60,000.00) for work
performed under the Agreement in accordance with the
rates set forth in the Agreement dated February 20, 2024, bringing the total compensation amount of the
Agreement to $175,000."
2. Except as herein amended, the Agreement dated February 20, 2024, and First Amendment dated April 15, 2024, shall remain in full force and effect. 111
