FIRST AMENDMENT TO REIMBURSEMENT AGREEMENT
TfilS FIRST AMENDMENT TO AGREEJ\.ffiNT is made and entered into this_ day of ____ _, 2026, by and between the City of Merced, a California Charter Municipal Corporation ("City"), and UC Village, LLC, a California Limited Liability Company, whose address of record is 2040 Baucraft Way #301, Berkeley, Ca 94704 ("Developer").
WHEREAS, Developer desires to develop a mixed use project on approximately 37.2 acres generally located at the southwest comer of Bellevue Road and Lake Road (hereinafter referred to as the "Project"); and WHEREAS, City and Developer have previously entered into a Reimbursement Agreement (" Agreement") dated November 6, 2023; and, WHEREAS, City and Developer desire to amend said Agreement and provide reimbursement for additional services in connection with said Project.
NOW, THEREFORE, the parties hereto, in consideration of the mutual covenants hereinafter recited, agree as follows:
1. Section 16, "ADDITIONAL REIMBURSEMENT," is hereby added to the Agreement to read as follows:
Developer shall reimburse the City the additional sum of Twelve Thousand One Hundred Dollars ($12,100.00) for
additional services required in connection with the
Project as described in the amendment request dated
December 23, 2025, attached hereto as Exhibit "1 ". The amount above includes an additional I 0% management
fee for environmental review.
2. Except as herein amended, the Agreement dated November 6, 2023, shall remain in full force and effect.
