THIS SECOND AMENDMENT TO EMPLOYMENT AGREEMENT
("Second Amendment") is entered into this day of
2026, by and between the City of Merced, a California municipal corporation and Charter City ("Employer" or "City") and D. Scott McBride ("Employee") an individual, (sometimes collectively "the Parties").

RECITALS
A. City is a municipal corporation duly organized and validly existing under the laws of the State of California with the power to carry on its business as it is now being conducted under the statutes of the State of California and the Charter of City.

B. On September 18, 2023, the Merced City Council approved an Employment Agreement with Employee, effective November 16, 2023 (the "Employment Agreement").

C. Pursuant to Section 1 of the Employment Agreement, the Parties desire to amend the Employment Agreement to extend for an additional term to continue Employee's employment.

NOW, THEREFORE, it is mutually agreed by and between the undersigned Parties as follows:

1. Section 15 of the Employment Agreement, "ADDITIONAL TERM" is hereby added to read as follows:

This Additional Term shall become effective November 17, 2026. Subject to City's right to terminate Employee's
employment at any time, as provided for in this Agreement, the Additional Term of this Agreement is three years from
November 17, 2026 and expires on November 16, 2029.

2. Except as set forth herein, all remaining terms and conditions of the Employment Agreement shall remain in full force and effect.
