DESCRIPTION:

Consider four (4) Grant Agreements awarding funding to verified City of Modesto Cannabis Program Providing Local Equity Development Grants and Education (PLEDGE) participant owned businesses in an amount of $70,000 each and forwarding the Council for approval. (Funding Source: Cannabis Equity Grant)
STRATEGIC PLAN ELEMENT:

Expanding opportunity and reducing barriers to enter the regulated commercial cannabis market promotes economic vitality consistent with the City Council 2020-2025 Strategic Plan Goal E, Drive Economy Vitality.

BACKGROUND:

Individuals convicted of a cannabis offense during the era of prohibition and criminalization policies have a more difficult time entering the new adult-use cannabis industry due, in part, to a lack of access to capital, business space, technical support, and regulatory compliance assistance. The State of California’s Cannabis Equity Grants program for Local Jurisdictions is designed to promote economic opportunity for individuals negatively impacted by cannabis prohibition and criminalization policies by reducing barriers to enter the regulated cannabis industry for equity applicants and licensees.

On December 13, 2022, by Resolution No. 2022-478, Council accepted the findings in the City of Modesto Cannabis Equity Assessment Report and on the same date by Resolution No. 2022- 479, Council adopted a City of Modesto Cannabis Equity Program. To fund this adopted program, #1.

GO-Biz provides a Type 2 grant1 to aid local equity program participants in the form of grants for eligible startup expenses as well as direct technical assistance.

On January 31, 2023, GO-Biz informed the City that it was deemed eligible to receive a grant award in the amount of $350,000. On March 14, 2023, by Resolution No. 2023-110, Council formally authorized a grant agreement with GO-Biz to secure this funding. The award is required to be spent towards the following tasks:

1. Providing grants, no-interest loans, or low interest loans to local equity applicants.

2. No more than ten (10) percent may be used to provide direct technical assistance in the amount of $35,000.

3. No more than ten (10) percent may be used for administrative expenses related to the operation of the cannabis equity program in the amount of $35,000.

On April 22, 2024, The Cannabis Program and Permit Review Committee approved utilizing the $280,000 allocation for grants to issue $70,000 to up to four (4) commercial cannabis businesses owned by PLEDGE program participants. This amount is comparable to grants provided by cannabis equity programs in Sacramento, San Francisco, Oakland, Los Angeles, and Long Beach. To be eligible to receive grant funding the proposed cannabis business must:
 Have an owner with no less than 51% ownership interest that is a verified PLEDGE program participant.
 The grant applicant must have completed the technical assistance workshops.  The applicant must also have submitted a completed commercial cannabis permit application.

Following the receipt of program funding, and the determination of grant amounts, Staff worked towards implementing the PLEDGE program and accepting applications from potential program participants. To qualify for the program each applicant was required to confirm their eligibility based on the criteria noted in the table below.

Criteria Qualifying Document
The applicant must have lived for at
least five (5) years, prior to November
8, 2016, in the following zip codes:
95355, 95354, 95350, 95351.

Federal and State tax returns and at least one of the
following documents from the last five (5) years: two
months of pay stubs; proof of current eligibility for
General Assistance, food stamps, MediCal/CalWORKs, supplemental security income, or social security disability, or similar documentation.

In the year prior to submitting the
application, the individual resided in a
household with an income at or below
80% of the Area Median Income for
Modesto.

A minimum of two of the following documents:

California driver’s or identification card records,
property tax billings and payments, signed rental
agreement, verified copies of state or federal tax
returns with an address in the geographic area of the
City of Modesto, school records, medical records,
banking records, Housing Authority records, or utility, cable, or internet company billing and payment
records.

The applicant or a parent, guardian,
child, or sibling was arrested or
convicted for a crime relating to the
sale, possession, use, or cultivation
of cannabis in California prior to
November 8, 2016, excluding those
offenses which would be
disqualifying for cannabis licensure
under current State law.

Federal or State court records indicating the
disposition of the criminal matter, record
expungement documentation, or any other applicable
law enforcement record.

Applications to participate in the PLEDGE program were accepted and reviewed by staff in April of 2024. Twelve (12) applications were received in total with five (5) being deemed eligible based on the previously mentioned criteria. The verified PLEDGE participants were required to complete a technical assistance workshop in order to qualify for grant funding for any business venture they may be interested in pursuing. The City of Modesto partnered with Tulip & Oak Consulting to provide a six (6) week direct technical assistance workshop to PLEDGE participants where the following topics were discussed:
 Workshop 1: Introduction to the California cannabis market and the steps to build a cannabis business.
 Workshop 2: Cannabis accounting, finance, real estate, and security plans.  Workshop 3: Cannabis business operations with an overview of the supply chain and branding practices.
 Workshop 4: State and Local licensing with business plan review.  Workshop 5: Operating and expanding a cannabis business with hands-on training by license type.
 Workshop 6: On-site visits to licensed cannabis facilities.

The participants completed the educational workshops on August 10, 2024, and they were also provided the opportunity for one-on-one business mentorship sessions. During these sessions, Tulip and Oak Consulting assisted the participants in developing their grant application which included the completion of a cannabis permit application.

DISCUSSION:

The City has received four (4) grant applications, from businesses owned by PLEDGE participants that completed the direct technical assistance workshops, to receive funding to enter the legal cannabis market in the City of Modesto. The grant application form collects general applicant and business information which includes addresses, business type, permit status, and an overall initial budget for the amount requested. Each applicant is also required to have a commercial cannabis permit application submitted and in process. Applications were processed through a pass or fail methodology based on:
 Whether the new business would be in a properly zoned location based on the type of cannabis business activity proposed and
 If they met the minimum application requirements pursuant to section 10-3.704 (g)(4) of the Modesto Municipal Code which requires the submission of necessary information related to the business, written and notarized permission from the property owner to #1.

1. Terminate this Agreement, in whole or in part;

2. Deny Grantee’s Application and/or revoke Grantee’s cannabis permit or local authorization for a State license to conduct the commercial cannabis activity;

3. Demand immediate reimbursement of any funds disbursed under this Agreement;

4. Bring an action for equitable relief (1) seeking the specific performance by Grantee of the terms and conditions of the Agreement, and/or (2) enjoining, abating, or preventing any violation of said terms and conditions, and/or (3) seeking declaratory relief;

5. Bar Grantee from future funding by the City; and/or

6. Pursue any other remedy allowed at law or in equity.

The approval of the cannabis permit applications will be taken as a separate item on a future agenda of the Cannabis Program and Permit Review Committee. All funding for grants, direct technical assistance services, and administrative costs must be expended or returned by October 31, 2024 under the terms of the grant agreement with GO-Biz, resulting in bringing this item forward for consideration and approval by the Cannabis Program and Permit Review Committee and the Modesto City Council in order to meet the program timeline. #1.

GRANTS AND EDUCATION

GRANT AGREEMENT
This Grant Agreement (the “Agreement”) dated 1st day of ___________2024 (“Effective Date”), is made and entered into by and between the City of Modesto, a municipal corporation (the “City”), and _______________________ (“Grantee”). The City and Grantee are hereinafter collectively referred to as the “Parties.”

RECITALS
A. The State of California, and specifically the Department of Cannabis Control (“DCC”) and California Governor’s Office of Business and Economic Development (“GO-Biz”), has made grant funds available for the City’s Social Equity Program. With these funds, the City established the Cannabis Program Providing Local Equity Development Grants and Education (“PLEDGE”).

B. The City wishes to enter into this Agreement with Grantee to provide PLEDGE Grant Program funds to assist Grantee with gaining entry into, and successfully operating in, California’s regulated cannabis marketplace.

Now, therefore, the Parties to this Agreement agree as follows:

1. Grant. Subject to the terms and conditions of this Agreement, the City agrees to provide a grant of funds to Grantee in the amount of Seventy Thousand Dollars ($70,000) (the “Grant”). The timing of the disbursement(s) shall be determined by the City, but shall not be later than October 31, 2024, or any subsequent extension provided to the City by the State, Department of Cannabis Control, and/or California Governor’s Office of Business and Economic Development concerning the disbursement of funds. Grantees may also be eligible for remaining funds not yet awarded, and such additional grants, if any, shall be subject to the terms of this Agreement.

2. Grant Application. Grantee hereby agrees and understands that Grantee must apply for the Grant. The City retains sole and absolute discretion to determine if Grantee has met the requirements for the Grant and the amount of Grant funds to award to Grantee. The amount and timing of funds awarded may depend upon the amount of available funding at the time a decision on the Grant Application is submitted and any other factors deemed relevant by the City. Grantee may only receive Grant funds if Grantee maintains a verified status as an Equity Business Owner Applicant, as defined in the City PLEDGE policy.

3. Use of Funds. Grantee hereby agrees to use PLEDGE Grant Program funds only for reasonable expenses incurred to launch and operate the Grantee’s licensed commercial cannabis business. Such items include, but are not limited to, the following: rent; leases; local #1.

2 and state application, licensing, and regulatory fees; legal assistance; regulatory compliance; testing of cannabis; furniture, fixtures, and equipment; capital improvements; and training and retention of a qualified and diverse workforce. Grantee shall attach Grantee’s budget as Exhibit A. Exhibit A is non-binding and subject to change.

PLEDGE Grant Program funds shall not be used for any of the following: operation of an unlicensed cannabis business; purchasing cannabis or cannabis-related products; lending or investing; expenses related to a business that does not require a City of Modesto cannabis permit; personal expenses or the acquisition of personal property; payments or distributions from a borrower to its principals, partners, members, investors, or employees other than for ordinary compensation for services rendered; refinancing existing debt, or any other unauthorized use.

The City shall have sole and absolute discretion to determine eligibility for Grant funds, whether the Grantee has used the grant monies for a proper or an improper purpose, and the sufficiency of supporting documentation for the use of the payment.

4. Time of Performance. The Grant term shall begin on the Effective Date and shall end two (2) full years after the final disbursement under this Agreement. Grant payments shall be provided by the City to Grantee within ninety (90) days of the completion of Grantee’s Grant application.

5. Method of Payment. Funds will be distributed to Grantees via ACH transfer to their individual bank accounts.

6. Evaluation, Monitoring, and Reporting. Grantee shall be monitored and evaluated by the City in terms of effectiveness and timely compliance with the provisions of this Agreement. 7. Compliance with State of California Standards. Grantee shall be responsible for complying with the terms, conditions, and requirements set forth in the California Cannabis Equity Act of 2018, as well as all other applicable state and federal laws. Pursuant to Government Code section 16645.2, Grantee certifies that none of the grant monies will be used to assist, promote or deter union organizing. If Grantee makes expenditures to assist, promote, or deter union organizing, it shall maintain records sufficient to show that no portion of the grant award was used for those expenditures. Grantee shall provide those records to the City upon request.

8. Indemnification. Except for the active negligence or willful misconduct of City, or any of its boards, officers, agents, employees, assigns and successors in interest, Grantee shall defend, indemnify, and hold harmless City and any of its boards, officers, agents, employees, assigns, and successors in interest from and against all lawsuits and causes of action, claims, #1.

9. Separate Entities. The Parties to the Agreement hereto are separate entities and nothing in this Agreement or otherwise shall be construed to create any rights or liabilities of either Party to this Agreement with regard to any rights, privileges, duties or liabilities of any other Party to this Agreement.

10. Events of Default and Remedies. The failure to comply with any term of this Agreement shall constitute a default by Grantee. In the event of a default, City may, at its discretion, take any of the following actions, in addition to any other remedies under this Agreement:
a. Terminate this Agreement, in whole or in part;
b. Deny Grantee’s Application and/or revoke Grantee’s cannabis permit or local authorization for a State license to conduct commercial cannabis activity;

e. Bar Grantee from future funding by the City; and/or
f. Pursue any other remedy allowed at law or in equity.

11. Termination or Modification for Lack of Appropriation.
