[email protected], 209-577-5211
DESCRIPTION:
Consider Annexation Map #1 to the City of Modesto Community Facilities District No. 2024-1 (Tivoli) and authorizing the levy of special tax on the property located within the annexation map and forwarding to Council for approval. (Funding Source: Developer Deposit) STRATEGIC PLAN ELEMENT:
The recommended action supports the City Council’s 2020-2025 Strategic Plan, Goal D:
Provide Safe, Efficient, and Reliable Infrastructure through proactive community investment, maintenance and sustainability efforts.
BACKGROUND:
In 1982, the Mello-Roos Community Facilities Act of 19821 (Act) was adopted by the State of California as a method for financing infrastructure improvements and services associated with new developments. The Act allows infrastructure improvements and services to be funded through a special tax paid by property owners.
The Tivoli Specific Plan approved by City Council in 2008 by Ordinance No. 3479-C.S., is a 454-acre area located in an unincorporated area of Stanislaus County. The project is located within the City of Modesto’s Sphere of Influence. The site is bounded by the planned Claratina Avenue on the north, Oakdale Road on the west, Sylvan Avenue on the south, and Roselle Avenue on the east.

Economic Development Committee, June 2, 2025
Annexation #1 to City of Modesto Community Facilities District No. 2024-1 (Tivoli)
On August 13, 2024, by Resolution No. 2024-279, the Council approved the Resolution of Intention to form City of Modesto Community Facilities District (CFD) No. 2024-1 (Tivoli) to establish improvement area No. 1, designate a future annexation area and authorize the levy of special tax within said Community Facilities District. The City Council also approved a Resolution to Incur Debt by Resolution No. 2024-280. It is the sole discretion of CFD No. 2024-1 as to if and when Bonds will be issued. During the formation of the CFD, it may be determined that there is a need for the issuance of bonds to pay for the facilities required for the CFD. If bonds are required, documents relating to the issuance and sale of the bonds will be brought to the Council for approval. The proposed maximum CFD bond authorization is $120 million, and this serves as a “not to exceed” bond amount for the CFD and is based on the cost of financing the associated facilities. The maximum Annual Facilities Special Tax includes a buffer to prevent the possible authorization of bonds from limiting the capacity of the CFD to pay for ongoing services. The CFD is a separate legal entity and the land within the CFD secures the bonds, and any sale of CFD bonds will not impact the City’s bonding capacity.
On September 24, 2024, by Resolution No. 2024-354, the Council approved the formation of City of Modesto Community Facilities District No. 2024-1 (Tivoli) (“CFD No. 2024-1”) pursuant to the Mello-Roos Community Facilities Act of 1982 and conditionally authorized staff to levy special taxes therein and conditionally establishing annual appropriations limits.
DISCUSSION:
KB Home North Bay LLC owners of approximately 29.3 acres (APNs 083-040-076 and 083-004- 083), filed a completed application package requesting that the properties be annexed into CFD No. 2024-1. The Properties are shown in the proposed annexation map related to Annexation No. 1 to CFD No. 2024-1. During the formation of the CFD, both parcels were included in the designated future annexation area which allows for the properties to annex into the CFD with only the unanimous approval of the annexing property owner pursuant to the provisions of section 53328.1 of the Act. Annexation #1 will be developed in two phases. Phase 1 will be comprised of 18.7 acres with seventy-one (71) single-family lots. Phase 2 will include 10.6 acres with seventy (70) single-family lots. The proposed annexation map is provided as Attachment 3.
FISCAL IMPACT:
The Rate and Method of Apportionment (RMA) that identifies the maximum special tax rates as well as how special taxes calculated and collected for the Parcels participating in improvement area 1 of CFD No. 2024-1, as Attachment 2.
KB Homes North Bay LLC is requesting to be part of CFD No. 2024-1 and will be levied based on the RMA. The maximum special tax rates for CFD No. 2024-1 are as follows:

B. DATA FOR ANNUAL ADMINISTRATION
On or about July 1 of each Fiscal Year, the Administrator shall identify the current Assessor’s Parcel Numbers for all Parcels of Taxable Property in Improvement Area No. 1. The Administrator shall also: (i) assign each Parcel of Taxable Property to the appropriate Development Class; (ii) categorize each Parcel of Residential Property into the appropriate Density Category; (iii) determine the Net Taxable Acreage of each Parcel; (iv) determine the Annual Facilities Special Tax Requirement and Annual Maintenance Special Tax Requirement, and (v) determine whether the Transition Event has occurred in a prior Fiscal Year.
In any Fiscal Year, if it is determined that: (i) a Subdivision Map for property in Improvement Area No. 1 was recorded after January 1 of the prior Fiscal Year (or any other date after which the Assessor will not incorporate the newly-created Parcels into the then current tax roll), (ii) because of the date the Subdivision Map was recorded, the Assessor does not yet recognize the new Parcels created by the Subdivision Map, and (iii) one or more of the newly-created Parcels is in a different Development Class than other Parcels created by the subdivision, the Administrator shall calculate the Special Taxes for the property affected by recordation of the Subdivision Map by determining the Special Taxes that apply separately to the property within each Development Class, then applying the sum of the individual Special Taxes to the Parcel that was subdivided by recordation of the Subdivision Map.
C. MAXIMUM SPECIAL TAXES
The Administrator shall use the procedures set forth below to calculate the Maximum Special Taxes for each Parcel in Improvement Area No. 1 in each Fiscal Year. The Per-Acre Special Taxes set forth in Table 1 and Table 2 below shall be used for purposes of Sections C.1 and C.2 below:

1. Original Parcels
The Maximum Special Taxes prior to the Transition Year for each Land Use Class expected on the Original Parcels as of CFD Formation are identified in Attachment 2, which will be updated by the Administrator as needed to reflect Original Parcels added to Improvement Area No. 1 due to annexations. Until an Original Parcel is subdivided, the Maximum Special Taxes shown in Attachment 2 (escalated as set forth herein) shall be the Maximum Special Taxes for the Parcel unless the zoning on the Original Parcel changes to a Land Use Class that has higher Per-Acre Special Taxes based on reference to Table 1 and Table 2 above. Upon approval of such a change in zoning by the City Council, the Administrator shall multiply the applicable Per-Acre Special Taxes by the Net Taxable #1..
- 20 -
Tivoli CFD No. 2024-1, IA No. 1 10 May 31, 2024
Acreage of each Land Use Class that is expected on the Parcel based on the rezone. The Administrator shall then update Attachment 2 to reflect the higher Maximum Special Taxes for the Parcel. If a rezone results in a Land Use Class that has a lower Per-Acre Special Tax than the previous Expected Land Uses, there shall be no corresponding reduction in the Maximum Special Taxes for the Parcel. The potential reduction in Maximum Special Tax revenues must be considered separately for each Special Tax Category. If the rezone would cause a reduction in the Maximum Special Tax revenues in any Special Tax Category, the Maximum Special Tax identified for that Special Tax Category shall remain the same as originally assigned to the Original Parcel.
2. Successor Parcels
a. All Successor Parcels are SFD Lots
If all Parcels created by a recorded Subdivision Map are SFD Lots, the Administrator shall apply the following steps to allocate the Maximum Special Taxes for the Original Parcel to each of the Successor Parcels created by the subdivision:
Step 1. Determine the greater of: (i) the sum of the Maximum Special Taxes assigned to each Expected Land Use for the Original Parcel, or (ii) the sum of the Net Taxable Acreage of each Density Category within the Subdivision Map multiplied by the Per-Acre Special Taxes for each Density Category.
Step 2. Separately for each Density Category created by the Subdivision Map, divide the Maximum Special Taxes from Step 1 by the number of Successor Parcels to determine the Maximum Special Taxes for each SFD Lot. b. No Successor Parcels are SFD Lots
If none of the Successor Parcels created by recordation of a Subdivision Map are SFD Lots, the Administrator shall apply the following steps to allocate the Maximum Special Taxes assigned to the Original Parcel to each of the Successor Parcels:
Step 1. Identify the Expected Land Uses for the Original Parcel.
Step 2. Determine the Net Taxable Acreage within each Land Use Class created by the Subdivision Map.
Step 3. If the Net Taxable Acreage of each Land Use Class from Step 2 is the same as the Expected Land Uses, the Maximum Special Taxes assigned to each of the Expected Land Uses on the Original Parcel shall be allocated to the Successor Parcels based on the Acreage of each Land Use Class that occurs on each Successor Parcel.
Step 4. If the Net Taxable Acreage within each Land Use Class from Step 2 is different than the Expected Land Uses for the Original Parcel, the Administrator shall apply the following steps separately for each Special Tax Category:
#1..
- 21 -
Tivoli CFD No. 2024-1, IA No. 1 11 May 31, 2024
Step 4a. Multiply the applicable Per-Acre Special Tax by the Net Taxable Acreage of each Land Use Class created by the Subdivision Map.
Step 4b. If the amount calculated in Step 4a is greater than the Maximum Special Tax assigned to the Original Parcel, multiply the Net Taxable Acreage of each Land Use Class on each Successor Parcel by the applicable Per-Acre Special Tax from Table 1 (preTransition Year) and Table 2 (in and after Transition Year) above to determine the Maximum Special Tax for each Successor Parcel.
Step 4c. If the amount calculated in Step 4a is less than the Maximum Special Tax assigned to the Original Parcel: (i) identify the Maximum Special Tax that was assigned to each of the Expected Land Uses on the Parcel, (ii) divide the Maximum Special Tax for each Land Use Class by the Net Taxable Acreage of each Land Use Class actually created by the Subdivision Map, and (iii) multiply the per-acre Maximum Special Tax calculated in (ii) by the Net Taxable Acreage of each Land Use Class on each
Successor Parcel to determine the Maximum Special Tax for each Parcel.
If the Land Use Classes on a Successor Parcel or Parcels are different than the Expected Land Uses for that Parcel(s) and such difference would result in a reduction in the Maximum Special Tax assigned to the Original Parcel for any Special Tax Category, the Maximum Special Tax assigned to the Original Parcel shall either be distributed equally on a per-acre basis to the Successor Parcels or, if multiple Land Use Classes are created by the Subdivision Map, the Maximum Special Tax from the Original Parcel shall be distributed to each Land Use Class so that the peracre tax for each Land Use Class has the same proportional relationship as the Per-Acre Special Taxes in Table 1 and Table 2 above.
c. Some, But Not All, Successor Parcels are SFD Lots
If a Subdivision Map divides an Original Parcel into Successor Parcels, of which some are SFD Lots and some are not, the Administrator shall (i) break out the aggregate Net Taxable Acreage of all SFD Lots separately from the Net Taxable Acreage of other Land Use Classes, (ii) for the aggregate Net Taxable Acreage of the SFD Lots, apply the steps in Section C.2a to determine the Maximum Special Taxes for each SFD Lot, and (iii) apply the steps in Section C.2b above to determine the Maximum Special Taxes for the other Land Use Classes on the Parcel.
If, after subdivision of an Original Parcel, a Successor Parcel is further subdivided, the Successor Parcel shall be treated as an Original Parcel for purposes of allocating Maximum Special Taxes pursuant to Section C.2a, C.2b, or C.2c, as appropriate. After each reallocation of the Maximum #1..

Special Taxes upon subdivision or reconfiguration of Original Parcels, the sum of the Maximum Special Taxes assigned to Successor Parcels shall never be less, but may be more, than the Maximum Special Taxes assigned to the Original Parcels prior to such reallocation.
D. CHANGES TO THE MAXIMUM SPECIAL TAXES
1. Escalation of Special Taxes
1a. One-Time Special Tax
On July 1, 2025 and on each July 1 thereafter, the Maximum One-Time Facilities Special Tax assigned to each Parcel and the Per-Acre Special Tax shown in Table 1 and Table 2 above shall be adjusted annually by the Escalation Factor. 1b. Annual Facilities Special Tax
On July 1, 2025 and on each July 1 thereafter, the Maximum Annual Facilities Special Tax assigned to each Parcel and the Per-Acre Special Tax shown in Table 1 and Table 2 above shall be increased by two percent (2%) of the amount in effect in the prior Fiscal Year.
1c. Annual Maintenance Special Tax
On July 1, 2025 and on each July 1 thereafter, the Maximum Annual Maintenance Special Tax assigned to each Parcel and the Per-Acre Special Tax shown in Table 1 and Table 2 above shall be adjusted annually by the Escalation Factor. Each annual adjustment of the Maximum Annual Maintenance Special Tax shall become effective on the subsequent July 1.
2. Partial Prepayment of Maximum Annual Facilities Special Tax If a Parcel makes a partial prepayment of the Annual Facilities Special Tax pursuant to Section I below, the Administrator shall recalculate the Maximum Annual Facilities Special Tax for the Parcel pursuant to Section I. In addition, the Administrator shall update Attachment 2 to reflect the prepayment and the revised Maximum Annual Facilities Special Tax Revenues for Improvement Area No. 1. Such updates shall be maintained internally by the Administrator and shall not require recordation of an amended RMA. After the prepayment has been received, the application of Sections F and I of this RMA shall be based on the adjusted Expected Maximum Annual Facilities Special Tax Revenues after the prepayment.
3. Conversion of a Parcel of Public Property to Private Use If, in any Fiscal Year, a Parcel of Public Property is converted to private use, such Parcel shall be subject to the levy of the Special Taxes, and the Administrator shall determine the appropriate Maximum Special Taxes for the Parcel based on the Net Taxable Acreage of the Parcel. #1..

E. ANNEXATIONS
If, in any Fiscal Year, a property owner within the Future Annexation Area wants to annex property into Improvement Area No. 1, the Administrator shall apply the following steps as part of the annexation proceedings:
Step 1. Working with City staff and the landowner, the Administrator shall determine the Land Use Classes that are expected within the area to be annexed.
Step 2. The Administrator shall prepare and keep on file an updated Attachment 2 that identifies the Assessor’s Parcel Number(s), Expected Land Use, Expected Net Taxable Acreage, One-Time Facilities Special Tax, Maximum Annual Facilities Special Tax, and Maximum Annual Maintenance Special Tax for the annexed property.
Step 3. The Administrator shall prepare and keep on file an updated Attachment 3 that adds the Assessor’s Parcel(s) in the annexed area to the Original Parcels in Improvement Area No. 1.
Step 4. The Administrator shall ensure that a Notice of Special Tax Lien is recorded against all Parcels that are annexed to Improvement Area No. 1.
Step 5. The Administrator shall recalculate the Public Facilities Requirement used in the prepayment calculation in Section I below to include the estimated net proceeds that can be generated to fund Authorized Facilities based on the Maximum Annual Facilities Special Tax capacity from the annexed area. The adjusted Public Facilities Requirement shall be calculated by (i) dividing the increased Maximum Annual Facilities Special Tax Revenues that can be collected after the annexation by the Maximum Annual Facilities Special Tax Revenues that were in place prior to the annexation, and (ii) multiplying the quotient by the Public Facilities Requirement that was in place prior to the annexation.
F. METHOD OF LEVY OF THE SPECIAL TAXES
1. One-Time Facilities Special Tax
The Maximum One-Time Facilities Special Tax determined pursuant to Sections C and D above shall be levied on all Taxable Property in Improvement Area No. 1 and shall be collected as set forth in Section G below.
2. Annual Facilities Special Tax
Each Fiscal Year until the Transition Year, the Administrator shall determine the Annual Facilities Special Tax Requirement for the Fiscal Year and levy the Annual Facilities Special Tax on all Parcels of Taxable Property as follows:
Step 1: The Annual Facilities Special Tax shall be levied Proportionately on each Parcel of Developed Property within Improvement Area No. 1 up to 100% of #1..
- 24 -
Tivoli CFD No. 2024-1, IA No. 1 14 May 31, 2024
the Maximum Annual Facilities Special Tax for each Parcel for such Fiscal Year until the amount levied on Developed Property is equal to the Annual Facilities Special Tax Requirement prior to applying any Capitalized Interest that is available in the CFD accounts.
Step 2: If additional revenue is needed after Step 1, the Annual Facilities Special Tax shall be levied Proportionately on each Parcel of Taxable Welfare Exemption Property up to 100% of the Maximum Annual Facilities Special Tax for each Parcel of Taxable Welfare Exemption Property for such Fiscal Year until the amount levied is equal to the Annual Facilities Special Tax Requirement.
Step 3: If additional revenue is needed after Step 2, the Annual Facilities Special Tax shall be levied Proportionately on each Parcel of Taxable Owners Association Property up to 100% of the Maximum Annual Facilities Special Tax for each Parcel of Taxable Owners Association Property until the amount levied is equal to the Annual Facilities Special Tax Requirement.
Step 4: If additional revenue is needed after Step 3, the Annual Facilities Special Tax shall be levied Proportionately on each Parcel of Taxable Public Property up to 100% of the Maximum Annual Facilities Special Tax for each Parcel of Taxable Public Property until the amount levied is equal to the Annual Facilities Special Tax Requirement.
No Annual Facilities Special Tax shall be levied in any Fiscal Year on Parcels of Undeveloped Property.
3. Annual Maintenance Special Tax
Each Fiscal Year, the Administrator shall determine the Annual Maintenance Special Tax Requirement for the Fiscal Year and levy the Annual Maintenance Special Tax on Parcels of Taxable Property as follows:
Step 1: The Annual Maintenance Special Tax shall be levied Proportionately on each Parcel of Developed Property within Improvement Area No. 1 up to 100% of the Maximum Annual Maintenance Special Tax for each Parcel for such Fiscal Year until the amount levied on Developed Property is equal to the Annual Maintenance Special Tax Requirement.
Step 2: If additional revenue is needed after Step 1, the Annual Maintenance Special Tax shall be levied Proportionately on each Parcel of Taxable Welfare Exemption Property up to 100% of the Maximum Annual Maintenance Special Tax for each Parcel of Taxable Welfare Exemption Property for such Fiscal Year until the amount levied is equal to the Annual Maintenance Special Tax Requirement.
Step 3: If additional revenue is needed after Step 2 the Annual Maintenance Special Tax shall be levied Proportionately on each Parcel of Taxable Owners Association Property up to 100% of the Maximum Annual Maintenance #1..

Tivoli CFD No. 2024-1, IA No. 1 15 May 31, 2024
Special Tax for each Parcel of Taxable Owners Association Property until the amount levied is equal to the Annual Maintenance Special Tax Requirement.
Step 4: If additional revenue is needed after Step 3, the Annual Maintenance Special Tax shall be levied Proportionately on each Parcel of Taxable Public Property up to 100% of the Maximum Annual Maintenance Special Tax for each Parcel of Taxable Public Property until the amount levied is equal to the Annual Maintenance Special Tax Requirement.
No Annual Maintenance Special Tax shall be levied in any Fiscal Year on Parcels of Undeveloped Property.
G. MANNER OF COLLECTION OF SPECIAL TAXES
The Maximum One-Time Facilities Special Tax shall be collected prior to a Certificate of Occupancy being issued for any residential or non-residential structure on Taxable Property within Improvement Area No. 1 and shall be immediately delinquent if not so paid.
The Annual Facilities Special Tax and Annual Maintenance Special Tax shall be collected in the same manner and at the same time as ordinary ad valorem property taxes, provided, however, that prepayments are permitted as set forth in Section I below and provided further that the City may directly bill, collect at a different time or in a different manner, and/or collect delinquent Annual Facilities Special Taxes and Annual Maintenance Special Taxes through foreclosure or other available methods.
The Annual Facilities Special Tax shall be levied and collected until principal and interest on Bonds have been repaid, costs of constructing or acquiring Authorized Facilities from Annual Facilities Special Tax proceeds have been paid, and all Administrative Expenses have been reimbursed. However, in no event shall Annual Facilities Special Taxes be levied after Fiscal Year 2074-75. The Annual Maintenance Special Tax shall be levied in perpetuity unless and until the City determines that the Annual Maintenance Special Tax is no longer needed to pay for Authorized Services. Under no circumstances may the Annual Facilities Special Tax on a Parcel of Developed Property in residential use be increased in any Fiscal Year as a consequence of delinquency or default in payment of the Annual Facilities Special Tax levied on another Parcel or Parcels by more than ten percent (10%) above the amount that would have been levied in that Fiscal Year had there never been any such delinquencies or defaults.
H. EXEMPTIONS
Notwithstanding any other provision of this RMA, no One-Facilities Special Tax or Annual Facilities Special Tax shall be levied in any Fiscal Year on the following: (i) Public Property, except Taxable Public Property, (ii) Owners Association Property, except Taxable Owners Association Property, (iii) Welfare Exemption Property, except Taxable Welfare Exemption Property, and (iv) Parcels of Undeveloped Property. In addition, no Annual Facilities Special Tax shall be levied on (i) Parcels that are owned by a public utility for an unmanned facility, and (ii) Parcels that are subject to an easement that precludes any other use on the Parcel. #1..

Tivoli CFD No. 2024-1, IA No. 1 16 May 31, 2024
No Annual Maintenance Special Tax shall be levied on the following: (i) Public Property, including Taxable Public Property, (ii) Owners Association Property, including Taxable Owners Association Property, and (iii) Welfare Exemption Property, including Taxable Welfare Exemption Property.
I. PARTIAL PREPAYMENT OF THE ANNUAL FACILITIES SPECIAL TAX The following definitions apply to this Section I:
“Outstanding Bonds” means all Previously Issued Bonds which remain outstanding, with the following exception: if an Annual Facilities Special Tax has been levied against, or already paid by, an Assessor’s Parcel making a prepayment, and a portion of the Annual Facilities Special Tax will be used to pay a portion of the next principal payment on the Bonds that remain outstanding (as determined by the Administrator), that next principal payment shall be subtracted from the total Bond principal that remains outstanding, and the difference shall be used as the amount of Outstanding Bonds for purposes of this prepayment formula.
“Previously Issued Bonds” means all Bonds that have been issued prior to the date of prepayment.
“Public Facilities Requirement” means either $7.3 million in 2024 dollars, which shall increase on January 1, 2025, and on each January 1 thereafter by two percent (2%) of the amount in effect in the prior year, or such other number as shall be determined by the City as sufficient to fund improvements that are authorized to be funded by the CFD. The Public Facilities Requirements shown above will be adjusted each time there is an annexation of property into Improvement Area No. 1.
“Remaining Facilities Costs” means the Public Facilities Requirement minus public facility costs funded by Previously Issued Bonds, developer equity, and any other source of funding.
A property owner may prepay up to 75% of the Annual Facilities Special Tax obligation applicable to a Parcel, thereby reducing the Maximum Annual Facilities Special Tax applicable to the Parcel, provided that a prepayment may be made only if (i) there are no delinquent Special Taxes with respect to such Parcel at the time of prepayment, and (ii) there has not in any prior Fiscal Year been a partial prepayment of the Annual Facilities Special Tax assigned to the Parcel. The Annual Maintenance Special Tax may not be prepaid. An owner of an Assessor’s Parcel intending to prepay a portion of the Annual Facilities Special Tax obligation shall provide the City with written notice of intent to prepay. Within 30 days of receipt of such written notice, the City or its designee shall notify such owner of the prepayment amount for such Assessor’s Parcel. Prepayment must be made not less than 75 days prior to any redemption date for Bonds to be redeemed with the proceeds of such prepaid Annual Facilities Special Taxes. The Prepayment Amount shall be calculated as follows: (capitalized terms as defined below):
#1..
- 27 -
Tivoli CFD No. 2024-1, IA No. 1 17 May 31, 2024
Bond Redemption Amount
plus Remaining Facilities Amount
plus Redemption Premium
plus Defeasance Requirement
plus Administrative Fees and Expenses
less Reserve Fund Credit
equals Prepayment Amount
As of the proposed date of prepayment, the Prepayment Amount shall be determined by application of the following steps:
Step 1. Compute the amount that could be collected from the Parcel prepaying the Annual Facilities Special Tax in the Fiscal Year in which prepayment would be received by the City.
Step 2. Divide the Maximum Annual Facilities Special Tax from Step 1 by the current Maximum Annual Facilities Special Tax Revenues.
Step 3. Multiply the quotient computed in Step 2 by the percentage of the Maximum Annual Facilities Special Tax that the property owner wants to prepay, which percentage shall not exceed 75%.
Step 4. Multiply the quotient computed pursuant to Step 3 by the Outstanding Bonds to compute the amount of Outstanding Bonds to be retired and prepaid (the “Bond Redemption Amount”).
Step 5. Compute the current Remaining Facilities Costs (if any).
Step 6. Multiply the quotient computed pursuant to Step 3 by the amount determined pursuant to Step 5 to compute the amount of Remaining Facilities Costs to be prepaid (the “Remaining Facilities Amount”).
Step 7. Multiply the Bond Redemption Amount computed pursuant to Step 4 by the applicable redemption premium, if any, on the Outstanding Bonds to be redeemed (the “Redemption Premium”).
Step 8. Compute the amount needed to pay interest on the Bond Redemption Amount starting with the first Bond interest payment date after which the prepayment will be received until the earliest redemption date for the Outstanding Bonds. However, if Bonds are callable at the first interest payment date after the prepayment has been received, Steps 8, 9, and 10 of this prepayment formula will not apply.
Step 9: Compute the amount of interest the City reasonably expects to derive from reinvestment of the Bond Redemption Amount plus the Redemption Premium from the first Bond interest payment date after which the prepayment has been received until the redemption date for the Outstanding Bonds.
#1..
- 28 -
Tivoli CFD No. 2024-1, IA No. 1 18 May 31, 2024
Step 10: Subtract the amount computed pursuant to Step 9 from the amount computed pursuant to Step 8 (the “Defeasance Requirement”).
Step 11. The administrative fees and expenses associated with the prepayment will be determined by the Administrator and include the costs of computing the prepayment, redeeming Bonds, and recording any notices to evidence the prepayment and the redemption (the “Administrative Fees and Expenses”).
Step 12. If and to the extent so provided in the Bond Indenture, a reserve fund credit shall be calculated as a reduction in the applicable reserve fund for the Outstanding Bonds to be redeemed pursuant to the prepayment (the “Reserve Fund Credit”).
Step 13. The Facilities Special Tax prepayment is equal to the sum of the amounts computed pursuant to Steps 4, 6, 7, 10, and 11, less the amount computed pursuant to Step 12 (the “Prepayment Amount”).
Step 14. From the Prepayment Amount, the amounts computed pursuant to Steps 4, 7, and 10 shall be deposited into the appropriate fund as established under the Indenture and be used to retire Outstanding Bonds or make debt service payments. The amount computed pursuant to Step 6 shall be deposited into the Improvement Fund. The amount computed pursuant to Step 11 shall be retained in the account or fund that is established to pay Administrative Expenses.
Once a partial prepayment has been received, an Amendment to Notice of Facilities Special Tax Lien shall be recorded against the Parcel to reflect the reduced Facilities Special Tax lien for the Parcel, which shall be equal to the portion of the Maximum Annual Facilities Special Tax that was not prepaid, and the Administrator shall update Attachment 2 to show the revised Expected Maximum Annual Facilities Special Tax Revenues. However, an Amendment to Notice of Facilities Special Tax Lien shall not be recorded until all Special Taxes levied on the Parcel in the current or prior Fiscal Years have been collected.
If an owner that has partially prepaid the Annual Facilities Special Tax obligation assigned to a Parcel subsequently rezones the Parcel to a Land Use Class that has a higher Per-Acre Annual Facilities Special Tax, the City may, in its sole discretion and as a condition of approval of the rezoning, collect the additional Annual Facilities Special Tax prepayment that would have applied had the Parcel been rezoned at the time of the original partial prepayment for the Parcel.
Notwithstanding the foregoing, if at any point in time the Administrator determines that the Maximum Annual Facilities Special Tax Revenue that can be collected from Taxable Property that remains subject to the Annual Facilities Special Tax after the proposed prepayment is less than the Required Coverage on Bonds that will remain outstanding after defeasance or redemption of Bonds from proceeds of the estimated prepayment, the amount of the prepayment shall be increased until the amount of Bonds defeased or redeemed is sufficient to reduce remaining annual debt service to a point at which Required Coverage is maintained. #1..

CITY OF MODESTO
COMMITTEE AGENDA REPORT
DATE OF MEETING:
June 2, 2025
Date: May 14, 2025
TO: Economic Development Committee
Eric Alvarez, Chair
Sue Zwahlen, Vice-Chair
Nick Bavaro, Member
THROUGH: Joseph P. Lopez, City Manager
FROM: Toby Wells, Director of Engineering Services/City Engineer SUBJECT: Cost Sharing Agreement with the County of Stanislaus CONTACT: Toby Wells, Director of Engineering Services/City Engineer, [email protected], 209-577-5542
DESCRIPTION:
Consider a Cost Sharing Agreement with the County of Stanislaus for the construction of the Urban Pavement Preservation Phase G and Phase H Projects and forwarding to Council for approval. (Funding Source: Measure L)
STRATEGIC PLAN ELEMENT:
The recommended action supports the City’s 2020-2025 Strategic Goal “Ensure Safe, Efficient, and Reliable Infrastructure”.
BACKGROUND:
Over the past several years, Stanislaus County has prioritized addressing longstanding infrastructure challenges in unincorporated, developed neighborhoods. The County is utilizing Measure L funding to address pavement maintenance in several neighborhoods.
In some areas, the City boundary is located at the centerline of existing roadways with different jurisdictions on either side of the road. Two (2) Stanislaus County projects are providing roadway maintenance on roadways that have shared ownership between the City and the County.
DISCUSSION:
The County has entered into two (2) separate, competitively bid contracts with VSS International, Inc. for pavement rehabilitation, including striping and monumentation, and curb ramp improvements. The Projects are referred to as Project G and Project H. Project G is generally located west of State Route 99 and south of Woodland Avenue. The shared roadways in Project G are:

Temperate Ave from end to 260’ east of end.
Torrid Ave from Yellowstone Ave to 215’ west of Yellowstone Ave. McWilliams Way from Granite Ln to Woodland Ave.
Lone Palm Ave from 825’ south of Emerald Ave to Kansas Ave. Emerald Ave from 140’ north of Loletta Ave to Laurel Ave. Bennet Ave from 225’ north of Laurel Ave to Laurel Ave. Laurel Ave from Emerald Ave to Martin Luther King Dr.
Project H is generally located west of Crows Landing Road and south of Glenn Avenue. The shared roadways in Project H are:
Glenn Ave north half from 150’ west of Frazier St to Las Vegas St. Imperial Ave south half from 270’ west of Crows Landing Rd to Crows Landing Rd. Lassen Ave south half from Rutherford St to Guthrie St. Guthrie St from Lassen Ave to End.
Ustick Rd (east half only starting aster Marin Ave) from 150’ north of Marin Ave to Whitmore Ave.
The work for both projects on these segments of roadway include road prep (pothole repair, digouts, and crack sealing), slurry seal, micro grind, asphalt rubber cape seal (asphalt rubber chip seal followed by a slurry seal), microsurfacing, reconstructed curb ramps, and striping. Project G has completed construction and Project H will begin construction in Summer 2025. The scope of work for the Projects includes areas that lie within both the City and County.
This project represents a meaningful investment in improving infrastructure, safety, and quality of life for residents living in historically underserved neighborhoods, and aligns with the City’s broader goals of equity, livability, and sustainable urban development.
FISCAL IMPACT:
In addition to the actual construction costs, the City will compensate the County for Construction Management services at a rate of 10 percent of construction costs associated with the City’s portion of the work.
For Project G, the total City share of final costs is $218,997.
For Project H, the total City share of costs are not to exceed $318,000.
The Citizens’ Transportation Sales Tax Commission (Commission) considered and approved an allocation of $250,000 on September 5, 2024 for Project G and is now incorporated into the Measure L budget. The Commission will consider an allocation for Project H at the June 5, 2025 regular meeting of $290,000 to fully fund the cost share agreement. A budget amendment for $290,000 would then be considered for a total allocation of $540,000 to cover the expected total costs of $536,997.

COST SHARING AGREEMENT BETWEEN THE COUNTY OF STANISLAUS AND
CITY OF MODESTO
FOR THE CONSTRUCTION OF THE
URBAN PAVEMENT PRESERVATION PHASE G AND PHASE H PROJECTS This Cost Sharing Agreement for Construction Services (“Agreement”) is made and entered into on __________, 2025 (the “Effective Date”) by and between the County of Stanislaus, a political subdivision of the State of California (“COUNTY”), and the City of Modesto, a California municipal corporation (“CITY”). MODESTO and COUNTY may be individually referred to herein as a “Party” or collectively as the “Parties.” RECITALS:
A. The COUNTY has entered into two separate, competitively bid contracts with VSS International, Inc. for pavement rehabilitation, including striping and monumentation, and curb ramp improvements (individually referred to as “Project G” and “Project H” or collectively as “Projects”). Project G has completed construction and Project H will begin construction in Summer 2025. The scope of work for the Projects includes areas that lie within both the CITY and COUNTY.
B. The COUNTY agrees that included in its contracts for the above described Projects are contract items that occurred on CITY streets as set forth in Exhibit A and Exhibit D, and as shown in Project Location Maps Exhibit B and Exhibit E (collectively, the “Scope of Work” or “Services”) attached hereto and incorporated by this reference.
C. The CITY agrees to reimburse COUNTY for the construction contract costs incurred by COUNTY for the portion of work on CITY streets as identified in the Scope of Work.
D. The Parties have outlined the rates and method of payment to COUNTY for its performance of the Services under this Agreement, as further set forth in Exhibit C and Exhibit F (the “Compensation Schedule”).
NOW, THEREFORE, it is agreed as follows:
1. Scope of Work. The Parties agree that the COUNTY will make a reasonable effort to assure the construction of Project H improvements conform to the plans and specifications approved by the COUNTY and reviewed by the CITY. COUNTY will be the official Construction Manager and the lead agency for Project H. Additionally, the #2..

Parties agree that the completed construction of Project G improvements conformed to the plans and specifications approved by the COUNTY and received by the CITY.
2. Services. The COUNTY bid the services described in the Scope of Work as part of the Urban Pavement Preservation Phase G(Project G) and Urban Pavement Preservation Phase H(Project H) Projects, and the CITY shall compensate the COUNTY for the services performed pursuant to the Compensation Schedules in Exhibit C and Exhibit F, respectively.
3. Term. The term of this Agreement will commence as of the date first written above and shall remain in effect until completion of construction of the improvements in Exhibit D.
4. Administration. The COUNTY, as the party managing the construction contract, agrees to receive and maintain the funding from the CITY and to manage the construction contract on behalf of the CITY with no additional charges to the CITY other than those costs identified in Exhibit C and Exhibit F or as directed by the COUNTY and agreed upon by the CITY in writing.
5. Compensation. The parties have outlined the rates and method of payment to COUNTY for its performance of the Services under this Agreement in Exhibit C and Exhibit F. Compensation from CITY to COUNTY will be based on actual construction costs for Project G and the actual construction costs for Project H, if differing from Bid Alternate.
6. Modification of Services. In the event that it appears to either Party that there will be cost overruns in excess of the 10% contingency, resulting from construction change orders associated with the Scope of Work provided in Exhibit D, or either Party determines that it would be prudent to expand the Scope of Work, then, in that event, the Parties agree to meet in good faith and determine whether or not they should fund such additional costs or expand the Scope of Work. In meeting and conferring, the Parties shall consider whether the basis of the additional change order originates from work regarding the CITY streets, in which case the CITY shall be responsible for the change order, provided however that such change order must be approved by the CITY in writing.

COMMITTEE AGENDA REPORT
DATE OF MEETING:
June 2, 2025
Date: May 14, 2025
TO: Economic Development Committee
Eric Alvarez, Chair
Sue Zwahlen, Vice Chair
Nick Bavarro, Member
THROUGH: Joseph P. Lopez, City Manager
FROM: Toby Wells, Director of Engineering Services/City Engineer SUBJECT: Congestion Mitigation and Air Quality (CMAQ) and Surface Transportation Block Grant (STBG) Application Request
CONTACT: Michael Sacuskie, Assistant City Engineer, [email protected], 209- 571-5552
DESCRIPTION:
Consider the submittal of up to eight (8) Federal Grant applications for Congestion Mitigation and Air Quality (CMAQ) and Surface Transportation Block Grant (STBG) Funds and forwarding to Council for approval. (Funding Source: Federal CMAQ Grant Funds, Federal STBG Grant Funds and Local Funds – Measure L)
STRATEGIC PLAN ELEMENT:
The recommended action is consistent with the City of Modesto 2020-2025 Strategic Goal D, “Ensure Safe, Efficient, and Reliable Infrastructure.”
BACKGROUND:
The Congestion Mitigation and Air Quality (CMAQ) program was implemented to support surface transportation projects and other related efforts contributing to the improvement of air quality and providing congestion relief. The Bipartisan Infrastructure Bill (BIL)1 continues the CMAQ program to provide a flexible funding source to State and Local governments for transportation projects and programs to help meet the requirements of the Clean Air Act2. Funding is available to reduce congestion and improve air quality for nonattainment areas that do not meet the National Ambient Air Quality Standards (NAAQS) for ozone, carbon monoxide, or particulate matter (PM2.5 or PM10) and for maintenance areas, which are former nonattainment areas that are now in 1 The Bipartisan Infrastructure Bill (BIL) -https://dot.ca.gov/programs/local-assistance/fed-and-state-programs/congestion-relief-program 2 Clean Air Act - https://dot.ca.gov/programs/environmental-analysis/air-quality/conformity-laws-regulations #3..

Congestion Mitigation and Air Quality (CMAQ) and Surface Transportation Block Grant (STBG) Application Request
compliance. The Stanislaus region is currently designated as nonattainment for ozone and PM2.5 and as a maintenance area for PM10.
The Federal Government apportions funds as a lump sum to each State. The CMAQ apportionment for each state is then calculated based on a ratio specified by law as outlined in 23 U.S.C. 104(b)(4). StanCOG manages the CMAQ funds apportioned to the Stanislaus Region.
Projects eligible for CMAQ funds must be transportation related, demonstrate emissions reduction, and must be in nonattainment or maintenance areas as outlined above.
The Surface Transportation Block Grant Program (STBG) provides flexible funding for a variety of transportation projects. Funds are provided by the Federal government to each state through the STBG program for road, transit, active transportation, and other transportation needs. In the State of California, these funds are administered by Caltrans, who distributes these funds to regional agencies, like the Stanislaus Council of Governments (StanCOG).
StanCOG typically announces a call for CMAQ and STBG application submissions every two (2) years. As with the last STBG call for projects, funds for the current cycle will be awarded based on a competitive application process. Similarly, as with previous cycles of CMAQ call for projects, the Federal Highway Administration (FHWA) requires a performance-based project selection process to determine which project submissions will receive CMAQ funding. The StanCOG Policy Board approved the Funding Round Guidelines on April 16, 2025.
On April 17, 2025, StanCOG announced the call for CMAQ and STBG projects for a four (4) fiscal year cycle for a total of approximately $41 million in competitive CMAQ funds and $49.7 million in competitive STBG funds available for Local Agencies and Transit Agencies for the 2027 through 2030 Federal Fiscal Years. The application deadline for the current Call for Projects for both the CMAQ and STBG programs is September 19, 2025.
Based on the distribution methodology adopted by the StanCOG Policy Board, the CMAQ program is geared towards providing a balanced program of transportation projects that will improve air quality in the region with a major emphasis placed on projects that support alternative modes of transportation, provide congestion relief measures, provide low-polluting transit vehicles and equipment, and provide new technologies/improvements geared towards providing a more efficient and safer transportation system. In addition, the StanCOG Policy Board directs the programming of STBG funds through a formal project selection process. Project eligibility is outlined in 23 U.S.C. 133(b) and (c), with a few additional project types included as part of the Infrastructure Investment and Jobs Act (IIJA).
In previous CMAQ and STBG program cycles there was no maximum limit to the number of applications a local agency could submit. However, each project application had a cap of $1.2 million in grant funds. With increasing construction costs and the four-year timeframe for the current Call for Projects, available program funds have been divided into two (2) project categories: one for small projects with a cap of $2 million in grant funds and one for large projects with a cap of $5 million in grant funds. Each local agency or transit agency can submit up to five (5) project applications in the small project category and up to three (3) applications in the large project category for a total maximum of eight (8) applications per agency. These eight (8) applications can be submitted as either CMAQ applications or STBG applications depending on the project type.

Economic Development Committee, June 2, 2025
Congestion Mitigation and Air Quality (CMAQ) and Surface Transportation Block Grant (STBG) Application Request
Projects awarded CMAQ and STBG funds require an 11.47% match of non-federal funds for all project phases. The match may be waived if the application utilizes Toll Credits, however this must be discussed with StanCOG staff prior to application submittal. However, with the competitive nature of the CMAQ and STBG funds, it is advantageous for a local agency to contribute higher than the minimum 11.47% local match to receive maximum points in the Additional Funds scoring category.
DISCUSSION:
A CMAQ and STBG call for projects is typically made every two (2) years. StanCOG will include successful project applications from the current Call for Projects in the Federal Transportation Improvement Program (FTIP) prior to agencies being able to submit for reimbursement of federal funds.
The intent of the CMAQ program is that funds be utilized for projects that will improve air quality and relieve congestion, while working within the parameters of the program that no roadway widening is to occur. The intent of the STBG program is that funds be expended on projects that improve safety for all roadway users including those who walk, bike, drive, and ride transit. STBG funds are a relatively flexible source of funds, however they cannot be used on any type of facility classified as a local road or minor collector. CMAQ and STBG funds can be used for preliminary engineering, right-of-way acquisition, capital costs, and construction costs associated with eligible activities and must be obligated in the fiscal year they are programmed for.
Staff are evaluating potential projects based on need and the ability to receive highly competitive scores within the scoring guidelines adopted by StanCOG’s Policy Board. Upon completion of this analysis, City staff will select the project(s) that are most competitive with the CMAQ and STBG grant guidelines and match the priorities for the City. All applications will be submitted prior to the September 19, 2025, deadline.
FISCAL IMPACT:
CMAQ and STBG grant applications are typically submitted by the Traffic Engineering and Operations Division and the Transportation Engineering and Design Division. The cost to prepare the grant application to apply for funds will come from the operating budget of the respective divisions.
The minimum 11.47% local match required for any of the CMAQ and STBG applications and any additional local match to make the application more competitive will come from the appropriate transportation fund. The local match funding source will be dependent on the project, but historically the match has come from Surface Transportation Funds which include the Gas Tax fund and the Measure L Local Control funds which includes categories for Local Streets & Roads, Traffic Management and Bike and Pedestrian.
If successful in securing CMAQ and/or STBG grant funding, The City of Modesto is committed to obligating funds and delivering the project(s) within the required timelines for the program funds. #3..

Date: May 5, 2025
TO: Economic Development Committee

FROM: Bill Sandhu, Director of Public Works
SUBJECT: Sole Source Procurement of a Caterpillar Replacement Engine CONTACT: Patrick Crowley, Senior Public Works Manager, [email protected], 209-342-2274
DESCRIPTION:
Consider the Sole Source Procurement of a Caterpillar C27 Tier 4 Engine, or equivalent engine meeting Air Board regulations, to Holt of California, Sacramento, CA for an amount not to exceed $271,720, and forwarding to Council for approval. (Funding Source: Compost Operations Fund).
STRATEGIC PLAN ELEMENT:
The recommended action supports the 2020-2025 City of Modesto Strategic Plan Area of Focus:
Quality of Life; “engage partners across the community to ensure the safety, resilience, and attractiveness of Modesto”; Goal D: “Provide safe, efficient, and reliable infrastructure through proactive community investment, maintenance, and sustainability efforts.” BACKGROUND:
On August 21, 2003, the Air Board initially adopted Rule 4702 – Internal Combustion Engines, which required different engine certification upgrades for internal combustion engines by certain due dates. There have been many amendments to different sections of Rule 4702 over the years which include: June 16, 2005, April 20, 2006, January 18, 2007, August 18, 2011, November 14, 2013, and August 19, 2021.
On April 24, 2007, by Resolution 2007-250, Council approved the sole source purchase, directly from the manufacturer of a Diamond DZH 5000 Horizontal Wood Grinder equipped with a 1050 horsepower Caterpillar C27 Tier 2 diesel powered engine, for a total cost of $602,779, to enable the Compost Facility to grind and process approximately 80,000 tons of green waste, wood waste, and food waste annually from our residential, commercial, and forestry/green waste programs. The grinder’s engine and usage are permitted and regulated through the San Joaquin Valley Air Pollution Control District (SJVAPCD). #4..

Economic Development Committee, June 2, 2025
Sole Source Procurement of Caterpillar Replacement Engine
On September 4, 2018, by Resolution 2018-367, Council approved the replacement of the original engine to meet air quality regulations for a total cost of $288,543. This action authorized the replacement of the engine with a Caterpillar manufactured engine meeting California’s Tier 4 air quality regulations.
DISCUSSION:
On January 16, 2025, the Fleet Services Division mobile mechanic received notification the grinder shut down during operations. Upon evaluating the grinder, it was determined a major coolant leak and hydraulic leak originating through the crank-side hydraulic pump occurred. The engine was excessively hot and showed visual evidence of damaged components, melted sensors and discoloration of engine components. The engine failed to restart and it was determined further analysis was required. Subsequently all drive components, hoses, and belts were disconnected, and the engine has been verified by staff as seized and no longer salvageable. Staff also requested support from the Cummins Engine local distributor, Holt of California, to examine the engine for recommendations based on engine malfunction.
Upon investigation by Holt, they confirmed the in-house mechanic’s analysis that the unit had a catastrophic failure of the cooling system that seized the engine. This was verified through the on-board engine computer that logged a sudden overheat event which appears to be from a sudden loss of coolant, and severe signs of extreme heat around the radiator, engine block and cylinder heads. The warranty for this engine expired in July of 2024. Further, this engine will save countless hours of fabrication time to make another engine that was not specifically designed for this application.
The recommendation from staff and the manufacturer is to purchase a “long block” replacement engine, that meets air quality regulations and exchange the engine in the grinder with a replacement engine to restore grinder operations. This would include a 5-year warranty as well as enhanced safety features to warn operators of operating parameters exceeding limits, established through the computer controls. The manufacturer working with the City has offered a ten percent discount in costs due to the relationship between the dealership and the City.
Modesto Municipal Code (MMC) Section 8-3.203 generally requires all purchases, which meet or exceed $100,000 for material, equipment, or contractual services to follow formal bid procedures.
However, MMC Section 8-3.204(b) provides that a purchase may be exempted from the City’s formal bidding requirement where the Purchasing Agency’s requirements can be met solely by a single article or process. Here, Holt of California is the original equipment manufacturer (OEM) only authorized dealer for Caterpillar machines, parts, and service within our territory. Therefore, staff recommends the purchase of the replacement engine, installation, and start-up for the Compost Grinder of this Agreement to Holt of California should be exempt from the formal bidding procedures in accordance with MMC section 8-3.204(b) since Holt of California is the OEM Sole Provider of the replacement engine and replacement parts.
FISCAL IMPACT:
Expenses associated with this Caterpillar C27 Tier 4 Engine diesel powered engine, or equivalent engine, meeting Air Board regulations, have been allocated in the Compost Operations Fund, 4896-56035-57004. Staff is also asking for an additional 15% contingency for unforeseen expenses.

CITY OF MODESTO
COMMITTEE AGENDA REPORT
DATE OF MEETING:
June 2, 2025
Date: May 7, 2025
TO: Economic Development Committee
Eric Alvarez, Chair
Sue Zwahlen, Vice-Chair
Nick Bavaro, Member
THROUGH: Joseph P. Lopez, City Manager
FROM: William Wong, Director of Utilities
SUBJECT: Confirming Detachment of Non-contiguous City Property CONTACT: Jeff Daniels, Wastewater Division Manager, [email protected], 209-577- 6255
DESCRIPTION:
Consider confirming the detachment of a non-contiguous City property deeded to Reclamation District 2091 and forwarding to Council for approval. (Funding Source: Sewer Operations Fund) STRATEGIC PLAN ELEMENT:
The recommended action supports the 2020-2025 City of Modesto Strategic Plan Initiatives, Goal D: Provide safe, efficient, and reliable infrastructure through proactive community investment, maintenance, and sustainability efforts.
BACKGROUND:
Reclamation District (RD) 2091 is comprised of 26 landowners, representing approximately 7,015 acres. The City of Modesto owns approximately 4,500 of the associated acres, or 64% of RD 2091, as part of the City’s Regional Water Recycling Facility-Jennings Campus. This district is governed by the RD 2091 Board of Trustees, which is comprised of three (3) landowner members, including a representative of the City of Modesto.
The City of Modesto annexed non-contiguous acreage known as the Jennings Road No. 2 Change of Organization, approved by the Stanislaus Local Agency Formation Commission Resolution 2010-18, effective January 10, 2011. The City is the sole property owner of land adjacent to the entire stretch of the RD 2091 levee system.
Beginning in August 2022 through December 2023, seepage berms were constructed to accommodate changing river levels without eroding the levee system in high-risk areas to mitigate the damage to the levee. The project required an extension of the levee toe and associated easement on public land owned by the City of Modesto.
Working with the State Department of Water Resources (DWR), the City determined it was in the best interest to protect its assets from future flood risk and grant approximately 19.63 acres from the adjacent City of Modesto property to RD 2091. This area includes an easement, approximately 15 feet wide, to accommodate a required access road at the base of the berm. #5..
- 66 -
Economic Development Committee, June 2, 2025
Confirming Detachment of Non-contiguous City Property
The easement was necessary for routine access to the levee for continued inspections and maintenance requirements.
To meet “in kind” contribution to the repair of the levee system, the City granted a portion of the parcels listed below to RD 2091. In doing so, the (DWR) contributed a monetary match to RD 2091 to offset repair costs. The land contribution for this Project involved all real property that was required to physically construct the seepage berms as well as property utilized to extend the right-of-way easement.
On December 12, 2023, by Resolution No. 2023-565, Council approved the grant of easement rights to the Sacramento and San Joaquin Drainage District.
On December 12, 2023, by Resolution No. 2023-566, Council approved a land grant to Reclamation District 2091.
DISCUSSION:
The City granted approximately 19.63 acres to RD 2091, including Assessor Parcel Numbers:
002-001-011, 022-004-025, 058-001-020, 058-001-020, 058-001-020, 058-001-020.
Pursuant to Government Code section 56742(e), non-contiguous territory annexed pursuant to section 56742 but no longer owned by a city shall cease to be part of that city. Government Code section 56742(g) requires the City of Modesto to adopt a resolution confirming the detachment of the non-contiguous property.
The detachment of territory from the City is a mandatory requirement of Government Code section 56742 and as a result, such action is exempt from the requirements of the California Environmental Quality Act (“CEQA”) because such action is ministerial pursuant to section 15268(a) of the CEQA Guidelines (14 California Code of Regulations 15258).
FISCAL IMPACT:
Fiscal impacts were recognized in Resolution 2023-566 to meet “in kind” contributions to the repair of the levee system to RD 2091.
The City of Modesto will also need to provide a check made out to the State Board of Equalization with an estimated $1,850 filing fee to be paid out of the Sewer Operations Fund.
RECOMMENDED COMMITTEE ACTION:
Staff Recommendation:
Motion confirming detachment of a non-contiguous City of Modesto of non-contiguous City properties deeded to Reclamation District 2091, reverting the property back to unincorporated status within the County of Stanislaus and forwarding to Council for approval.

[email protected], 209-571-5175
DESCRIPTION:
Consider an Architectural Services Agreement with RED INC Architects, of Modesto, CA, for the Fire Station 1 Rehabilitation and Tenant Improvements Project in the amount of $429,490, plus $42,949, if needed, for an Agreement total not to exceed $472,439 and forwarding to Council for approval. (Funding Source: America Rescue Plan Act Grants Fund) STRATEGIC PLAN ELEMENT:
The recommended action supports the 2020-2025 City of Modesto Strategic Plan Initiatives, Goal D: Provide safe, efficient, and reliable infrastructure through proactive community investment, maintenance, and sustainability efforts.
BACKGROUND:
Fire Station 1, located at 610 11th Street was originally constructed in 1939 and is currently the City’s busiest, serving the Downtown, La Loma, Graceada and College neighborhoods housing both an Engine and Truck Company along with Brush 1.
Due to the age of the building, it needs various interior and exterior improvements; In September of 2024 an On-Call Architectural Services Task Order was issued to RED INC Architects to prepare a Rehabilitation and Tenant Improvement Study to summarize what a potential renovation would entail along with the associated cost estimates.
Along with addressing the needs and preserving the look of the historical art deco building, this Project will also provide Modesto Fire Department personnel with the necessary amenities to carry out their daily tasks for many years to come.

On March 25, 2025, Staff received and distributed five (5) proposals to a Selection Committee consisting of Utilities and Engineering Services Department Staff. The proposals were evaluated, and the top two firms were invited to interview. Following the interviews, Staff selected RED INC Architects, of Modesto, CA to provide Architectural Services for the Fire Station 1 Rehabilitation and Tenant Improvement Project.
Once the selection ranking had been finalized, RED INC Architects’ sealed cost proposal was opened and assessed to be reasonable for delivering the proposed services.
The scope of services to be provided under this Agreement include:
Schematic Design
Design Development
Construction Documents
Bidding Services
Engineering Support During Construction
In accordance with Modesto Municipal Code 8-3.204(a) “Exceptions to Formal Bidding Requirements”, Agreements for Professional Services are exempt from the bidding requirements of the Modesto Municipal Code 8-3.203 if competitive quotations or proposals have been sought informally from at least three (3) qualified entities. However, Staff proceeded with the RFP process pursuant to Administrative Directive 3.1 and five (5) proposals were received as part of this solicitation.
Staff recommends approval of an Architectural Services Agreement with RED INC Architects, of Modesto, CA for the Fire Station 1 Rehabilitation and Tenant Improvements Project.

City of Modesto ñ RFP for Fire Station 1 Rehabilitation and Tenant Improvements 1217 J. Street Modesto, CA 95354 209.522.8900 redincarchitects.com
SCOPE OF DESIGN SERVICES - PROJECT UNDERSTANDING
The following is a summary of our understanding of the project scope of services and considerations for potential issues. This project provides unique opportunities and challenges in restoring and upgrading a historic building. Our team is experienced in these challenges and recently worked together to rehabilitate the City of Modestoís Downtown Transit Center.
The overall project scope of work is well outlined in the RFP, and having completed the initial study on this building, our team is uniquely qualified and has a solid understanding of the scope and challenges for this project. Therefore, we will not repeat those here and will rather highlight a few key considerations and challenges.
1. Program ñ Working with the City of Modesto Fire Department to gain a complete understanding of their operational and functional needs at the station. Though interactive meetings and design discussions with key members of the department we will develop a final space program including adjacencies. This program will inform our design layout for the interior. By modeling the improvements in 3D (Revit), we can use this as a design tool to better illustrate the design to the fire department and City of Modesto.
2. Existing conditions ñ As with all remodels and especially historic buildings, careful attention must be given to the existing conditions of the building and any prior alterations that have occurred.
Our team will spend time onsite in the early phases of design to ensure we capture a clear understanding of all existing conditions of the building. As not everything can be uncovered prior to construction, we will endeavor to capture as much as possible in our documents. When unforeseen conditions come up during construction, our local team can be onsite quickly to help remedy in a timely manner with the contractor.
3. Infrastructure ñ This project will require our engineering team to conduct a thorough analysis of the existing systems and infrastructure. This will help determine what can remain and what components will need to be replaced. Our experience in past projects of similar nature will help to advise the City and Fire Department on these decisions.
4. Structure ñ A clear understanding of the existing structural system is required to develop an efficient solution to retrofit for seismic anchorage. Our engineerís will continue their onsite analysis and work to develop cost effective and minimally invasive retrofit solutions. Special consideration is also give to the constructability of these details and solutions.
5. Phasing of Work ñ As the intent is to have the engine bays operational for as long as possible during construction, careful consideration must be given to the phasing of the work and project.
This must also be captured in the bid documents so that the contractor can account for this in their bid. Our team is very experienced in remodels and designing projects in critical environments that must remain operational during construction. A phasing plan will be developed with input from the City of Modesto and Modesto Fire Department.

City of Modesto ñ RFP for Fire Station 1 Rehabilitation and Tenant Improvements 1217 J. Street Modesto, CA 95354 209.522.8900 redincarchitects.com
SCOPE OF DESIGN SERVICES - PROJECT APPROACH
Our approach to the Modesto Fire Station 1 Rehabilitation and Tenant Improvements project will start by working with the City of Modesto to ensure we have established clear goals and objectives. Next, we will create a work plan outlining the execution of the project. We will ensure that all our team members understand the project goals, budget and schedule and that they use these as guiding principles in designing this project. This work plan outlines the key phases of the project, from schematic design through the completion of construction documents and the construction of the project. The development of the work plan is done collaboratively, working with you, as well as the entire design Team. During this step of the design process, key issues, goals, objectives, and critical success factors are identified for the project, as well as for each phase of the project delivery process.
Our comprehensive Work Plan covers the following key phases:
• Schematic Design
• Design Development
• Construction Documents
• Bidding
• Construction Administration
SCHEMATIC DESIGN
The Design portion of the project consists of three phases, each phase corresponding to a submittal to our client for review and approval. The objective of the Schematic Design Phase is the translation of the program and site development plan into a building design, as well as meeting the goals, operational objectives and budget requirements established.
Our Team then prepares all necessary Schematic Design Documents including, but not limited to, the following:
• Site Plan based on site information from the Client, indicating the location of improvements including, concrete apron, parking areas, and location of exterior utilities and service lines. • Floor plans showing all rooms and areas, entrances, exits, circulation corridors, as well as major mechanical and electrical areas.
• Building elevations showing the exterior improvements. • Preliminary general descriptions of systems, the general type and scope of construction, and the equipment required therein.
Once this review of the package is complete, it is submitted to the client for review and approval prior to executing the following phases.

DESIGN DEVELOPMENT
A well-developed schematic design that has the full support of the City of Modesto and City of Modesto Fire Department representatives is the foundation of the work in the Design Development phase. Design Development of the approved schematic design documents will include identification, selection and sizing of all major building systems and components. The process is again achieved by a collaborative effort from all members of the project team. During this phase there will also be environmental (asbestos/lead) testing of the building, and a report developed and presented to the City of Modesto.
Once the package is complete, it is then submitted to the Client for review and approval prior to the next phase. This submittal would represent the 35% construction drawings submittal identified in the RFP.
CONSTRUCTION DOCUMENTS
The Construction Documents phase of the project builds on the decisions made during the Design Development phase. A coordinated set of drawings and specifications is then prepared and submitted to all approving agencies. These drawings will include all design and engineering disciplines, as well as any reports, applications and/or additional forms.
Client submittals for this phase include:
70% Construction Drawings, Specifications and Engineerís Estimate. 90% Construction Drawings, Specifications and Engineerís Estimate.
Final Construction Drawings, Specifications and Engineerís Estimate.
Note: The final submittal includes PDF and appropriate CAD files of drawings, PDF and Word format for specifications.
BIDDING
The architecture and engineering team will assist the City of Modesto during the bidding process in developing the bid line items. Additionally, the team will answer RFIís and issuing addendums.
CONSTRUCTION ADMINISTRATION
Our experience has proven that having key project personnel that are involved during the design and construction documents phases provide construction support and ensures consistency. Maintaining this continuity is what solidifies that design and performance goals are achieved. During the Construction Administration phase, the A/E Team will assist in the following:
• Respond to all RFIís, memorandums, and all other inquiries from the field. • Prepare designs bulletins for any changes needed.
• Review and approve all submittals, shop drawings and substitution requests. • Attend on-site and virtual construction and team meetings. • Review and comment on all requests for revisions or changes.

The City of Modesto may require the Consultant to purchase coverage with a lower retention or provide proof of the ability to pay losses and related investigations, claim administration, and defense expenses within the retention. Any and all deductibles and SIRs shall be the sole responsibility of consultant or subconsultant who procured such insurance and shall not apply to the Indemnified Additional Insured Parties.
Acceptability of Insurers
Insurance is to be placed with insurers with a current A.M. Best’s rating of no less than A:VII, unless otherwise acceptable to the City of Modesto.
Claims Made Policies (applicable to Professional Liability only) If any of the required policies provide claims-made coverage:

1. The Retroactive Date must be shown and must be before the date of the contract or the beginning of contract work.
2. Insurance must be maintained, and evidence of insurance must be provided for at least five (5) years after completion of the contract of work.
If coverage is canceled or non-renewed and not replaced with another claims-made policy form with a Retroactive Date prior to the contract effective date, the Consultant must purchase “extended reporting” coverage for a minimum of five (5) years after completion of work.
Verification of Coverage
Consultant shall furnish the City of Modesto with original certificates and amendatory endorsements or copies of the applicable policy language affecting coverage required by this clause and a copy of the Declarations and Endorsements Pages of the CGL and any Excess policies listing all policy endorsements. All certificates and endorsements are to be received and approved by the City of Modesto Risk Services before work commences. However, failure to obtain the required documents prior to the work beginning shall not waive the Consultant’s obligation to provide them. The City of Modesto reserves the right to require complete, certified copies of all required insurance policies, including endorsements required by these specifications, at any time. City reserves the right to obtain a full certified copy of any insurance policy and endorsements. Failure to exercise this right shall not constitute a waiver of right to exercise later.
Subconsultants
Consultants shall require and verify that all subconsultants, or other parties hired for this work, purchase and maintain coverage for indemnity and insurance requirements as least as broad as specified in this agreement to the extent they apply to the scope of the subconsultant’s work with the same certificate of insurance requirements and naming as additional insureds all parties to this contract.
Special Risks or Circumstances
City of Modesto reserves the right to modify these requirements, including limits, based on the nature of the risk, prior experience, insurer, coverage, or other special circumstances.

MECHANICAL AND PLUMBING NARRATIVE

01 / Narratives
Mechanical Narrative
None of the mechanical systems on the second floor or the basement is worth trying to rehabilitate. We can provide proper heating and cooling on each of those floors with a properly zoned VRF system. This will require a system with an overall capacity of approximately 25-30 tons and will be split into 18 zones.
Since this is a heat pump system, no gas will be necessary for the space heating of those floors. The condenser to serve this system could be located on the roof or the ground outside. The restrooms would be served by new exhaust fans.
The kitchen will have a Class 1 hood which will need to be coupled with a new makeup air system (both heating and evaporative cooling).
The apparatus bay would be ventilated with exhaust fans and heated by gas-fired infrared heaters.
There is a vehicle exhaust system that currently serves the apparatus bay and we would recommend that it be replaced with a new system that is capable of handling each of the planned vehicle’s locations.
Plumbing Narrative
Given the condition of the roof, I would assume all the roof drains will be replaced in conjunction with the roof replacement. Also plan to replace all of the piping that serves as rainwater leaders – both drains and overflows.
The domestic plumbing systems are extremely old and have been added to and modified many times over the years. Given the extent of the remodel, plan to completely replace all of the domestic water and sewer lines. We may find that some of the drains could be salvaged but to be safe at this point I would just assume replacement.
Domestic hot water would be provided by a natural gas fired storage water heater with a hot water recirculation system and pump. To accommodate the showers for the living quarters and the kitchen, assume a 250,000 btuh storage water heater.

Re: City of Modesto Fire Station #1 Assessment
As requested, we have investigated the existing location at City of Modesto Fire Station #1 for a potential renovation of the original facility.
Base Scope
The existing station is served by an existing 800A, 120/208V, 3 phase, 4 wire Square-D main switchboard with antiquated ASCO automatic transfer switch and 37.5kVA diesel generator.
The distribution throughout the facility consists of numerous loadcenters. Given the age of various electrical components and lack of infrastructure there is nothing of value with the potential exception of the main switchboard. If the scope of work was just limited to interior improvements with addition of just mechanical and elevator, we could potentially make the service work. Potential improvements to the electrical system would require new panelboards throughout, new isolation bypass transfer switch (800A or 2x400A), and potentially a 250kW diesel generator (Tier 4) to support the entire building. However, with the talk of vehicle electrification and other exterior improvements, we see a new electrical service and more robust emergency power system being required.
Vehicle Electrification
This scope of work needs further detailed discussion, but there has been talk of the fleet transitioning to electrical fire trucks such as Pierce Volterra platform https://www.piercemfg.com/electric-fire-trucks/pierce-volterra. In reviewing that the station is a 5 bay design, and all bays could be electric as well as the light vehicles (SUV, puckup, etc). The EV chargers necessary to support these vehicles with 90kWh to 200kWh battery packs in will require 480V direct current fast chargers (DCFCs) such as #6..
- 127 -
https://chargepoint.ent.box.com/v/EXPP-PowerLink2000-DS-EN-US which the station could have 2 or 3 of these units. If we figure the Station requires ~600kW in vehicle charging infrastructure plus the building needs, I will initially suggest a new 1,600A, 277/480V, 3 phase, 4 wire MID service with (2x) isolation bypass transfer switches (1 to support the building and another for the EV chargers) and no less than a 750kW Tier 4 diesel generator to support the entire station.
Again, this is an initial solution that needs further vetting by City staff with a potential EV fire truck vendor and the number of calls this station receives per day. Regardless of how this evolves, I would anticipate a 480V service regardless, and standby generator to charge the entire fleet in quick fashion during a natural disaster event. It is important to note that this infrastructure be considered in the scenario of Station #1 modernization or entirely new fire station in downtown Modesto.
