Except as expressly set forth in this Agreement, the Tenant shall not mortgage its interest in the Property without the City’s prior written approval. Tenant may assign this Agreement, with the written approval of the City, which shall not be unreasonably delayed, withheld or conditioned, to any Persons succeeding in the ownership of the Tenant, provided that such successor is first approved by the Pioneer Baseball League’s Board of Directors and the league allows the franchise to continue to play its Home Games at the Property under the terms of this Agreement. Excepting the aforementioned, the Tenant shall may not sell, transfer, sublet, assign, encumber, hypothecate or otherwise convey (“Transfer”) its leasehold interest hereunder or any portion of its interest in the Property or this Agreement voluntarily, involuntarily, by operation of law, or otherwise, without the City’s prior written consent, not to be unreasonably withheld, conditioned or delayed, unless such Transfer is to an entity capable of performing the uses in Section 5.1(a). No voluntary or involuntary assignee, subtenant, or successor in interest of the Tenant shall acquire any rights or powers under this Agreement absent such consent.
Any transfer other than that described in this Section 11.1 shall constitute an Event of Default under this Agreement by the Tenant, and the City shall have the right to terminate this Agreement pursuant to Article XII as a result of any such transfer taking place, in which case this Agreement shall not be treated as an asset of the Tenant.
11.2 Sale by City. If any portion of the Property is to be sold or transferred by the City, the City must provide the Tenant at least nine (9) months notice and under no circumstances shall any sale, transfer, assignment or conveyance of the Property prevent the Tenant from completing any Pioneer Baseball League season in that same calendar year. At such time as the City shall sell, transfer, assign or convey the entire right, title and estate of the City in the Property and in this Agreement, all obligations and liability on the part of the City arising under this Agreement after the effective date of such sale, transfer, assignment or conveyance shall terminate as to the City, and thereupon all such liabilities and obligations shall be binding upon the transferee.
11.3 Quiet-Enjoyment.Provided that the Tenant is not in default under this Agreement, the Tenant’s possession, use and enjoyment of the Property (“Quiet Enjoyment”) shall not be interfered with, disturbed or diminished, or otherwise affected in any manner as a result of any act or omission of the City, or any exercise of any remedies under this Agreement. #1..

12.2.2 Failure to Give Notice; No Waiver. Failure to give, or delay in giving, the Notice of Default shall not constitute a waiver of any obligation, requirement or covenant required to be performed hereunder. No failure or delay by either party in asserting any rights and remedies as to any breach shall operate as a waiver of any breach or of any such rights or remedies. Delay by either party in asserting any of its rights and remedies shall not deprive such party of the right to institute and maintain any action or proceeding which it may deem appropriate to protect, assert or enforce any such rights or remedies.

The City’s re-entry or taking of possession of the Property shall not be construed as an election on the City’s part to terminate this Agreement unless the City shall have given written notice of such intention to the Tenant. In no event shall this Agreement be treated as an asset of the Tenant after any final adjudication in bankruptcy except at the City’s option so to treat the same but no trustee, receiver, or liquidator of the Tenant shall have any right to disaffirm this Agreement.
13.3.2 Right to Injunction; Specific Performance. In the event of a default by the either Party under this Agreement, the non-defaulting Party shall have the right to commence an action against the defaulting Party for damages, injunction and/or specific performance.
