Coverage shall not be suspended, voided, cancelled, reduced in coverage or in limits, non-renewed, or materially changed for any reason, without thirty (30) days prior written notice thereof given by the insurer to the CITY by U.S. mail, or by personal delivery, except for nonpayment of premiums, in which case ten (10) days prior notice shall be provided.

l. Any deductibles or self-insured retentions must be declared to and approved by the CITY. At the option of the CITY, the VENDOR shall either reduce or eliminate the deductibles or self-insured retentions with respect to the CITY, or the VENDOR shall procure a bond guaranteeing payment of losses and expenses.

SECTION 16. SUBCONTRACT, ASSIGNMENT OR DELEGATION.

Any proposed subcontract, delegation, or assignment shall provide a description of the services to be covered, identification of the proposed sub-vendor, delegee, or assignee, and an explanation of why and how the same was selected, including the degree of competition involved.
Any subcontract, delegation or assignment shall be made in the name of the VENDOR and shall not bind or purport to bind the CITY and shall not release the VENDOR from any obligations under this Agreement including, but not limited to, the duty to properly supervise and coordinate the work of employees, assignees, delegees or sub-vendors. No such subcontract, delegation or assignment shall result in any increase in the amount of total compensation payable to the VENDOR under the Agreement.
SECTION 17. NO WAIVER.
Waiver by any party hereto of any term, condition or covenant of this Agreement shall not constitute the waiver of any other term, condition, or covenant hereof.
SECTION 18. DISPUTE RESOLUTION; GOVERNING LAW.

CITY OF MONTEBELLO
CITY COUNCIL AGENDA STAFF REPORT
TO: Honorable Mayor and City Council Members
FROM: Raul Alvarez, City Manager
BY: Joseph Palombi, Director of Planning & Community Development
SUBJECT: APPROVE RESOLUTION NO. 25-82 DECLARING CERTAIN REAL PROPERTY OWNED BY THE CITY TO BE “SURPLUS LAND”
PURSUANT TO THE CALIFORNIA SURPLUS LAND ACT AND
DIRECTING THE RELEASE OF A NOTICE OF AVAILABILITY
DATE: September 10, 2025
RECOMMENDATIONS:
It is recommended that the City Council:
1. Approve Resolution No. 25-82 declaring certain City-owned property, more particularly described in Exhibit A, as “Surplus Land” pursuant to Government Code Section 54221(b); and
2. Authorize the Director of Planning and Community Development to prepare and transmit a written Notice of Availability for the Property in compliance with Government Code Section 54222; and
3. Authorize the City Manager, or designee, to take all necessary actions to carry out the intent of this Resolution and ensure compliance with the Surplus Land Act; and
4. Take such additional, related action that may be desirable.
FISCAL IMPACT:
The approval of Resolution No. 25-82 will not result in any immediate fiscal impact.
Declaring the property as “Surplus Land” and issuing the Notice of Availability are administrative actions required under California housing law. Any potential fiscal impact will depend on the ultimate disposition of the property and will be brought forward for City Council consideration at a future date.
CITY COUNCIL AGENDA REPORT - MEETING OF SEPTEMBER 10, 2025
BACKGROUND/DISCUSSION:
The City of Montebello owns real property in Downtown Montebello, as described in Exhibit A (the “Property”). The subject site includes a small commercial office space totaling approximately 3,258 square feet and a public surface parking lot (the Newmark Mall) that provides 135 parking spaces serving businesses in Downtown Montebello.
Consistent with the Downtown Montebello Specific Plan and the City’s 2040 General Plan, Downtown Montebello is envisioned as a low- to mid-rise, mixed-use district that fosters a thriving pedestrian environment supporting commercial/retail establishments, where housing is developed intentionally in a manner that supports economic vitality and does not displace existing businesses along the mixed-use corridor. Any successful project would not result in a reduction of available parking spaces for the existing business community.
The California Surplus Land Act (Government Code Sections 54220–54234) establishes requirements for the disposition of public land deemed surplus by local agencies. The Act requires that, prior to disposition, a local agency must formally declare such property either “exempt surplus land” or “surplus land” through adoption of a resolution at a regular public meeting.
Once declared surplus, the Surplus Land Act requires that the City issue a Notice of Availability to certain eligible entities, including affordable housing developers, local public agencies, and other qualified entities, before entering into negotiations for sale or lease.
ENVIRONMENTAL:
In accordance with the California Environmental Quality Act (“CEQA”), declaring City- owned property surplus and issuing a Notice of Availability is exempt pursuant to CEQA Guidelines Section 15061(b)(3) (the “Common Sense Exemption”), in that it can be seen with certainty that there is no possibility the approval will have a significant effect on the environment. The action also does not constitute a project under CEQA Guidelines Section 15378(a), and none of the exceptions to categorical exemptions set forth in CEQA Guidelines Section 15300.2 apply. Additionally, the declaration of surplus land is a purely administrative and legislative action that does not authorize any development, demolition, or construction. Accordingly, the action is further exempt under CEQA Guidelines Section 15378(b)(5), which provides that organizational or administrative activities of governments that will not result in direct or indirect physical changes in the environment are not considered projects.
ANALYSIS:
Declaring the Property as surplus is an administrative step required under State Housing Law to allow the City to consider future disposition options. The declaration does not commit the City to a specific reuse or sale but ensures compliance with the Surplus Land Act, which prioritizes opportunities for affordable housing, parks, and open space when disposing of public land.
CITY COUNCIL AGENDA REPORT - MEETING OF SEPTEMBER 10, 2025
Issuance of the Notice of Availability ensures that eligible entities are informed and provided the first opportunity to submit proposals consistent with State law. The City Council will retain full discretion in reviewing and approving any future agreements regarding the Property.
SUMMARY:
Approval of Resolution No. 25-82 will declare the Property as “Surplus Land” consistent with the requirements of the California Surplus Land Act. The action ensures legal compliance, authorizes issuance of the Notice of Availability, and preserves the City Council’s authority over any future disposition. The action is administrative in nature, has no direct environmental impacts, and positions the City to move forward in accordance with State law.

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
MONTEBELLO DECLARING CERTAIN REAL PROPERTY OWNED BY
THE CITY TO BE “SURPLUS LAND” PURSUANT TO THE CALIFORNIA SURPLUS LAND ACT (GOVERNMENT CODE SECTION 54220 ET SEQ.)
AND DIRECTING THE RELEASE OF A NOTICE OF AVAILABILITY
WHEREAS, the City of Montebello (“City”) is the fee owner of certain real property located in Downtown Montebello, more particularly described in Exhibit A attached hereto (the “Property”); and
WHEREAS, Government Code Sections 54220 through 54234, known as the “Surplus Land Act” (the “Act”), set forth requirements for local agencies, including cities, in the disposition of surplus public land; and
WHEREAS, Government Code Section 54221 requires the City, prior to the disposal of land, to declare the land either “exempt surplus land” or “surplus land” by resolution at a regular public meeting; and
WHEREAS, the Property is no longer necessary for the City’s use, and the City Council has determined that the Property should be declared “surplus land” as defined in Government Code Section 54221(b); and
WHEREAS, upon such declaration, the City is required to provide a written “Notice of Availability” to eligible entities identified in the Act, including housing sponsors, local public entities, and other eligible agencies, consistent with Government Code Section 54222; and
WHEREAS, the City Council finds that declaring the Property as surplus and proceeding under the Act is in the best interest of the City and its residents.
NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF MONTEBELLO HEREBY DETERMINES, FINDS, AND RESOLVES AS FOLLOWS:
SECTION 1. The facts set forth in the Recitals above are true and correct.
SECTION 2. The City Council hereby finds and determines that the Property, more particularly described in Exhibit A attached hereto and incorporated herein, is not necessary for the City’s use and is hereby declared to be “Surplus Land” pursuant to Government Code Section 54221(b).
SECTION 3. The City Council authorizes the Director of Planning and Community Development to prepare and transmit a written Notice of Availability for the Property in compliance with Government Code Section 54222.
RESOLUTION NO. 25-82
SECTION 4. The City Council authorizes the City Manager, or designee, to take all other necessary actions to appropriately carry out the intent of this Resolution and to ensure compliance with the Surplus Land Act.
SECTION 5. The City Clerk shall certify the adoption of this Resolution, and it shall go into effect immediately upon its adoption.
SECTION 6. The City Council finds and determines that approval of this Resolution declaring certain property as Surplus Land, as detailed in Exhibit A, is exempt from the California Environmental Quality Act (“CEQA”) pursuant to CEQA Guidelines Section 15061(b)(3) (the “Common Sense Exemption”), in that it can be seen with certainty that there is no possibility the approval will have a significant effect on the environment.
APPROVED AND ADOPTED ON THIS 10TH DAY OF SEPTEMBER 2025.
