1. CALL TO ORDER - NO VIDEO/AUDIO
The regular meeting was called to order at 5:30 p.m. by Mayor Teresa Onoda.

Councilmembers absent: None.

Public Comments were received by Supervisor Candace Andersen, Kaylee DeLand on behalf of Supervisor Mark DeSaulnier, Cherise Khaund representing Assemblymember Rebecca Bauer- Kahan, Kena Hudson, David Lorrie and Dave Trotter.

A. Consideration of Consent Items Removed for Discussion Vice Mayor Woehleke pulled Consent Calendar Item 6.5 for discussion.

6.1 Receive Accounts Payable Claims for: November 5, 2024 - November 26, 2024 ($640,363.25).
Approval of Minutes for the October 23, 2024 and November 13, 2024 Regular meetings of the Moraga Town Council.
6.3 Adopt a Resolution approving the Employee Salary Schedule dated and effective January 1, 2025.
6.4 Adopt a Resolution to accept and file the AB 1600 Development Impact Fees Annual Report for the fiscal year ended June 30, 2024, in conformance with Government Code Sections 66000-66008 and make findings regarding funds collected but not expended.
6.5 Review and Accept the Annual Comprehensive Financial Report, Memorandum on Internal Control, Required Communications, and Annual Gann Act Budget Appropriations Limit Calculation reports for the year ending June 30, 2024.
Adopt a Resolution accepting two public art sculptures to be placed at West Commons Park; authorizing the Town Manager to execute a Public Artwork Donation Agreement with Doug Heine and Amy Evans-McClure; and appropriating $1,000 in the Fiscal Year 2024-25 Art in Public Spaces Fund (Fund134) Budget.
6.7 Adopt a Resolution authorizing the Town Manager to purchase a new 2023 Dodge Durango (Pursuit Utility) police vehicle for $47,710.39 from Elk Grove Auto pursuant to the Town of Moraga Purchasing Policy.

9. DEPARTMENT REPORTS
A. Mayor Teresa Onoda Year in Review - NO VIDEO/AUDIO
Mayor Onoda presented the Year in Review presentation.
Outgoing Councilmembers gave remarks.
Public Comment was received from: Ellen Beans, Scott Mitnick, Michelle Marchetta Kenyon and Dave Trotter.
Mayor Onoda called for a 5 minute recess to reset the Council chamber in preparation for the Council Re-Organization.
Vice Mayor Woehleke presided over agenda Item 9B.
B. Reorganization of the Town Council - Nomination and Election of Mayor and Vice Mayor
Reorganize the Town Council, administer the Oath of Office to incoming Councilmembers, elect a Mayor and Vice Mayor for the ensuing twelve (12) month period, and allow remarks and recognition of incoming Councilmembers.
Vice Mayor Woehleke called for Town Clerk, Amy Heavener to administer the Oath of Office to incoming Councilmembers: Brian Dolan, Lisa Maglio and Graham Thiel.
Vice Mayor Woehleke called for public comments pertaining to the incoming Councilmembers.
Public Comment was received from: Karl Davis and Barry Behr.
Vice Mayor Woehleke called for a motion to vote for 2025 Mayor.
ACTION:
Motion: Hillis / Second: Maglio
Elect Vice Mayor Steve Woehleke to the position of Mayor for the 2025 calendar year.
Vote: (5-0)
Mayor Woehleke gave comments and thanks.
Mayor Woehleke called for a motion to vote for 2025 Vice Mayor.
ACTION:
Motion: Woehleke / Second: Thiel
Elect Councilmember Kerry Hillis to the position of Vice Mayor for the 2025 calendar year.
Vote: (5-0)
Mayor Woehleke called for a brief recess to re-set the dais chairs.
