25. SUMMARY

This report recommends authorization to submit a Continued Funding Application (CFA) and upon approval of the CFA, acceptance of Child Care Development Program funds from CDSS to continue operation of A Child’s Place licensed after -school child care program for school -age children during fiscal year 2024 -25. This program is supported by Child Care Development Program funds, parent fees, and Child & Adult Care Food Program (CACFP) funds. Child Care Development Program operating funds are a combination of federal and state funding.

DISCUSSION

The focus of the initial program application submitted by the City of Moreno Valley Parks and Community Services Department was based on high demand evaluated by the Department within its own programs. This included the need for after -school care during the traditional school year and full day of child care on school vacation days.

The program, called “A Child’s Place,” operates in five elementary schools: Armada, Creekside, Rainbow Ridge, and Sunnymead during the school year, and at Val Verde Academy during the school vacation days.

Since January 1997, “A Child’s Place” has served income qualified families who meet the program criteria including those who are either employed, seeking employment or attending school or vocational training. The program serves 142 children ranging from ages 4 and 9 mos. through 12 years of age. The program fosters healthy social and emotional development of children by providing structured activities that are fun, educational and challenging for the children.

Programming consists of a daily nutritious snack, educational enrichment workshops, homework assistance, arts and crafts, indoor and outdoor games, and more. In addition, educational field trips, parent and me classes, and other informational sessions on topics such as healthy eating & nutrition, substance abuse, are offered throughout the year. The program works closely with parents and school site staff to incorporate applicable school rules into the program and provide emotional support for children.

A Child’s Place operates Monday through Friday from 12:00 p.m. to 6:00 p.m. on school days and also during non-school days from 7:00 a.m. to 6:00 p.m.

ALTERNATIVES

1. Approve the recommendations as listed in this staff report. Staff recommends this alternative as it will allow for continued child care and development program services to school age children.

2. Do not approve the recommendations as listed in this staff report. Staff does not recommend this alternative.

FISCAL IMPACT

There is no impact to the General Fund. The proposed Child Care Development funding reimburses the City based on eligible program expenditures. Revenue sources for the program include Federal and State funding, family program fees, and food program revenue. The amount of revenue and expenditures is estimated at $ 840,000 for FY 24 -25. Per recommendation item two above, staff will make the necessary budget adjustments based on the final contract amount received from the California Department of Social Services and other funding sources.

If approved, Parks & Community Services staff will work with the four selected applicants to enter into a Professional Services Agreement to complete the proposed projects.

Funding for these projects will come from Inland SoCal Creative Corps My MoVal Mural Grant funding awarded in August of 2023.

DISCUSSION

On July 5, 2023, Creative Corps Inland SoCal, a state -funded initiative of the California Arts Council (CAC) in collaboration with the Inland Empire Community Foundation (IECF), Arts Connection – The Arts Council of San Bernardino County, Riverside Arts Council, and the California Desert Arts Council, announced the 53 award recipients of more than $3.8 million in funding. Grantees were selected through an external evaluation process that included community stakeholders from across both counties.

The City of Moreno Valley proudly received $70,000 in grant funding of which $60,000 will be used to fund the four My MoVal Mural Projects, $15,000 each.

The City Council approved the receipt of this grant award on August 15, 2023.

As part of the grant requirements, City Staff conducted public outreach to identify a theme for each of the mural locations. Based on the feedback received, the themes were identified and included as part of the Call to Artists which was released on November 6, 2023, inviting artists to apply for this opportunity.

The application period closed on December 6, 2023. A total of 47 applications were received for the various locations.

On December 20, 2023, The Arts Commission reviewed, scored, and selected one application per district to be considered for approval by Council , which is being presented as part of this report.

A.14
Packet Pg. 205

Page 3 ends

If approved, staff will work with each of the artists to enter into a professional services agreement to complete the proposed projects. To comply with the grant requirements, all murals will be fully completed and accepted by the City by May 21, 2024.

ALTERNATIVES

1. Approve the Art Commission’s recommended actions as presented in this staff report. The Art Commission recommends this alternative as it will have a positive impact on the community by providing approval for the installation of four murals across the city which are part of the grant scope & accomplishment requirements for the My MoVal Mural Grant Funding received from Inland SoCal Creative Corps.

2. Do not approve the Art Commission’s recommended actions as presented in this staff report. The Art Commission does not recommend this alternative as it will not provide the opportunity to meet the requirements for the My MoVal Mural Grant received from Inland SoCal Creative Corps.

FISCAL IMPACT
There is no fiscal impact as funds for these projects is currently budgeted and approved in 2300-50-92-75018-625099. The total budget for these projects is $60,000.

Briefly describe your experience as an artist or involvement in public art projects:

With a deep appreciation for public art and its ability to transform spaces, I have dedicated my career to creating captivating and meaningful art that engage and inspire viewers. Having completed numerous successful projects in diverse settings, I am confident in my ability to bring a fresh and distinctive artistic perspective to Moreno Valley.

I firmly believe that art has the power to connect communities and evoke emotions. Through my public art, I strive to tell stories, capture the essence of a place, and celebrate the unique cultural fabric of a community. I am particularly drawn to the opportunity to contribute to the artistic landscape of Moreno Valley, as a local born, raised and currently living in this beautiful progressive city.

My artistic style can best be described as dynamic, vibrant, and visually captivating. I have honed my skills in creating large-scale murals that incorporate intricate details, bold colors, and diverse artistic elements such as my “How To Fly” mural. A massive 2,500 sq ft mural located in the heart of downtown Riverside, CA at the Mariposa Alley.

Collaboration is an integral part of my artistic process. I thrive on engaging with clients, community members, and fellow artists to gather insights and perspectives that inform the mural's concept and design. I am committed to actively involving the community throughout the mural creation process, ensuring that the artwork resonates deeply with the people it represents.

I possess strong project management skills, allowing me to handle all aspects of a mural project, from conceptualization to completion. I am adept at working within deadlines, managing resources efficiently, and adapting my artistic vision to meet the specific requirements of each project. I also have experience coordinating with local authorities and obtaining the necessary permits to ensure a smooth and successful execution.

Community awareness and support
The goal and objective of my project is the following:
- Beautify Moreno Valley
- Reflect the identity of Moreno Valley
- Foster a sense of inclusivity
- Encourage public art appreciation and awareness
- Engage with the community
- Long lasting impact
Beautify Moreno Valley:

To enhance the visual appeal of the Moreno Valley Recreation Center, we aim to create a mural that will serve as a focal point for the facility. This mural will contribute to a more inviting and aesthetically pleasing environment, thereby encouraging greater community use and engagement with the center.

Reflect the identity of Moreno Valley:

The mural will be designed to reflect the unique identity, culture, and natural beauty of Moreno Valley. It should tell a visual story that resonates with residents, evoking a sense of pride and belonging to the city.

This objective will ensure that the mural is a true representation of the community it serves.

Foster a sense of inclusivity:

I aim to create a mural that promotes a sense of inclusivity and unity among the diverse population of Moreno Valley. The design should celebrate the city's cultural diversity and serve as a unifying symbol for all residents, welcoming people from different backgrounds to the Recreation Center.

Encourage public art appreciation and awareness:

The mural project will also have an educational component. We intend to organize events, workshops, and guided tours that promote public art appreciation and awareness, helping residents and visitors understand the significance of public art and its role in building a vibrant community.

Engage with the community:

Community involvement is key to the success of this project. We will actively engage local artists, residents, and stakeholders in the creative process, from the selection of the mural design to its execution.

By involving the community, we aim to foster a sense of ownership and pride in the final artwork.

Long lasting impact:

The objective is to create a mural that will stand the test of time. We will use high-quality materials and ensure proper maintenance to guarantee the mural's longevity. This will enable future generations to appreciate and enjoy the mural as an enduring symbol of Moreno Valley's culture and community. 4 Document ID: 233397445000047

Briefly describe your experience as an artist or involvement in public art projects:

My experience with public art began in 2019 when my partner and I were commissioned to do an interior mural for a restaurant called “Fire Wings” which was across the street from the college we studied studio art at (Cal state University of San Bernardino). Fire Wings continued to hire us for their various upcoming locations for years to follow. Recently I’ve had the joy of completing more than five public art works throughout the Inland Empire. All projects were unique from the other, in that they were all painted on completely different surfaces and on a variety of different sizes. My designs always aim to play off the colors, plants and fauna found in the project location while adding an appreciation for the park’s amenities and creating an artwork the community will feel proud of. I have been a working artist making a living doing what I love for almost five years now and am grateful for every single project I am trusted with. It is my passion to beautify and bring color to the community that uses the park for their family gatherings and outings. I have seen first hand time and time again the joy it brings the community when the city commissions art at their local parks. Many times as I’m working on these projects, long-time residents stop by to thank me and have a chat about their memories of the park and express how grateful they are to see colorful artwork on a previously damaged, dull colored building. It is my favorite aspect of doing public art, to engage with the community and I always look forward to working on more projects.

The project I'm proposing is for the Shadow Mountain park location. My design focuses on the water conservation message since I feel that as Californians we need to be extra conscious of our water usage.

The title of my design is "Every Drop Counts" and features this message written in a "water aesthetic" font.

There is large plant matter and flowers with their stems appearing to be like arms reaching out for water.

The entire mural is decorated with droplets of water sparingly scattered to really highlight the idea that water is scarce and every drop should be treated as precious. The background is made up of a vibrant blue that is stylistically "cut in half" by sharp edges of a vivid orange to emphasize water scarcity. In addition to the flowers being the subjects urging the audience to treat water carefully, they are also inspired by native flowers that are drought tolerant. Lastly this mural provides the community with vibrant and bright flowers that don't need to be watered.

Briefly describe your experience as an artist or involvement in public art projects:

As an Artist it has always been very important to me for my Art to make a difference. Whether to beautify a space, express a message regarding an important issue and/or be a service for people and businesses.

I’ve created artwork for many small businesses and organizations from storefront window paintings, murals, designing logos and illustrations for branding and marketing. My original Artwork stems from a more personal view point and I tend to focus on spreading positivity or awareness on social and political issues. Despite starting as a self taught artist, after hundreds of clients and projects I have since been able to refine my practice within muralism. I find it important to challenge and believe in myself, and am not afraid to ask for help when I’ve needed it. Recently, Ive become a member of the Eastside Arthouse in Riverside and have since been involved in helping complete larger more professional Mural Projects, such as assisting Juan Navarro in a 1000 sq ft Mural for IEHP . Working on larger projects like this has better prepared me for my own larger projects.

Mural Description:This Proposal is for District 3, the exterior of Moreno Valley Public Library on 25480 Alessandro Blvd. The theme for the Mural is Social Justice & Community Engagement. This mural will be executed using professional grade acrylic paint. A high quality exterior varnish will be applied and will ensure longevity of the mural. The focus of the project is stories of past and current activists in hopes of encouraging the community to be part of the story for change. Design elements include imagery of social activists, social justice symbols, lettering to convey a message, colorful palette with illustrative style for a fresh and fun approach.

Mural Message: Growing up, I remember reading about Civil rights leaders like Martin Luther King Jr., Cesar Chavez, Angela Davis to name a few. Now, with the power of social media, we are seeing even younger leaders fighting for change and social justice. My work is meant to inspire individuals to believe they too can make a difference. At the forefront of the design, there is an icon of an open book with people protesting. This symbolizes that the people who come together and take action are the catalyst for positive change. Throughout history the fist extended upward has been used to symbolize power to the people, in the design you can see it placed in the center. Within the design I added popular Social Justice Leaders speaking out to represent the importance of making your voice heard. Other symbols include a butterfly and flowers which represent change and growth. The overall message of my project is the story for change is still being written and we can all be part of that story by uniting in speaking up and taking positive action in the direction of justice.

Being a Moreno Valley Native, I grew up visiting the Moreno Valley Public Library often. I have fond memories walking across town with my mom and siblings to visit the library. I would get lost in the aisles of books and always leave with a stack of books big to read for my next return date. This library holds many special memories for me and being able to give back and embellish it with my art would be an honor. I wanted to design a piece that would have inspired me when I was younger to get informed on social issues, and how my community and I could make a change. Being located in the entrance of the Library, it will be the first thing guests visiting the Library will see and hope it does the same for others.

Community Outreach: I plan to schedule a volunteer day to allow members of the community to help paint and add to the mural. This time will also be used for open discussion and how we as members of the community can get involved in advocating for social justice.

Meet Patrick Cullen and Leah Nakaahiki, the creative minds behind LITT Designs. Patrick's love for nature and abstract concept art led to the founding of LITT Designs in 2013. They've since crafted a variety of joyful pieces, including books, stickers, tattoos, and logos. Leah, with a passion for video and graphic design, has honed a keen eye for color. Many of LITT's artworks benefit from Leah's expertise, as she skillfully adds vibrant and captivating hues to complement Patrick's intricate drawings. T ogether, their collaboration produces visually striking and meaningful pieces that resonate with their audience. Leah and Patrick together emphasize creative growth, cultural influences, and a commitment to spreading positivity through their diverse artistic endeavors.

Their mural endeavors started with a project in Ewa Beach, Hawaii in collaboration with Blue Zones Project in 2020 in which Patrick designed and painted in collaboration with the community. They started a large mural in their parent's backyard (still a work in progress). And most recently they are working with Damien Memorial Highschool to paint 4 different walls.

The Project:

This proposal is for the “My MoVal Mural Project” for District 4 focusing on Water conservation.

Subject
The central theme of this design revolves around water conservation, specifically highlighting succulents. People love plants but watering plants and lawns use up lots of water each year, which can be risky, particularly in drought-prone regions like Southern California.

The design showcases various types of succulents, emphasizing their suitability for gardens.

Succulents, native to arid environments with limited rainfall, possess a remarkable ability to store moisture in their leaves. This adaptation allows them to endure extended periods of drought, making them a practical choice for water-wise landscaping.

In the context of Southern California's susceptibility to drought, incorporating succulents into gardens becomes a sensible and aesthetically pleasing solution. Not only do succulents offer a diverse array of visually appealing options, but they also align with the principles of water conservation.

By choosing succulents, individuals can continue to enjoy the beauty of plants and greenery without compromising water-wise practices. This design not only promotes sustainable landscaping but also serves as a practical and visually engaging way to address the challenges posed by water scarcity in our region.

Inspiration
Patrick has a deep passion for plants and gardening, with a particular fondness for succulents.

Alongside Leah, he has cultivated numerous succulents over the years to enhance the beauty of their home.

This design would feature some of their favorite succulents, as well as some popular ones for our region.

Some of the succulents that could be featured include:

Materials
This mural will be painted using a combination of acrylic paints and aerosol paint. Other materials that might be used include: long-lasting exterior paint in liquid and aerosol form, paint pens, chalk, brushes, rollers, drop cloths, painter's tape, mineral spirits (cleaning), acetone (cleaning), ladders, scaffolding, and hydraulic lifts.

Cost Breakdown:

Estimated cost breakdown:

Paint $600-$1000 (max)
Additional Materials $200-$700
Labor (design drafts* & painting process) $9000
Optional: Additional Sketches* $150/per
Optional: Wall Prep** $800+equipment rental
Lifts and scaffolding rental Dependent on availability/needs Specialty Items
There are products available that can assist with protecting the mural further or from graffiti. If these are requested they can be used, but there will be an additional charge for the materials and labor. *Drafting
There will be a limit of 3 drafts provided in order to save time and have the project have an efficient timeline. Additional drafts will have a charge, they are requested. Drafts will need to be reviewed and feedback given within 48 hours of being submitted.
**Wall Prep
The wall that is to be painted will need to be cleaned and possibly primed before the start of painting. It is recommended that the wall be prepped beforehand to ensure the longevity of the painting. It is preferred that a crew is hired to do the cleaning/prepping to ensure that it is done correctly and efficiently. Wall prep can be provided at the additional cost plus the cost of equipment needed to complete the job.

TO: Mayor and City Council

FROM: Melissa Walker, Public Works Director/City Engineer

AGENDA DATE: January 16, 2024

TITLE: AUTHORIZATION TO AWARD CONSTRUCTION
CONTRACT TO ELECNOR BELCO ELECTRIC, INC. FOR

TRAFFIC SIGNAL UPGRADES AT PIGEON PASS ROAD
AND IRONWOOD AVENUE – PROJECT 808 0013

RECOMMENDED ACTION
Recommendations:

1. Award a construction contract to Elecnor Belco Electric, Inc., 14320 Albers Way, Chino, CA 91710, for the Traffic Signal Upgrades at Pigeon Pass Road and Ironwood Avenue in the amount of $268,045.00, funded by Measure A and Gas Tax, and authorize the City Manager to execute a contract with Elecnor Belco Electric, Inc. in substantial conformance with the attached contract form;

2. Authorize the issuance of a Purchase Order for Elecnor Belco Electric, Inc. in the amount of $308,251.00 (bid amount plus approximate 15% contingency) when the contract has been signed by all parties;

3. Authorize the Public Works Director/City Engineer to execute any subsequent related change orders to the contract with Elecnor Belco Electric, Inc. up to, but not exceeding, a contingency of $40,206.00 subject to the approval of the City Attorney; and

4. Authorize a budget adjustment as set forth in the Fiscal Impact section of this report to provide sufficient budget to complete the construction of the Traffic Signal Upgrades at Pigeon Pass Road and Ironwood Avenue.

SUMMARY
This report recommends approval of a contract with Elecnor Belco Electric, Inc. for the construction of the Traffic Signal Upgrades and related street improvement restorations A.16
Packet Pg. 313

Page 2 ends

at the intersection of Pigeon Pass Road and Ironwood Avenue. The work is funded by Measure A and Gas Tax and a part of the Traffic Signal Equipment Upgrades project as included in the adopted Capital Improvement Plan Fiscal Years 2023-24 and 2024-25.

DISCUSSION
The existing underground conduits that house the communication cables for the traffic signal system at the intersection of Pigeon Pass Road and Ironwood Avenue have reached capacity limit or run out of space for additional communication cables. City maintenance crews are no longer able to run new additional cables through these conduits. This project is to install new set of conduits and associated pull boxes, linking the traffic signal poles at all corners of the intersection to allow for new communication cables to be installed and connected to Closed Circuit Television (CCTV) cameras, pedestrian push buttons, and other parts of the system. The work also includes the restoration of street improvements that are affected by the conduit installation work such as sidewalk and access ramp reconstruction.

The bidding documents were completed in -house by engineering staff, and the project was advertised for construction bids on November 1, 2023. Formal bidding procedures have been followed in conformance with the Public Contract Code, and bids were received via the electronic bid management system, OpenGov.Com, on December 1, 2023. Five (5) bids were received as follows:

CONTRACTORS Bid Amounts

1. Elecnor Belco Electric, Inc., Chino ..................................................... $268,045.00

2. California Professional Engineering, Inc., La Puente ......................... $272,900.00

3. Alfaro Communications Construction, Inc., Compton ........................ $289,957.50

4. DBX, Inc., Temecula .......................................................................... $317,440.00

5. Crosstown Electrical & Data, Inc., Irwindale ....................................... $321,789.00 The lowest responsible bidder was determined by comparing the cumulative total of all bid items as stipulated in the bidding documents. Staff has reviewed the bid by Elecnor Belco Electric, Inc. and finds it to be the lowest responsive and responsible bidder in possession of a valid license and bid bond. No outstanding issues were identified through review of the references submitted by Elecnor Belco Electric, Inc. in their bid.

Staff recommends awarding a contract to Elecnor Belco Electric, Inc. to provide construction of the much needed upgrades to the traffic signal system at Pigeon Pass Road and Ironwood Avenue.

A contingency amount of $40,206.00 (15% of Bid Amount) is recommended to account for any changed field conditions that may have occurred during the period between the completion of the engineering design work and start of construction. The contingency is also recommended to allow rapid response to avoid unnecessary construction delays that typically result in contractor change orders from unforeseen circumstances encountered during construction.

ALTERNATIVES

1. Approve the recommended actions as presented in this staff report. Staff recommends this alternative to award the construction contract to Elecnor Belco Electric, Inc. for construction of much needed traffic signal equipment upgrades for the intersection of Pigeon Pass Road and Ironwood Avenue.

2. Do not approve the recommended actions as presented in this staff report.

Staff does not recommend this alternative as it would result in delayed upgrades for the traffic signal, and affect future maintenance work.

FISCAL IMPACT
The project is funded by Measure A (Fund 2001) and Gas Tax (Fund 2000) as part of the Traffic Signal Equipment Upgrades project as included in the adopted Capital Improvement Plan Fiscal Years 2023-24 and 2024-25. Additional budget adjustment in Measure A is requested to provide sufficient budget for completing this project and other anticipated routine traffic signal equipment upgrades citywide performed by City maintenance crew.

If the City’s issuance of a Notice to Proceed to Fulfill Preconstruction Requirements is delayed due to Contractor’s failure to return the fully executed Agreement and insurance and bond documents within ten (10) Working Days after Contract award, then Contractor agrees to the deduction of one (1) Working Day from the number of days to complete the Project for every Working Day of delay in the City’s receipt of said documents. This right is in addition to and does not affect the City’s right to demand forfeiture of Contractor’s Bid Security if Contractor persistently delays in providing the required documentation.

C. Notice to Proceed with Construction. After all preconstruction requirements are met and materials have been ordered in accordance with the Notice to Proceed to Fulfill Preconstruction Requirements, the City shall issue the “Notice to Proceed with Construction,” at which time the Contractor shall diligently prosecute the Work, including corrective items of Work, day to day thereafter, within the remaining Contract Time.

6. LIQUIDATED DAMAGES AND CONTROL OF WORK .

6.1. Liquidated Damages. The Contractor and City (collectively, the “Parties”) have agreed to liquidate damages with respect to Contractor’s failure to complete the Work within the Contract Time, which includes the time necessary to fulfill preconstruction requirements and to complete construction of the Project (except as adjusted by subsequent Change Orders) in accordance with Article 5 above. The Parties intend for the liquidated damages set forth herein to apply to this Contract as set forth in Government Code Section 53069.85 and in Public Contract Code Section 7203. Contractor acknowledges and agrees that the liquidated damages are intended to compensate the City solely for Contractor’s failure to meet the deadlines for completion of the Work and will not excuse Cont ractor from liability from any other breach, including any failure of the Work to conform to the requirements of the Contract Documents.

In the event that Contractor fails to complete the Work within the Contract Time, Contractor agrees to pay the City $500.00 per Calendar Day that completion of the each such portion of the Work is delayed beyond the Contract Time. The C ontractor will not be assessed liquidated damages for delays occasioned by the failure of the City or of the owner of a utility to provide for the removal or relocation of utility facilities.

The Contractor and City acknowledge and agree that the foregoing liquidated damages have been set based on an evaluation of damages that the City will incur in the event of late completion of portions of the Work. The Contractor and City acknowledge and agree that the amount of such damages are impossible to ascertain as of the date of execution hereof and have agreed to such liquidated damages to fix the City’s damages and to avoid later disputes. It is understood and agreed by Contractor that liquidated damages payable pursuant to this Agreement are not a penalty and that such amounts are not manifestly unreasonable under the circumstances existing as of the date of execution of this Agreement.

It is further mutually agreed that the City will have the right to deduct liquidated damages against progress payments or retainage and that the City will issue a Change Order or Construction Change Directive and reduce the Contract Price accordingly. In the event the remaining unpaid Contract Price is insufficient to cover the full amount of liquidated damages, Contractor shall pay the difference to the City.

Liquidated damages are owed automatically and without notice of any kind upon the accrual of each day of delay. City may at any time deduct liquidated damages as are payable hereunder from money due or to become due to Contractor, or pursue any other legal remedy to collect A.16.a

such liquidated damages from Contractor and/or its Surety. Neither the City's failure or delay in deducting liquidated damages from payments otherwise due Contractor, nor City's failure or delay in notifying Contractor of the accrual of liquidated damages, shall be deemed a waiver of City's right to liquidated damages.

City's rights under this Section shall not be interpreted as precluding or limiting: (1) any right or remedy of City arising from an event of Contractor default other than a failure to complete the Work within the Contract Time; or (2) City's right to order an acceleration, at Contractor's expense, of performance of the Work to overcome delay, including, without limitation, a delay for which City has the right to assess and/or accrue liquidated damages. The availability of liquidated damages shall not limit City's right to terminate the Contractor’s performance and accrual and/or assessment of liquidated damages does not constitute a waiver of such rights.

6.2. Owner is Exempt from Liability for Early Completion Delay Damages . While the Contractor may schedule completion of all of the Work, or portions thereof, earlier than the Contract Time, the Owner is exempt from liability for and the Contractor will not be entitled to an adjustment of the Contract Sum or to any additional costs, damages, including, but not limited to, claims for extended general conditions costs, home office overhead, jobsite overhead, and management or administrative costs, or compensati on whatsoever, for use of float time or for Contractor’s inability to complete the Work earlier than the Contract Time for any reason whatsoever, including but not limited to, delay cause by Owner or other Excusable Compensable Delay. All bonds shall be executed by a California-admitted surety insurer. Bonds issued by a California- admitted surety insurer listed on the latest version of the U.S Department of Treasury Circular 570 shall be deemed accepted unless specifically rejected by the City. Bonds issued by sureties not listed in Treasury Circular 570 must be accompanied by all documents enumerated in California Code of Civil Procedure Section 995.660(a). The bonds shall bear the same date as the Contract. The attorney-in-fact who executes the required bonds on behalf of the surety shall affix thereto a certified and current copy of the power of attorney. In the event of changes that increase the Contract Price, the amount of each bond shall be deemed to increase and at all times remain equal to the Contract Price. The signatures shall be acknowledged by a notary public.

Every bond must display the surety’s bond number and incorporate the Contract for construction of the Work by reference. The terms of the bonds shall provide that the surety agrees that no change, extension of time, alteration, or modification of the Contract Documents or the Work to be performed thereunder shall in any way affect its obligations and shall waive notice of any such change, extension of time, alteration, or modification of the Contract Documents. The surety further agrees that it is obligated under the bonds to any successor, grantee, or assignee of the City.

No further payments shall be deemed due or will be made under Contract until a new surety(ies) qualifies and is accepted by the City.

Contractor agrees that the Labor and Materials Payment Bond and Faithful Performance Bond attached to this Agreement are for reference purposes only, and shall not be considered a part of this Agreement. Contractor further agrees that said bonds are separate obligations of the Contractor and its Surety, and that any attorney ’s fee provision contained in any payment bond or performance bond shall not apply to this Agreement. In the event there is any litigation between the parties arising from the breach of this Agreement, each party will bear its own attorneys’ fees in the litigation.

9. RECORDS . The Contractor and its Subcontractors shall maintain and keep books, payrolls, invoices of materials, and Project records current, and shall record all transactions pertaining to the Contract in accordance with generally acceptable accounting principles. Community Services District, and all of their respec tive officials, officers, directors, employees, commission members, representatives and agents (“Indemnitees”), from and against any and all claims, allegations, actions, suits, arbitr ations, administrative proceedings, regulatory proceedings, or other legal proceeds, causes of action, demands, costs, judgments, liens, stop payment notices, penalties, liabilities, damages, losses, anticipated losses of revenues, and expenses (including, but not limited to, any fees of accountants, attorneys, experts or other professionals, or investigation expenses), or lo sses of any kind or nature whatsoever, whether actual, threatened or alleged, arising out of, resulting from, or in any way (either directly or indirectly), related to the Work, the Project or any breach of the Contract by Contractor or any of its officers, agents, employees, Subcontractors, Sub-subcontractors, or any person performing any of the Work, pursuant to a direct or indirect contract with the Contractor (“Indemnity Claims”).

Such Indemnity Claims include, but are not limited to, claims for:

A. Any activity on or use of the City’s premises or facilities; B. Any liability incurred due to Contractor acting outside the scope of its authority pursuant to the Contract, whether or not caused in part by an Indemnified Party;
C. The failure of Contractor or the Work to comply with any Applicable Law, permit or orders;
D. Any misrepresentation, misstatement or omission with respect to any statement made in the Contract Documents or any document furnished by the Contractor in connection therewith;

N. Any acts, errors, omission or negligence of Contractor, its officers, agents, employees, or Subcontractors;
O. Infringement of any patent rights, licenses, copyrights, or intellectual property which may be brought against the Contractor or Owner arising out of Contractor’s Work, for which the Contractor is responsible; and P. Any and all claims against the City seeking compensation for labor performed or materials used or furnished to be used in the Work or alleged to have been furnished on the Project, including all incidental or consequential damages resulting to the City from such claims.

10.2. Effect of Indemnitees’ Active Negligence. Contractor’s obligations to indemnify and hold the Indemnitees harmless exclude only such portion of any Indemnity Claim which is attributable to the active negligence or willful misconduct of the Indemnitee, provided such active negligence or willful misconduct is determined by agreement of the parties or by findings of a court of competent jurisdiction. In instances where an Indemnitee’s active negligence accounts for only a percentage of the liability for the Indemnity Claim involved, the obligation of Contractor will be for that entire percentage of liability for the Indemnity Claim not attributable to the active negligence or willful misconduct of the Indemnitee(s). Such obligation shall not be construed to negate, abridge or otherwise reduce any other ri ght or obligation of indemnity which would otherwise exist as to any party or person described in this Paragraph 10. Subject to the limits set forth herein, the Contractor, at its own expense, shall satisfy any resulting judgment that may be rendered against any Indemnitee resulting from an Indemnity Claim. The Indemnitees shall be consulted with regard to any proposed settlement.

10.3. Independent Defense Obligation. The duty of the Contractor to indemnify and hold harmless the Indemnitees includes the separate and independent duty to defend the Indemnitees, which duty arises immediately upon receipt by Contractor of the tender of any Indemnity Claim from an Indemnitee. The Cont ractor’s obligation to defend the Indemnitee(s) shall be at Contractor’s sole expense, and not be excused because of the Contractor’s inability to evaluate liability or because the Contractor evaluates liability and determines that the Contractor is not liable. This duty to defend shall apply whether or not an Indemnity Claim has merit or is meritless, or which involves claims or allegations that any or all of the Indemnitees were actively, passively, or concurrently negligent, or which otherwise asserts that the Indemnitees are responsible, in whole or in part, for any Indemnity Claim. The Contractor shall respond within thirty (30) Calendar Days to the tender of any Indemnity Claim for defense and/or indemnity by an Indemnitee, unless the Indemnitee agrees in writing to an extension of this time. The defense provided to the Indemnitees by Contractor shall be by well qualified, adequately insured and experienced legal counsel acceptable to the City.

10.4. Intent of Parties Regarding Scope of Indemnity. It is the intent of the parties that the Contractor and its Subcontractors of all tiers shall provide the Indemnitees with the broadest defense and indemnity permitted by Applicable Law. In the event that any of the defense, indemnity, or hold harmless provisions in the Contract Documents are found to be ambiguous or in conflict with one another, it is the parties’ intent that the broadest and most expansive interpretation in favor of providing defense and/or indemnity to the Indemnitees be given effect.

10.5. Waiver of Indemnity Rights Against Indemnitees. With respect to third party claims against the Contractor, to the fullest extent permitted by law, the Contractor waives any and all rights to any type of express or implied indemnity against the Indemnitees.

10.6. Subcontractor Requirements. In addition to the requirements set forth hereinabove, Contractor shall ensure, by written subcontract agreement, that each of Contractor’s Subcontractors of every tier shall protect, def end, indemnify and hold harmless the Indemnitees with respect to Indemnity Claims arising out of, in connection with, or in any way related to each such Subcontractors’ Work on the Project in the same manner in which Contractor is required to protect, defend, indemnify and hold the Indemnitees harmless. In the event Contractor fails to obtain such defense and indemnity obligations from others as required herein, Contractor agrees to be fully responsible to the Indemnitees according to the terms of this Paragraph 10. Contractor further agrees to ensure that each subcontractor will execute a separate Letter of Assent to the terms of the CWA if the total project cost is $1,000,000 or more and will fully indemnify the City for any claims or losses which result from a Subcontractor’s failure to adhere to the terms of the CWA on this project.

10.7. No Limitation or Waiver of Rights. Contractor’s obligations under this Paragraph 10 are in addition to any other rights or remedies which the Indemnitees may have under the law or under the Contract Documents. Contractor’s indemnification and defense obligations set forth in this Paragraph 10 are separate and independent from the insurance provisions set forth in the Contract Documents, and do not limit, in any way, the applicability, scope, or obligations set forth in such insurance provisions. The purchase of insurance by the Contractor with respect to the obligations required herein shall in no event be construed as fulfillment or discharge of such obligations. In any and all claims against the Indemnitees by any employee of the Contractor, any Subcontractor, any supplier of the Contractor or Subcontractors, anyone directly or indirectly employed by any of them, or anyone for whose acts any of them may be liable, the obligations under this Paragraph 10 shall not be limited in any way by any limitation on the amount or type of damages, compensation or benefits payable by or for the Contractor or any Subcontractor or any supplier of either of them, under workers’ or workmen’s compensation acts, disability benefit acts or other employee benefit acts. Failure of the City to monitor compliance with these requirements imposes no additional obligations on the City and will in no way act as a waiver of any rights hereunder.

10.8. Withholding to Secure Obligations. In the event an Indemnity Claim arises prior to final payment to Contractor, the City may, in its sole discretion, reserve, retain or apply any monies due Contractor for the purpose of resolv ing such Indemnity Claims; provided, however, the City may release such funds if the Contractor provides the City with reasonable assurances of protection of the Indemnitees’ interests. The City shall, in its sole discretion, determine whether such assurances are reasonable.

10.9. Survival of Indemnity Obligations. Contractor’s obligations under this Paragraph 10 are binding on Contractor’s and its Subcontractors’ successors, heirs, and assigns and shall survive the completion of the Work or termination of the Contractor’s performance of the Work.

On June 1, 2021, the CSD Board formed CFD No. 2021 -01, pursuant to the Mello-Roos Community Facilities Act of 1982. The District was created to provide the development community with an alternative funding tool to mitigate the impacts of their proposed development. If a property owner elects to annex the parcels of their development into the District, they also authorize the CSD to annually levy a special tax, collected on the annual property tax bill, against property in the development project. Thus, satisfying the condition of approval.

On December 21, 2021 , the CSD Board adopted Ordinance No. 56, which designated the entire territory of the City as a future annexation area for the District. With the future annexation area designated, annexations can occur without an additional public hearing as long as the annexing landowner provides unanimous consent. Once annexed, parcels are subject to the annual special tax to fund the service they are receiving.

An applicant has two options to satisfy the condition(s) of approval:

1. The property owner s ubmits a Landowner Petition unanimously approving annexation of the property into the District. Approval of the petition and special tax rate allows the City to annually levy the special tax on the property tax bill of the property. This option is only available if there are fewer than 12 registered voters living within the proposed annexation area; or

2. The applicant funds an endowment in an amount sufficient to yield an annual revenue stream that meets the annual obligation and provides for the ongoing operation and maintenance of parks facilities.

The Property Owners listed above elected to annex their property into CFD No. 2021-01 and have the special tax applied to the annual property tax bill. The Office of the Riverside County Registrar of Voters confirmed the number of registered voters residing at each property, allowing a special election of the landowner. Adoption of the B.5

Page 4 ends

resolutions (Attachments 1-6) amends the District and adds the property to the tax rate area identified in the Fiscal Impact section of this report . The resolutions also direct the recordation of the boundary map s (Attachments 7-12) and amended notice of special tax lien s for the amendments. The Election Official confirmed the Property Owner s unanimously approved the annexation of their property into the District (Attachments 13- 18).

ALTERNATIVES

1. Adopt the resolutions. Staff recommends this alternative since it will annex the propert ies into CFD No. 2021-01 at the request of the Property Owners and satisfy the condition of approval for the proposed developments.

2. Do not adopt the resolution s. Staff does not recommend this alternative because it is contrary to the request of the Property Owner s, will not satisfy the condition of approval, and may delay development of the projects.

3. Do not adopt the resolution s but rather continue the item to a future regularly scheduled City Council meeting. Staff does not recommend this alternative as it will delay the Property Owner s from satisfying the condition of approval and may delay development of the projects.

FISCAL IMPACT

Revenue received from the special tax is restricted and can only be used to fund the services for each tax rate area within the District. The special tax can only be applied to a property tax bill of a parcel wherein the qualified electors (i.e., landowners or registered voters, depending upon the number of registered voters) have previously provided approval. If the projected revenue from the maximum special tax exceeds what is necessary to fund the services within the tax rate area, a lower amount will be applied to the property tax bill for all of the properties within the affected tax rate area. The maximum special tax rates are detailed below.

The maximum special tax rate is subject to an annual inflation adjustment based on the change in the Consumer Price Index (CPI) or five percent (5%), whichever is greater.

However, the annual adjustment cannot be applied unless the CSD Board annually authorizes such adjustment. The increase to the maximum special tax rate cannot exceed the annual inflationary adjustment without a two -thirds approval of the qualified electors within the affected tax rate area.

Report to City Council

ID#6506 Page 1
TO: Mayor and City Council

FROM: Jane Halstead, CMC, City Clerk

AGENDA DATE: January 16, 2024

TITLE: ANNUAL APPOINTMENTS TO COUNCIL

SUBCOMMITTEES AND REGIONAL COMMISSIONS,

COMMITTEES AND BOARDS

RECOMMENDED ACTION
Recommendation:

That the City Council Receive and File this report and continue the current appointments until otherwise considered by Council.

BACKGROUND

It has been the City’s practice to appoint its City Council representatives to the Council Subcommittees and various regional commissions, committees, and boards, which are the governing bodies of several Joint Powers Authorities. Under California law, a Joint Powers Authority (JPA) is created by an agreement between two or more public agencies to jointly exercise any power that they hold in common, or to create a separate legal entity with independent legal rights, including the ability to enter into contracts, hold property and sue or be sued.

The City of Moreno Valley is a member of the following Joint Powers Authorities which require the City Council to appoint a Primary/Regular Member and Alternate Member to their respective governing bodies, which include an Executive Committee, Commission, and several Boards of Directors.

• March Joint Powers Commission (JPC)

o Primary/Regular Member #1 = Mayor or Council Member
o Primary/Regular Member #2 = Mayor or Council Member
o Alternate Member = Mayor or Council Member
