SECTION 12. All actions heretofore taken by the Authorized Officers and other officers and agents of the City, or by the City Council, with respect to the financing are hereby ratified, confirmed and approved.

SECTION 13. The City Council hereby approves the execution and delivery of all agreements, documents, certificates and instruments referred to herein with electronic signatures as may be permitted under the California Uniform Electronic Transactions Act and digital signatures as may be permitted under Section 16.5 of the California Government Code using DocuSign.

SECTION 14. That based on the Revised Final Environmental Impact Report (2024 RFEIR) certified by the City Council as Lead Agency on April 21, 2026, as part of the Moreno Valley 2040 General Plan Update (State Clearinghouse No. 2020039022), which provides a programmatic review of the potential impacts associated with the implementation of the overall General Plan, the 2026 Project qualifies for an exemption under CEQA Guidelines Section 15183 for the following reasons:
(a) The 2026 Project is consistent with the development density established by existing zoning, community plan and the Moreno Valley 2040 General Plan Update policies (for which the 2024 RFEIR was certified) in that: (1) the 2026 Project is consistent with the development density and intensity evaluated in the 2024 RFEIR; (2) the Public Safety Campus and CYFS would be permitted under the existing uses and zoning designation and would not require a general plan amendment or zone change; and (3) the tenant improvements would be retrofits to existing infrastructure, they would not require a general plan amendment or zone change;
(b) There are no specific effects which are peculiar to the 2026 Project or Project Site, and which the 2024 RFEIR failed to analyze as significant effects in that: (1) the 2026 Project does not introduce 2026 Project specific environmental effects that were not considered in the 2024 RFEIR; (2) the Project Site does not contain unique physical or environmental conditions that would result in new or unusual impacts; and (3) the environmental effects of this type of project are already addressed through the Moreno Valley 2040 General Plan Update’s goals and policies;
(c) There are no potentially significant off-site and/or cumulative impacts which the 2024 RFEIR failed to evaluate in that: (1) the 2026 Project would not result in new or more severe off-site or cumulative effects than those evaluated in the 2024 RFEIR; (2) cumulative impacts associated with the 2026 Project’s buildout, including transportation activity, air emissions, visual change, and infrastructure demand, are consistent with the effects associated with planned development assumed in the Moreno Valley 2040 General Plan Update, and thus, are already analyzed and mitigated in the 2024 RFEIR; and (3) the 2026 Project’s low operational intensity further reduces the potential for cumulative impacts, and compliance with Moreno Valley 2040 General Plan Update’s policies related to Resolution No. 2026-XX
Date Adopted _____, 2026
stormwater and hillside protection ensures no downstream or visual effects beyond what was previously evaluated;
(d) There is no substantial new information which results in more severe impacts than anticipated by the 2024 RFEIR in that: (1) there is no substantial new information indicating that the 2026 Project would result in more severe impacts than those identified in the 2024 RFEIR; (2) the 2026 Project remains fully within the scope of the development assumed in the Moreno Valley 2040 General Plan Update and continues to implement City standards; and (3) such requirements ensure that environmental effects are consistent with the evaluation previously disclosed in the 2024 RFEIR; and (e) The 2026 Project will undertake feasible mitigation measures specified in the 2024 RFEIR in that: (1) as described above and in the staff report, the 2024 RFEIR identifies the policies in the Moreno Valley 2040 General Plan Update that would reduce environmental effects; and (2) each section of the Exemption Checklist identifies the uniformly applied development policies and standards applicable to the 2026 Project, and how the 2026 Project effects are minimized or avoided by the policy.

SECTION 15. This Resolution shall take effect from and after its adoption and approval.

EXHIBIT A

GOOD FAITH ESTIMATES
The following information was obtained from the Municipal Advisor and the Underwriter, and is provided in compliance with Section 5852.1 of the California Government Code with respect to the base rental payments evidenced by the Series 2026A Bonds:

1. True Interest Cost of the Base Rental Payments Evidenced by the Series 2026A Bonds. Assuming the principal amount of the Series 2026A Bonds issued by the Authority is $134,360,000 (the “Estimated Par Amount”), and based on market interest rates prevailing at the time of preparation of this information, a good faith estimate of the true interest cost of the base rental payments evidenced by the Series 2026A Bonds, which means the rate necessary to discount the amounts payable on the respective principal and interest payment dates to the purchase price received for the Series 2026A Bonds, is 4.92%.

2. Finance Charge of the Series 2026A Bonds. Assuming the Estimated Par Amount of the Series 2026A Bonds is sold, and based on market interest rates prevailing at the time of preparation of this information, a good faith estimate of the City’s finance charge of the Series 2026A Bonds, which means the sum of all fees and charges paid to third parties (or costs associated with the Series 2026A Bonds), is $2,055,956.

3. Amount of Proceeds to be Received. Assuming the Estimated Par Amount of the Series 2026A Bonds is sold, and based on market interest rates prevailing at the time of preparation of this information, a good faith estimate of the amount of proceeds expected to be received by the City following the Authority’s sale of the Series 2026A Bonds, less the finance charge of the Series 2026A Bonds described in paragraph 2 above and any reserves or capitalized interest paid or funded with proceeds of the Series 2026A Bonds, is $135,000,000.

4. Total Payment Amount. Assuming the Estimated Par Amount of the Series 2026A Bonds is sold, and based on market interest rates prevailing at the time of preparation of this information, a good faith estimate of the total payment amount, which means the sum total of all base rental payments the City will pay, plus the finance charge of the Series 2026A Bonds described in paragraph 2 above not paid with the proceeds of the Series 2026A Bonds, calculated to the final base rental payment evidenced by the Series 2026A Bonds, is $261,987,172.

Attention is directed to the fact that the foregoing information constitutes good faith estimates only. The actual interest cost, finance charges, amount of proceeds and total payment amount may vary from those presently estimated due to variations from these estimates in the timing of the sale of the Series 2026A Bonds, the actual principal amount of Series 2026A Bonds sold, the amortization of the Series 2026A Bonds sold and market interest rates at the time of sale. The date of sale and the amount of Series 2026A Bonds sold will be determined by the City based on market conditions and other factors. The actual interest rates at which the Series 2026A Bonds will be sold will depend on the bond market at the time of sale. The actual amortization of the Series 2026A Bonds will also depend, in part, on market interest rates at the time of sale. Market interest rates are affected by economic and other factors beyond the City’s control.
