Subject: Revised Proposal to Provide Environmental Constraints Analysis and Support Services for the County of San Luis Obispo Operations and Maintenance Waterfront Infrastructure Study and Site Readiness Plan Project, Central Coast, California Dear Mr. Porter and Mr. Nagle:
Rincon Consultants, Inc. (Rincon) appreciates the opportunity to provide Mott MacDonald with this updated proposal to complete an environmental constraints/feasibility analysis and provide support services for the County of San Luis Obispo Operations and Maintenance Waterfront Infrastructure Study and Site Readiness Plan Project (Project) for areas along the Central Coast in both incorporated and unincorporated areas of the County of San Luis Obispo (SLO County), California. The Project sites are anticipated to include waterfront and coastal land of SLO County, City of Morro Bay, Port San Luis Harbor District (Port San Luis), and the California Polytechnic State University of San Luis Obispo (Cal Poly SLO) pier. Rincon has been a proactive proponent of strategic planning for the development of Offshore wind (OSW) and has been actively engaged with the City of Morro Bay, Port of Long Beach, Port of Los Angeles, and other California ports and harbors to identify and evaluate land and infrastructure development alternatives necessary to support OSW development. Rincon is a California leader in environmental and resource planning and permitting for renewable energy, transportation, water, and municipal market sectors and has executed a broad range of large-scale environmental planning and permitting feasibility assessments for renewable energy and development projects.
Scope of Work
Rincon understands that SLO County, as part of Assembly Bill (AB) 178, was awarded a $1,000,000 earmark for “the Deep Water Port Feasibility Study for Offshore Wind Procurement” and has awarded Mott MacDonald funds to complete a technical analysis pertaining to topics related to OSW Operations and Maintenance (O & M) development, including infrastructure, workforce development, and environmental matters. Rincon understands its role on the Mott MacDonald team as the local and regional environmental planning and permitting expert and will work as an integrated team member to perform a series of environmental constraints/feasibility assessments of proposed OSW O & M infrastructure sites and lead the identification of potential environmental-planning and permitting constraints related to a diversity of waterfront and coastal land development alternatives and locations. Rincon’s Environmental Constraints/Feasibility Analysis will focus on the process of identifying and vetting O & M infrastructure development site constraints in a phased Critical Issues Analysis (CIA) framework. Potential OSW O & M sites will initially be identified based on physical criteria of sites and then refined using an interactive geospatial ArcGIS information platform that will integrate a broad range of site criteria, land use and environmental resource information. The sites and
EXHIBIT B
Mott MacDonald
Revised Proposal to Provide Environmental Constraints Analysis and Support Services for the County of San Luis Obispo Operations and Maintenance Waterfront Infrastructure Study and Site Readiness Plan Project 2 alternatives will then be evaluated through collaborative virtual and in person meetings, site visits, information sharing involving Mott MacDonald, SLO County, and the participating municipal stakeholders to create environmental planning and permitting matrices that will ultimately inform site selection and development costs and timelines. The analysis will include the following tasks:
Task 1 Site Criteria and Identification Morro Bay
Task 1.1 Criteria Identification and Data Gathering
Working in conjunction with Mott MacDonald, Rincon will define criteria for OSW O&M facility site selection, focusing on both waterfront (on-water) and adjacent coastal land (off-water) requirements.
The criteria will encompass infrastructure specifications such as site size, proximity to waterside, access points, transportation corridors, utilities, and other specific needs identified in previous studies and by OSW developers. Additionally, the units of analysis will be identified as three specific parcels in Morro Bay for off-water sites and a defined boundary referenced in acres for on-water sites. Rincon will utilize GIS data from the City of Morro Bay including assessor parcels and California State Lands Lease data, to develop maps that outline site evaluation areas and establish a geospatial database linking various land use and resource information.
Task 1.2 Critical Issues Analysis (CIA) ArcGIS Project Portal Rincon will develop and manage an ArcGIS Online Project Portal (Project Portal) designed to organize, store, filter, and evaluate site criteria and environmental spatial data critical to the Project. This Project Portal will integrate site characteristics, land use, and environmental resource information from the City of Morro Bay, OWS studies, public databases and additional information identified under Tasks
3.1, and 4.1. The resulting Project Portal will serve as a dynamic tool for the Project team, providing real-time access to facilitate discussions, feedback, and tracking of information related to the sites availability and attributes for supporting OSW O&M facility infrastructure.
The CIA Project Portal will utilize a variety of data sources to analyze environmental opportunities, concerns, and constraints associated with assessment of potential OSW O & M sites. The list will include available public datasets and information from Rincon’s experience in the Project vicinity, as applicable. Rincon’s multidisciplinary team of biologists and land use planners will ensure the data source list is comprehensive of the resources necessary to consider potential constraints in the context of the California Environmental Quality Act (CEQA), National Environmental Policy Act (NEPA) and regulatory permitting. Data sources that will be considered will include but not be limited to publicly available data such as:
• Aerial imagery, topographic maps
• Fire severity zones
• California Natural Diversity Database
• United States Geological Survey (USGS) Soil Series
• Federal Emergency Management Agency floodplains
• California Native Plant Society Online Inventory of Rare and Endangered Plants • U.S. Fish and Wildlife Service (USFWS) Critical Habitat Portal • USFWS National Wetlands Inventory
• USGS National Hydrography Dataset
• National Marine Fisheries Service National ESA Critical Habitat Mapper

• Port San Luis Code of Ordinances
• Port San Luis California State Lands Lease terms
• Cal Poly SLO California State Lands or Port San Luis lease terms • California Coastal Act
Rincon will generate a consistency matrix in Excel that includes an inventory of the areas that meet the necessary criteria identified in Task 2.1 and summarizes what Coastal Act or lease terms apply to each area (evaluated at a preliminary high level). The matrix will assist with identifying priority sites or alternatives with applicable Coastal Act consistency or lease terms as well at the different entitlement or permitting requirement levels needed to achieve feasible O & M development. The generated data will then be input into the Project Portal for visualization and easy comparison of potential sites.
Assumptions
• Rincon assumes that the initial site selection process will include assessing multiple on-water sites or alternatives for initial consideration.
Task 4 Environmental Resources Analysis – High-Level Phase I Tasks 4.1 Biological and Sensitive Resource Spatial Mapping Morro Bay In coordination with development of the Project Portal, Rincon will conduct an assessment of the land, waterfront, and submerged land sites identified to meet the OSW O & M site criteria. The assessment will involve a review of the spatial extent of biological resources associated with each site and will take into consideration protected lands, special status species, and sensitive habitats specific to Morro Bay Estero Bay and nearshore sites. The biological resource information will be assigned to marine, shoreline, and terrestrial categories and then further subdivided into subcategories based on the level of protection or concern for sensitive species, habitat, and regulatory jurisdiction. The sensitive biological resource information for each identified site will be added as an overlay in the Project Portal and will include all metadata for cross-reference and further analysis, as needed. This initial phase approach will focus on publicly owned lands currently vacant or suitable for redevelopment and then progress to additional lands, if directed.
Rincon will perform a desktop review of key biological and sensitive resource constraints that will consist of the following:
• An evaluation of the potential presence of special status species based on a review of the California Department of Fish and Wildlife (CDFW) Rare Find [otherwise known as the California Natural Diversity Database (CNDDB)] and the California Native Plant Society Inventory of Rare and Endangered Plants of California for reported occurrences within the United States Geological Survey 7.5-minute topographic quadrangles and surrounding quadrangles for each site • An evaluation of the potential for aquatic resources to be impacted by the project based on a review of aerial imagery, the USFWS National Wetlands Inventory, and the USGS National Hydrography Dataset

Revised Proposal to Provide Environmental Constraints Analysis and Support Services for the County of San Luis Obispo Operations and Maintenance Waterfront Infrastructure Study and Site Readiness Plan Project 8 Task 5 Assessing and Refining Identified Sites and Areas for Development – Phase II
Rincon, as part of the Mott MacDonald team and in coordination with SLO County, City of Morro Bay, Port San Luis, and Cal Poly SLO, will facilitate and attend a series of virtual and in-person site visits and meetings to review and discuss the various sites identified, delineated, and considered for OSW O & M development under the previous tasks. The evaluation process will use site maps developed from the Project Portal to review and discuss each potential site and document input from team members about the opportunities, constraints, and concerns in an organized and sequential approach of each regional area. The information and input about each location or site will be used to develop a selection framework to identify needed changes or potential options that are intended to meet the OSW O & M development criteria outlined by Mott MacDonald and defined by Rincon in Task 1 and Task 2.
Tasl 5.1 Site Evaluation and Information Consolidation Morro Bay The site evaluation process will involve an iterative and collaborative process informed not only by site criteria, land use, and resource parameters but also influenced by the site’s availability, public sensitivities, cost of development, and potential for obtaining environmental planning and permitting approvals. Rincon assumes that the City of Morro Bay will actively participate and work with the Mott MacDonald team in a diligent, timely, and consistent manner to review and comment on sites identified in Phase I, Land Use Planning Due Diligence and Environmental Resources Analysis, tasks and participate in a workshop to discuss and provide additional information on each of the potential sites. The suggested approach will be to focus on the on-water and shoreline/waterfront sites first and progressively assess additional off-water sites based on their proximity to the water or with the highest suitability for meeting the site criteria parameters. Rincon’s role will be to provide land use and resource graphics and input during the evaluation process. Rincon will document and integrate land use and resource information discussed or considered during the site evaluation process and add notations or attributes in the Project Portal, for the individual Project sites for the City of Morro Bay to assess for future consideration and potential OSW O & M development. Rincon anticipates that the site evaluation process will require two public workshops attended by the Rincon Project Manager including one at draft and one at final concept., The Rincon PM will attend both public meetings in person. Rincon will manage and Project Portal and document/integrate changes to the Project Portal maps or alternatives discussed or shared during meetings or workshops to facilitate tracking of comments and changes related to the integrated information and data layers sufficient to archive specific information or concerns. Rincon will develop a draft concept that will loosely rank the sites based on primary land use and resource constraints, assuming that potential sites not meeting the site criteria will fall out during the initial site identification process.
Assumptions
• City of Morro Bay to coordinate and provide a meeting space or conference room for the Public Meetings.
• Rincon assumes no site visits or workshops prior to development of the draft concept (study) for the City of Morro Bay.
• Rincon assumes that the City of Morro Bay will provide a projection screen or backdrop for projecting and reviewing maps and the Project portal in sufficient size that a group of at least 30 public participants can see and review the site information. • Rincon assumes that all vetting of potential project sites or alternatives for the City of Morro Bay will be accomplished during regular bi-weekly meetings outlined in Task 7. • Travel time and expenses are included in the task costs.

Rincon assumes that Port San Luis and Cal Poly SLO will actively participate and work with the Mott MacDonald team in a diligent, timely, and consistent manner to review and comment on sites identified in the Phase I, Land Use Planning Due Diligence and Environmental Resources Analysis, tasks and participate in a workshop to discuss and provide additional information on each of the potential sites. The suggested approach will be to focus on the on-water and shoreline/waterfront sites with the highest suitability for meeting the site criteria parameters. Rincon’s role will be to provide jurisdictional boundaries, resource information, visual graphics and input during the evaluation process. Rincon will document and integrate jurisdiction and resource information discussed or considered during the site evaluation process and add notations or attributes, in the Project Portal, for the individual Project sites for Port San Luis and Cal Poly SLO to assess for future consideration and potential OSW O & M development. Rincon anticipates that the site evaluation process will require one workshop and one site meeting, organized by site or area, to optimize the focus of the evaluation process. Rincon will manage and Project Portal and document/integrate changes to the Project Portal maps or alternatives discussed or shared during meetings or workshops to facilitate tracking of comments and changes related to the integrated information and data layers sufficient to archive specific information or concerns. Following the evaluation workshop and site meeting Rincon will loosely rank the sites based on feasibility of development and resource constraints, assuming that potential sites not meeting the site criteria will fall out during the initial site identification process.
Assumptions
• Port San Luis or Cal Pol SLO to provide a meeting space or conference room for the workshop or in person meetings.
• Rincon assumes one workshop and one site meeting for the Port San Luis/Cal Poly SLO. • Rincon assumes that Port San Luis or Cal Poly SLO will provide a projection screen or backdrop for projecting and reviewing maps and the Project portal in sufficient size that a group of 8-12 participants can see and review the site information.

Task 5.3 Site Selection and Environmental Planning and Permitting Options Morro Bay Once the site evaluation and ranking process has excluded sites or alternatives that neither meet the site criteria or represent significant constraints or concerns documented by the team Rincon will develop a preliminary list or proposed sites or alternatives for determining environmental planning and permitting pathways or options. The focus during this phase is to make a moderately detailed assessment of the proposed development for each site and compose a narrative and justification for the range of CEQA/NEPA and permitting options and level of effort.
The analysis will include:
• A list of necessary environmental-related approvals/requirements/entitlements for the project, including local land use approvals needed based upon the site/project type and land use/zoning designations of the site’s location.
• A list of (potentially) required technical studies.

This analysis does not include field studies, CEQA/NEPA level analysis, or contact with regulatory agencies. The analysis of each site will form sections in a draft report document that will be delivered electronically to Mott MacDonald to be integrated with other site suitability criteria to provide a moderately detailed summary of the site’s feasibility for OSW O & M facility development. We assume that Rincon’s level of effort to revise the various environmental sections of the draft report will be based on consolidated comments from Mott MacDonald, SLO County, and the City of Morro Bay and require several hours per site including integrating edits and notations into the Project Portal.
Task 5.4 Site Selection and Environmental Planning and Permitting Options Port San Luis and Cal Poly SLO
Once the site evaluation and ranking process has excluded sites or alternatives that neither meet the site criteria or represent significant constraints or concerns documented by the team Rincon will develop a preliminary list or proposed sites or alternatives for determining environmental permitting pathways, requirements, or options. The focus during this phase is to make a moderately detailed assessment of the proposed development for each site and compose a narrative and justification for the range of permitting options including suggested or required studies or surveys, potential mitigation considerations, regulatory timelines and level of effort.
The analysis will include:
• A list of necessary environmental-related approvals/requirements/entitlements for the project, including local, state, and federal permitting considerations • A list of (potentially) required technical studies.
• Overview of the sites ability to obtain a Coastal Act consistency determination.
This analysis does not include field studies or formal consultation with regulatory agencies. The analysis of each site will form sections in a draft report document that will be delivered electronically to Mott MacDonald to be integrated with other site suitability criteria to provide a moderately detailed summary of the site’s feasibility for OSW O & M facility development. We assume that Rincon’s level of effort to revise the various environmental sections of the draft report will be based on consolidated comments from Mott MacDonald, SLO County, Port San Luis, and Cal Poly SLO and will require several hours per site including integrating edits and notations into the Project Portal.
Task 6 Environmental Planning and Permitting Matrix – Phase III The Project Portal will be the primary platform and tool used to identify and document potential environmental and land use constraints and assess the environmental planning and regulatory requirements anticipated to influence routing or siting including federal, state, or local permitting and authorizations required for each specific site or area.
Task 6.1 Environmental Planning Matrix, Considerations, and Timelines Morro Bay Rincon will use the Project Portal to evaluate potential constraints across all 20 CEQA categories from aesthetics through wildfire of each site approved for consideration of OSW O & M Development. Given the CEQA context and regulatory framework in the Project vicinity, the following factors will be

Operations and Maintenance Waterfront Infrastructure Facility Study and Site Readiness Plans The purpose of the Operations and Maintenance Waterfront Infrastructure Facility Siting Study and Site Readiness Plans would be to determine specifically how offshore wind waterfront infrastructure (e.g., berths for SOVs and CTVs, warehouses, offices, and storage yards, etc.) could be located at Morro Bay, Port San Luis, and the Cal Poly pier, where each entity would prefer the facilities to be sited within each of their respective jurisdictions, and the required next steps in developing the sites. The study and site readiness plans include a scope provided by the City of Morro Bay, the Port San Luis Harbor District, and Cal Poly based on their specific needs and information provided.
Funding for Technical Contractor - $684,750
To provide a regional collaborative approach and greater efficiency, a technical contractor, under contract to the County (given its responsibilities as the grant recipient) would work directly with the City of Morro Bay, the Port San Luis Harbor District, and Cal Poly to execute each scope of work and develop site readiness plans with each entity. The contractor would also confer with offshore wind developers and other stakeholders to identify their specific needs and how those needs could be addressed through the development of waterfront infrastructure at Morro Bay, Port San Luis Harbor District, and the Cal Poly pier.
The resulting site readiness plans would provide a blueprint for the actual development of an operations and maintenance facility within each of the jurisdictions. This would include a description of next steps including, the required engineering and design work, timelines, estimated construction costs, identification of required environmental permits, and the estimated timeline for obtaining those permits.
Funding for Staffing Resources and Potential Related Offshore Wind Activities - $315,250 The remainder of the $1,000,000 appropriation would be divided between the three public entities. The funds would be used for staffing costs associated with development of the Operations and Maintenance Waterfront Infrastructure Facility Study and Site Readiness Plans.
Additional activities beyond staffing would depend on the actual cost of the Operations and Maintenance Waterfront Infrastructure Facility Study and Site Readiness Plans and the remaining funds.
The funding shall be distributed as follows:
• City of Morro Bay - $127,675
• Cal Poly - $75,000
• Port San Luis Harbor District - $112,575

RECOMMENDATION
It is recommended that the Board:
1) Approve a sole source special services consulting contract with Mott MacDonald Group, Inc. In an amount not to exceed $684,750 to prepare an Offshore Wind Operations and Maintenance Infrastructure Study for Port San Luis, Cal Poly (pier), and Morro Bay; and 2) Authorize the County Administrative Officer, or designee, to sign subrecipient agreements totaling $315,250 with Port San Luis Harbor District, Cal Poly, and the City of Morro Bay.
DISCUSSION
In 2022, the County partnered with the City of Morro Bay and County of Santa Barbara to assess waterfront infrastructure siting options that would support the offshore wind (OSW) and aerospace industries. The resulting study, the Central Coast Emerging Industries Waterfront Siting and Infrastructure Study developed by REACH and authored by Mott MacDonald (through a competitive bid process in which the County participated), was published on December 15, 2022. It was the first to examine in detail how waterfront infrastructure constructed specifically on the Central Coast could support the emerging offshore wind energy industry associated with the Morro Bay Wind Energy Area (MBWEA) and identified site options for further investigation.
The study took into account a variety of floating offshore wind functions including small facilities to support servicing of offshore windfarms over their operational lifetime and/or staging of anchors, mooring lines, barges, and vessels during construction. The study identified that Morro Bay, Diablo Canyon Power Plant, Port San Luis, Cal Poly Pier, Ellwood Pier, and Stearns Wharf meet the screening criteria to serve as a small facility, with varying degrees of site improvements needed.
In July 2023, the California State Lands Commission released its AB 525 Port Readiness Plan related to OSW. The report provided a detailed assessment of the necessary investments in California ports to support OSW activities, including construction, assembly, and operations and maintenance (O&M). Mott McDonald prepared sections of the plan and evaluated potential O&M facility sites on the Central Coast. The plan identified Morro Bay, Diablo Canyon Power Plant, Port San Luis, and the Cal Poly pier as potential O&M facility site, which could include berths for Service Operation Vessels (SOVs) and Crew Transfer Vessels (CTVs), warehouses, offices, and storage yards.
As part of the 2022 State budget, the County was awarded a $1 million earmark for “the Deep-Water Port Feasibility Study for Offshore Wind Procurement.” Use of the funds would be divided into two categories: 1) preparation of an OSW O&M Waterfront Infrastructure Facility Study; and 2) funding to Port San Luis, Cal Poly, and the City of Morro Bay for staff resourcing associated with the development of the study and related activities.
On June 20, 2023, the Board of Supervisors unanimously approved executing documents necessary to transfer $1 million to County as designated in the State Budget Act of 2022 for the O&M facility feasibility study.
To initiate the work to utilize the grant funds, in January 2024, County staff provided a Notice of Funding Availability (NOFA) to Port San Luis Harbor District, Cal Poly, and the City of Morro Bay asking them to provide scoping and staffing resources information for the development of an OSW O&M infrastructure study. The study would mark the beginning of a long public process regarding potential OSW infrastructure in San Luis Obispo County.
Mott MacDonalds’ scope of work is intended to assess and communicate the technical suitability of Port San Luis, the Cal Poly pier, and Morro Bay by performing site-specific comparisons of the site requirements for OSW O&M facilities with the conditions and constraints at those sites. This effort will be separated into two (2) separate studies: one (1) for San Luis Obispo Bay (for Port San Luis and the Cal Poly pier), and one (1) for Morro Bay. The scopes of work for each study include the following:
• Project Kick-off Meetings
• Basis of assessments and existing conditions assessment • Navigation and dredging assessment
• Environmental and permitting assessment
• Conceptual waterfront infrastructure design and costs estimate There are also specific scope items based on oceanography, information provided in the NOFA responses, and entity requests. Specifically, the San Luis Obispo Bay study will include a quayside mooring and downtime assessment to determine the need for a breakwater and an assessment of potential co-uses and benefits to address the existing uses at Port San Luis and the Cal Poly pier. Additional scope for Morro Bay includes an
evaluation of potential onshore sites to support OSW and two public meeting to discuss the draft and final study results.
The Studies for San Luis Obispo Bay and Morro Bay are proposed to run in parallel. San Luis Obispo Bay is anticipated to take up to 5 months to complete, and a schedule of 9 months is expected for Morro Bay, due to the addition of the onshore site planning assessment and the two public meetings to discuss the draft and final study results.
Given the previous OSW O&M infrastructure studies Mott McDonald prepared for the State Lands Commission, and for REACH in partnership with the City of Morro Bay and San Luis Obispo and Santa Barbara Counties, and Mott McDonald’s familiarity with Port San Luis, the Cal Poly pier, and Morro Bay due to preparation of the studies, the contract to develop the OSW O&M Waterfront Infrastructure Facility Study is sole sourced. The amount specified in Mott McDonald’s proposal is $622,500 ($281,300 for San Luis Bay and $341,200 for Morro Bay). With the 10% contingency, the total not to exceed contract amount is $684,750.
The State grant will also provide support in the form of subrecipient funds for Port San Luis, Cal Poly, and the City of Morro Bay to use to (1) supplement funding for staffing resources for the development of the OSW O&M Waterfront Infrastructure Facility Study; and (2) communication and community engagement for the OSW O&M Waterfront Infrastructure Facility Study and related offshore wind matters. The subrecipient funds are to be used specifically for the development and public outreach for the O&M OSW Infrastructure Facility Study.
Next Steps for the County
Staff will continue to engage in the developing activities of OSW. Efforts related to workforce, supply chain, infrastructure, and Workforce Credit and Community Benefit Agreement development are expected to occur over the next several years. Once deployed and operational, the maintenance period of the MBWEA is projected to be approximately 30 years.
Next steps for the County and its partners include:
• Engage in an integrated regional approach for OSW related issues that includes regional coordination with stakeholders involved.
• Kick off the Waterfront Infrastructure Study and ensure that the deliverables meet the specified timeframes.
• Obtain Board approval for a communications consultant contract for the development of two OSW Community Communication, Education, and Engagement Programs (one for Port San Luis and Cal Poly, and one for the City of Morro Bay) for the development of the OSW O&M Waterfront Infrastructure Study. The plans will be funded as part of a $750,000 grant the County received from the California Natural Resources Agency.
• Seek additional funding opportunities for the County, Port San Luis, Cal Poly, and the City of Morro Bay for staffing resources necessary for activities associated with OSW development.
