FIRST AMENDMENT TO AGREEMENT

BETWEEN CITY OF MURRIETA

AND WESTERN AUDIO VISUAL

This First Amendment to the Agreement (“Amendment”), made this 31st day of May 2024, by and between the CITY OF MURRIETA, a Municipal Corporation, duly organized and existing under and by virtue of the laws of the State of California (“CITY”), and Western Audio Visual (WAV)(“CONSULTANT”), with reference to the following facts which are acknowledged by each party as true and correct:

RECITALS

A. CITY is a general law city, formed and existing pursuant to the provisions of the California Government Code.

B. CITY is authorized to enter into consultant agreements under the provisions of California Government Code section 53060.

C. CITY desires or is in need of continued audio-visual support services.

D. On June 1st, 2023, CITY AND CONSULTANT entered into an agreement (“Agreement”) related to CONSULTANT’S audio-visual support services.

E. CONSULTANT has special knowledge, experience, and facilities for accomplishing the above services.

F. CITY now desires to amend the Agreement to ex tend the term for audio-visual support services, and the CONSULTANT is willing to be retained pursuant to the terms and conditions of this Amendment outlined in the attached Proposal/Sales Quotation (“Exhibit A-1”).

AMENDMENT

NOW, THEREFORE, it is agreed by and between the parties as follows:

1. Section 3.1 of the Agreement is hereby amended in its entirety to read as follows:

“3.1 The term of this Agreement shall be from June 1
st, 2023, until May 31st, 2027.”

2. Section 4.1 of the Agreement is hereby amended in its entirety to read as follows:

“ Consideration. In consideration of the services to be performed by CONSULTANT for the CITY as set forth in Section 1, the CITY agrees to pay CONSULTANT the sum of Fifty -Six Thousand, Eight Hundred and Sixty Dollars and Eight-Six Cents ($56,860.86)

3. Exhibit “A” to the Agreement is hereby amended to add the scope of work and rates set forth in Exhibit “A-1”, attached hereto and incorporated herein.

4. All other terms of the Agreement remain unchanged.
