Additional Terms and Conditions
1. Section 1.3 (Renewal) of the Agreement is deleted in its entirety and replaced with the following:
"This Agreement will not automatically renew for another Term. The parties may renew the Agreement for successive periods of twelve (12) month each subject to a mutual written agreement between both parties."
2. Notwithstanding Section 2.2 of Exhibit A (Scope of Services) of the Agreement, Nearmap is permitting the Licensee to be the sole, responsible party for generating the WMS link to be distributed to third-party contractors (“Contractors”) which will provide the Contractors access to the Products for the purposes of directly providing services on behalf of the Licensee. For the avoidance of doubt, the Products may be shared collectively among the Contractors provided the purpose of the sharing is within the scope of work being provided directly to the Licensee. As the responsible party, the Licensee will ensure the API key associated with the WMS link distributed to the Contractors is deleted upon the sooner of (a) the termination or expiration of the Agreement between Nearmap and the Licensee, or (b) the completion of the services provided to the Licensee by the Contractors. At all times, the Licensee remains responsible, and liable, for all acts and omissions of the Contractors in connection with their use of the WMS link.
For the purposes of this Agreement, WMS (Web Map Service) means the standard protocol for serving georeferenced map images over the internet that are generated by a map server using data from various sources
