Storage Usage for the above Storage Types is billed incrementally across all applicable tiers. Storage Usage within each GB Tier is billed at its respective “Rate Per GB”. If total Storage Usage exceeds the ranges listed above, any additional volume will be billed at the rate corresponding to the final “GB Tier” in this table.

1. Terms Of Service. This Order Form (“Order Form”) between Everlaw, Inc., a Delaware corporation (“Everlaw”) and the Customer listed above (“Customer”) is made in connection with and includes, incorporates, and is subject to the Customer Terms of Service available at https://www.everlaw.com/legal/customer-terms-of-service/ (the “Terms”, and together with the Order Form, the "Agreement"). Any terms used in this Order Form and not defined below will have the meanings given to them in the Agreement. If there is a conflict between the terms of this Order Form and the Terms or other Order Forms, the terms of this Order Form will control.
2. Start Date; Signature Date. The Subscription will begin on the Subscription Start Date (the "Start Date") indicated in "Subscription Terms of Service" above. This Order Form is entered into as of the earlier of the Start Date and the date last signed below (the “Signature Date”) between Everlaw and Customer (“Effective Date”).
3. Fees. Fees for access to the Service are based on the Customer’s Storage Usage and the VPC instance. Storage Usage is calculated by: (A) rounding the highest amount of data stored on each Database in the applicable month to the nearest whole gigabyte (the “Peak Database Size”); and (B) summing the Peak Database Size across all Databases that included data during the applicable month. The Peak Database Size for each Database includes:
(i) the peak Native Data usage for the month; and (ii) the peak Processed Data usage for the month. Should any Database contain data that is less than 1 GB, that Database will be rounded up to 1 GB.Fees for the VPC will be paid in accordance with terms stated in the “VPC” table above.
4. Drawdown Fee; Billing. The Subscription includes a Drawdown Fee. The Drawdown Fee is billed upon the Signature Date and is due on the Start Date, and any subsequent Drawdown Fees are due on the applicable start date of that term. Storage Usage is calculated monthly at the applicable “Rate per GB” in the Rates tables and applied against the Drawdown Fee until it is exhausted. If, during the applicable term, Customer’s total Storage Usage exceeds the Drawdown Fee, all excess Storage Usage will be invoiced monthly in arrears. Unused portions of the Drawdown Fee expire at the end of the applicable term and do not roll over.
5. Suspended Data; Billing. Customer may place Projects in suspended mode, with no Customer access, at any time (“Suspended Data”). If Customer chooses to place an entire Database, including all of its Projects, in suspended mode for an entire calendar month, only then will Customer be billed the “Rate per GB” for Suspended Data. Unless suspended before the first day of a calendar month, any Database with Suspended Data for a partial month will be billed at the respective rates for Active Data or ECA Data.
6. ECA Data; Billing. Customer may place Case Materials in an early case assessment Project with limited feature functionality (“ECA”) to promote Case Materials to one or more review Projects (“Active Review”). Case Materials can be transferred from an ECA Project to one or more Active Review Projects anytime at Customer's discretion. Any ECA Project will be billed at the ECA rate and any Active Review Project will be billed at the Active Data rate. If a Document in a Database is only in an ECA Project, it will be billed on the “Rate per GB” for ECA Storage. If a Document is in at least one Project in an ECA Database, it will only be billed on the Rate per GB for Active Storage and contribute to the peak active size for the month.
7. Case Deletion. Any Databases that remain on the Service during any portion of a calendar month will be included in Customer's Storage Usage totals, regardless of when such Database is deleted.
The person signing this Order Form on behalf of the Customer represents and warrants that they have the legal authority to bind the Customer.
