Good afternoon Mayor and Councilmembers,
The Napa County Bicycle Coalition is supportive and appreciative of City staff's recommendation to allocate $1.5 million towards the SR 29 Bicycle/Pedestrian undercrossing project, and encourages City Council to approve this recommendation with the resolution approving the FY 21/22 End of Year Report.
The SR 29 Bicycle/Pedestrian undercrossing is a pivotal active transportation project that has been in the works for over a decade, which, when completed, will considerably improve east- west connectivity for bicyclists and pedestrians in the City of Napa. This will especially benefit local students, who use the current informal path to travel to school.
NCBC thanks Public Works staff for their hard work seeing this significant project through, and we are excited to see the project move closer to construction and completion.
Thank you,
Carlotta Sainato

Subject: Amended Notice of Default - Oxbow Riverstage
Date: Friday, October 28, 2022 9:24:00 AM
Mr. Tesler,
This notice of default replaces the notice of default provided on October 24, 2022.
Pursuant to Section 12 of the License Agreement (C2021-165), you are in default of the Agreement by violating Section 15 of the Agreement (see below) which requires the Licensee to restore the Premises to its original condition prior to the Commencement Date (i.e. June 1, 2022 as shown in pictures below), including repairing any damages to the Premises, including the turf, by October 21, 2022.
As shown in the pictures below taken on October 24, 2022 at approximately 10am, there are numerous sections of the turf that have not been restored to their original condition (i.e., 3 inches of green grass with adequate coverage in all damaged areas) by this deadline.
STR Entertainment
attempted to achieve this critical deadline by working with a professional turf contractor to plant grass seed to restore the damaged turf; however, the turf was not fully restored to its original condition by October 21, 2022.
The grass seed was not planted until October 17, 2022 despite the stage and other equipment being completely removed by September 22, 2022. While STR Entertainment delayed in taking actions to fully restore the turf to its original condition by the deadline, the City is willing to work with STR Entertainment to provide a reasonable timeframe to complete the turf restoration.
STR Entertainment will have until November 30, 2022 to complete the turf restoration, which provides a sufficient and reasonable timeframe for the grass seed to germinate and grow to the height of three (3) inches, with sufficient lawn coverage or to take such alternative measures as are necessary to restore the damaged turf areas to their pre-June 1, 2022 condition.
If STR Entertainment is not able to fully restore all of the damaged turf areas to their original condition by November 30, 2022, the City will deem STR Entertainment in default of the Agreement, at which point the City may terminate the License Agreement, and/or complete the repairs by installing sod or taking such other measures to restore the turf and charge STR Entertainment for the cost of such repairs, including City staff costs.
Surrender of Premises. By October 5, 2022 following the 2022 Season and October 5, 2023 following the 2023 Season or within fourteen (14) days following the earlier termination of this Agreement, Licensee shall remove the Stage and the production equipment from the Premises and restore the Premises to its condition prior to the Commencement Date.
Licensee shall repair any damages to the Premises or the Oxbow Commons, including but not limited to the turf, irrigation, subsurface turf mat, park amenities, grounds, or walkways, caused by, or resulting from, Licensee’s activities on the Premises by October 21, 2022 for the 2022 Season and October 20, 2023 for the 2023 Season.
The perimeter fence shall remain in
place to keep the public out of the turf area until the repairs have been completed or a date mutually agreed upon in writing by both parties.
If Licensee fails to timely repair any
damages in accordance with this Section 15, Licensee will be charged for the cost of such Item 9.B.
repairs, including any associated City staff costs.
