CONTRACT AMENDMENT NO. 1 TO AGREEMENT NO. C2022-051
Memorandum of Understanding Between and For the City of Napa and Napa Chief Fire Officers This Contract Amendment No. 1 (“Amendment No. 1”) to City Agreement No. C2022-051, entitled Memorandum of Understanding Between and For the City of Napa and Napa Chief Fire Officers (“MOU”), by and between the City of Napa, a California charter city (“City”), and the Napa Chief Fire Officers (“NCFO”), is effective on the Effective Date identified on the signature page.
RECITALS
The City of Napa ("City") and the Napa Chief Fire Officers ("NCFO") are parties to a Memorandum of Understanding ("MOU") (Agreement No. C2022-051) with a term of January 1, 2022 through December 31, 2024.
In section 15.4 of the MOU, the parties agreed to “meet and discuss section 15.4 of this MOU to discuss potential implementation of a Retiree Medical Trust sponsored by the Southern California Firefighters Benefit Trust.” The City and NCFO began the meet and discuss process related to the implementation of a Retiree Medical Trust, and have reached agreement on the terms of implementation, which are set forth in “Exhibit A”, attached and incorporated herein by this reference.
NOW, THEREFORE, the City and NCFO, for the mutual consideration described herein, agree as follows:
INCORPORATION BY REFERENCE. Unless otherwise specified, all subsequent references to the MOU are deemed to mean the original MOU as modified by any amendments preceding this Amendment, if any. This Amendment incorporates the MOU by reference, except and only to the extent that any terms or conditions of the MOU are specifically modified by this Amendment. All terms and conditions in the MOU that are not specifically modified by this Amendment remain in full force and effect.
MODIFICATION TO MOU. Effective December 24, 2022, the MOU shall be amended as outlined in Exhibit A to incorporate the terms of the new Retiree Medical Trust and related provisions.
SIGNATURES. The individuals executing this Amendment represent and warrant that they have the right, power, legal capacity, and authority to enter into and to execute this Amendment on behalf of the respective legal entities of NCFO and City. This Amendment shall inure to the benefit of and be binding upon the parties hereto and their respective successors and authorized assigns.
