RESOLUTION R2025-XX
RESOLUTION OF THE CITY COUNCIL OF THE CITY OF NAPA, STATE OF CALIFORNIA, APPROVING AND authorizing (1) THE CITY MANAGER TO EXECUTE ON BEHALF OF THE CITY, AN AMENDMENT TO AGREEMENT NO. C2023-671 WITH AXON ENTERPRISES, INC., IN THE AMOUNT OF $100,116.92, FOR A FOUR YEAR TERM, TO PURCHASE IN-CAR VIDEO CAMERAS FOR POLICE DEPARTMENT VEHICLES FOR A TOTAL PROJECT AMOUNT NOT TO EXCEED $1,694,355.35; (2) AN APPROPRIATION IN THE AMOUNT OF $21,657.89 FROM THE TRAFFIC SAFETY FUND, AS DOCUMENTED IN COUNCIL BUDGET AMENDMENT NO. 513P7
WHEREAS, on November 7, 2023, the City Council approved services agreement No. C2023-671 with Axon for body-worn cameras, cloud-based digital evidence management and conducted energy weapon; and WHEREAS, staff has determined that in-car video cameras are a contemporary law enforcement component that records interactions with the public, captures evidence, and meets community expectations of accountability and transparency while supporting the police department mission to safeguard the public’s welfare, safety, civil rights, and civil liberties; and WHEREAS, staff has identified Axon Enterprises, Inc. (Axon), as the vendor that can best meet the needs of the City for this specialty equipment, which includes services provided through Evidence.com, and Axon has demonstrated the ability to meet or exceed the needs of the department; and WHEREAS, staff has determined that pursuant to Napa Municipal Code (NMC) Section 2.91.050 Axon is the sole vendor for the “Fleet 3” in-car video system that integrates with the digital evidence management system currently used by the Napa Police Department and the product meets the City’s performance requirements; and WHEREAS, the City Council has considered all information related to this matter, as presented at the public meetings of the City Council identified herein, including any supporting reports by City Staff, and any information provided during public meetings.

NOW, THEREFORE, BE IT RESOLVED, by the City Council of the City of Napa, as follows:

The City Council hereby finds that the facts set forth in the recitals to this Resolution are true and correct, and establish the factual basis for the City Council’s adoption of this Resolution.

The City Council hereby determines that the actions authorized by this Resolution are exempt from CEQA, pursuant to CEQA Guidelines Section 15060(c), which exempts projects that do not physically impact the environment.

The City Council hereby approves and authorizes the City Manager to execute an amendment to Agreement No. C2023-671 with Axon to purchase “Fleet 3,” in an amount not to exceed $100,116.92, with a total services agreement not to exceed amount of $1,694,355.35.

The City Council hereby determines that the proposed agreement satisfies the requirements for a specialty item in NMC Section 2.91.050 based on the following:

The project need which the City intends to satisfy through the contract for the specialty item. This includes a functional description (or performance criteria) of the City’s needs.

The City is purchasing in-car video camera systems that record in High Definition and securely transmit data wirelessly to the department’s existing digital evidence management system.

The types of property or service which are available (or used by other similarly situated private or public agencies) to meet this need (or similar needs), and the contractors which are available to provide the property or service.

There are other types of in-car camera systems, but none meet the project's needs. In particular, no other system integrates with the City’s existing digital evidence management system currently used by the Napa Police Department. This Axon product allows the users to manage the videos and associated meta-data through the existing user interface, negating the need for a third-party Application Programming Interface that requires separate technical support and systems management. Additionally, third-party vendors not licensed or trained by Axon cannot install or maintain Axon’s patented products. All technical support requests for “Fleet 3” are managed through the same interface as the other Axon products and services already used by the City.

The reasons why it is impracticable for a similar property or service to meet the City’s needs (including considerations of compatibility with other City property and services regarding maintenance, repair, training, quality, price, or similar considerations); or why the City’s needs can only be met by one unique or proprietary type of property or service (the specialty item).

Axon has demonstrated through previous and current agreements with the City that they provide their patented and dependable equipment and services that no other single vendor can provide. Further, as noted previously, if the City was to proceed with another vendor, the City would likely pay increased costs for a third party Application Programming Interface so allow videos and meta-data to be controlled through the City’s existing digital evidence management system. With Axon, the City will not have a need to procure additional services for a third party application.

By entering into a contract for the specialty item from the proposed contractor, the City will meet the purpose and goals identified in NMC Section 2.91.010(D).

The City will meet the purpose and goals identified in Section 2.91.010(D) by amending the agreement with Axon for in-car video cameras because Axon will design, deliver, and install the Axon “Fleet 3” equipment utilizing qualified contractors guaranteed to understand Axon equipment. This will result in efficient product delivery, which will, therefore, achieve a cost-effective and high-quality product for the community. Further, as noted above, the City is anticipating additional cost savings by avoiding the need to procure additional services for a third party application. e. The contract complies with the requirements of NMC Section 2.91.030(B).

Pursuant to NMC Section 2.91.030(B)(2), (a) the services agreement with Axon will be approved as to form by the City Attorney, (b) as determined by the City Auditor, there are sufficient unencumbered funds to cover the cost of the agreement, and (c) the City Council will authorize the City Manager to amend the existing agreement, all consistent with the requirements detailed in NMC Section 2.91.030(B).

This Resolution shall take effect immediately upon its adoption.

I HEREBY CERTIFY that the foregoing Resolution was duly adopted by the City Council of the City of Napa at a public meeting of said City Council held on the 21st day of January, 2025, by the following vote:
