RESOLUTION OF THE CITY COUNCIL OF THE CITY OF NAPA, STATE OF CALIFORNIA, AUTHORIZING THE PARKS AND RECREATION DIRECTOR TO EXECUTE A CONTRACT WITH SITEONE LANDSCAPE SUPPLY LLC FOR THE IRRIGATION CONTROLLER UPGRADE AND REPLACEMENT PROJECT USING THE BUYBOARD COOPERATIVE PURCHASING PROGRAM PURSUANT TO NAPA MUNICIPAL CODE SECTION 2.91.060 (COOPERATIVE CONTRACTING) WHEREAS, the City of Napa (“City”) requires upgraded and replacement irrigation controllers and related retrofit services at various City facilities, as further described in Exhibit A (“Project”); and WHEREAS, WeatherTRAK irrigation controllers are proprietary products owned by HydroPoint Data Systems, Inc., and only two distributors serve Northern California—SiteOne Landscape Supply LLC (“SiteOne”) and WaterSavers Irrigation—with SiteOne being the only distributor that also provides installation and retrofit services; and WHEREAS, City staff evaluated available distributors and services and determined that only SiteOne can provide the complete suite of controller procurement, retrofit, installation, and integration with WeatherTRAK.net web-based management software required for the Project; and WHEREAS, the BuyBoard Cooperative Purchasing Program (“Cooperative”) has awarded a competitively solicited contract to SiteOne for field and irrigation products, including WeatherTRAK controllers, retrofit assemblies, satellite assemblies, and related installation services; and WHEREAS, the Cooperative utilizes an open and competitive proposal process that includes public advertising, detailed specifications, published evaluation criteria, vendor scoring, and award based on best value; and WHEREAS, Napa Municipal Code Section 2.91.060 authorizes the City to enter into a contract under terms materially the same as an existing contract awarded through a substantially equivalent competitive process by another public agency; and WHEREAS, City staff determined that attempting to develop custom specifications and competitively bid the Project would be impracticable and would not produce an advantage to the City because:
(1) required equipment is proprietary;
(2) only certain distributors can provide the necessary services; and (3) SiteOne’s cooperative contract offers cost savings and complete installation services not available through alternative sources; and WHEREAS, the City Council has considered all written and oral information related to this matter, including staff reports and public comments.
NOW, THEREFORE, BE IT RESOLVED, by the City Council of the City of Napa, as follows:
Findings. The City Council hereby finds and determines as follows, in accordance with Napa Municipal Code Section 2.91.060:
a. The City has an opportunity to enter into a contract with SiteOne under terms materially the same as the Cooperative’s existing competitively awarded contract. b. The terms of the proposed contract are more beneficial to the City than terms obtainable through developing independent specifications and conducting a separate competitive bid process. c. The Cooperative’s solicitation process is substantially equivalent to the City’s required competitive process and meets the goals of Municipal Code Section 2.91.010(D), including ensuring best value, guarding against favoritism, and using City resources efficiently. d. Only SiteOne can provide the specialty services required to procure, retrofit, install, and integrate WeatherTRAK irrigation controllers and related components. e. The contract between the City and SiteOne complies with the requirements of Municipal Code Section 2.91.030(B).
Authority to Approve Modifications. The City Engineer or designee is authorized to approve minor alterations or modifications to the Project design or plans consistent with the scope and intent of the Project.
Contract Execution. The City Council hereby authorizes the Parks and Recreation Director to execute the contract attached as Exhibit A, and any related documents necessary to carry out the Project, consistent with this Resolution.
Award of Contract. The City Council hereby awards the contract for the Project to SiteOne Landscape Supply LLC pursuant to Napa Municipal Code Section 2.91.060.
Severability. If any section or provision of this Resolution is found invalid, unconstitutional, or preempted by law, such portion shall be severed, and the remaining provisions shall continue in full force and effect. The City Council declares it would have adopted this Resolution without the invalid portion.
Effective Date. This Resolution shall take effect immediately upon adoption.
I HEREBY CERTIFY that the foregoing Resolution was duly adopted by the City Council of the City of Napa at a public meeting of said City Council held on the 15th day of September, 2026, by the following vote:
