THREE DECADES OF PUBLIC

SECTOR SERVICE
Since our inception in 1994, we have worked
alongside cities, counties, school districts, and
public agencies to deliver complex capital projects
from inception through closeout, bringing the
same accountability, transparency, and technical
expertise to every project.

Our public sector work spans a broad range
of project types, including aquatic centers,
recreation and community centers, civic
campuses, libraries, and capital improvement
programs for municipalities throughout California
and beyond. This sustained commitment to
public agency clients has shaped an organization
that understands the unique demands of
publicly funded work: community stakeholder
engagement, public bidding requirements,
regulatory coordination, and the responsibility
of delivering projects that serve residents for
generations.

Over 70% of SMC’s assignments are with public
sector clients, and our team takes pride in the
longstanding relationships it has built with
counties, municipalities, school districts, and
state agencies throughout California. Some of our
trusted, long-term public agency client partners

The City of Napa (City) will benefit from our 32-
year commitment to representing the interest
of Public Owners. SMC brings not only the
technical capabilities this project requires, but the
institutional knowledge and public sector fluency
that comes from three decades of continuous
service to the communities we are proud to call
our clients.

ERRORS & OMISSIONS CLAIMS

HISTORY
SMC has maintained a clean errors and omissions
claims history with no claims filed against us in
the past 10 years.

LITIGATION HISTORY

USS CAL V SOUTH SAN FRANCISCO

UNIFIED SCHOOL DISTRICT
From 2011 through August 2014, SMC provided
Program and Construction Management
Services to South San Francisco Unified School
District (District). During this period, turnover
of District staff included two superintendents,
three CBO’s and two District bond directors. Due
to changes in district staff and re-visioning of
implementation of the bond program, Swinerton’s
services were revised to provide limited program
management services, FF&E coordination and
move management. Construction management
services were provided by IRS 1099 Independent
Contractors hired directly by the District.

Construction of modernization and new
construction was completed at the District
approximately 2016. The contractual relationship
between the General Contractor and the District
devolved into litigation with USS Cal, the General
Contractor filing litigation for payments owed,
and the District filing a countersuit for defective

workmanship. In 2016, the Court affirmed a
Summary Judgement in favor of the District citing
that the contracts for construction were never
ratified by the Board of Trustees, even though
the contracts were signed by the Superintendent
and approved for the District Director of the
Bond Program. Upon filing of the Summary
Judgement in favor of the District and facing
potential disgorgement by the Court, the USS
Cal asked to Court to amend its initial complaint
that was previously filed in 2017 to include
SMC and a number of design professionals
and subcontractors. In 2023, Swinerton settled
with USS Cal’s Surety (Arch) in exchange for
indemnification by the Surety in this matter.

Counsel for USS Cal has filed a claim against USS
Cal’s Surety claiming lien rights on all settlement
proceeds.

PROFESSIONAL LIABILITY
There have been no claims made against SMC’s
Professional Liability insurance policy since the
business was established in 1994.

FINANCIAL STABILITY
Swinerton Incorporated traces its roots to 1888,
when a young Swedish immigrant founded a brick
masonry and contracting business in Los Angeles
to serve California’s post-Gold Rush building
boom. The company was officially incorporated
in 1908, obtained one of the first contractor’s
licenses in the State of California in 1929 (license
number 92, which it still holds today), and has
operated continuously for 138 years through two
world wars, the Great Depression, recessions, and
natural disasters.

In 1994, Swinerton Incorporated was formed
as the parent holding company, with SMC
established that same year. Today, Swinerton
Incorporated is a 100% employee-owned company
with over 4,700 employee-owners operating
across 24 offices in six regions nationwide.

This longevity and structure speak directly to
financial stability. As a 100% employee-owned, $6
billion national company, Swinerton Incorporated
carries no outside shareholders, no private equity
obligations, and no debt to external investors.

Our employee-owners have a direct stake in the
company’s performance and long-term health,
which drives disciplined financial management
and consistent delivery across every project and
program we undertake. For the City, this means
partnering with a firm whose financial foundation
is as strong today as it has been for more than a
century.

SECTION 6 | PROPOSED SCOPE OF SERVICES
SECTION 6

PROPOSED SCOPE OF

SERVICES

PROJECT UNDERSTANDING
SMC understands that the City is embarking on
one of its most significant community investments
in recent memory: the transformation of the
former Harvest Middle School site at 2447 Old
Sonoma Road into a premier, multigenerational
Public Recreation & Aquatics Center that will
serve Napa residents for generations to come.

THE OPPORTUNITY AND THE

CHALLENGE
The City recently acquired the 26.62-acre property
with a clear community mandate: to address
longstanding citywide recreational facility needs
and deliver a modern destination that reflects the
priorities of a diverse and growing population.

Community input has identified a compelling
program, including a community pool, spray
ground, multigenerational indoor and outdoor
spaces, and updated sports courts for pickleball,
tennis, and basketball. The anticipated project
budget of $50 Million to $75 Million is ambitious,
and delivering a facility of this scope and
quality within that range will require disciplined
program management from the very first day of
engagement.

The site presents both opportunity and
complexity. Existing infrastructure, including two
gymnasiums, a non-operational pool, synthetic
turf fields, and natural turf baseball fields, must
be carefully evaluated and phased. The City
intends to keep existing recreational amenities,
including the beloved “Playground Fantástico,”
open for public use through at least December
2026, requiring the project manager to plan
construction activities that minimize disruption to
ongoing community programming. Additionally,
a 2.65-acre portion of the site is reserved for 53
low-income housing units, a constraint that must
be integrated into the master planning and site
logistics from the outset. The City is also leading
the demolition of most former school buildings,
a parallel workstream that the project manager
must coordinate with carefully to avoid schedule
conflicts.

WHAT THE CITY NEEDS
The City has already selected a Project Architect
and is now seeking a project management firm
to serve as the bridge between City staff and
the design and construction team. This is not a
passive oversight role. The City needs a proactive,
technically capable owner’s representative who
can review and challenge design deliverables,
manage the budget with rigor, navigate the
public bidding process, provide full-time onsite

SWINERTON
SECTION 6 | PROPOSED SCOPE OF SERVICES
inspection during construction, and communicate
clearly and consistently with City staff, the City
Council, and the public throughout all three
phases of the project.

HOW SMC SEES THIS PROJECT
SMC approaches this assignment as a trusted
extension of City staff, not simply a consultant. We
understand that publicly funded projects carry
a unique weight of accountability. Every dollar
spent is a public dollar. Every schedule delay
affects the community. Every decision made in
the design phase has consequences in the field.

Our role is to protect the City’s interests at every
turn, to ask the hard questions early, and to
bring the institutional knowledge of more than
32 years of public sector project and construction
management to bear on every phase of this
project.

We also recognize that this project is more than
a construction program. It is a community asset.

The new Public Recreation & Aquatics Center will
serve Napa residents of all ages and backgrounds
for decades. SMC is committed to delivering
a facility that the City and its residents will be
proud of, on schedule, within budget, and with
the transparency and accountability that public
agency clients deserve.

PROVEN EXPERTISE IN

RECREATION AND AQUATIC

FACILITY DELIVERY
SMC has been representing public agencies to
manage the planning, design, and construction
of recreation facilities for more than three
decades. Our portfolio includes aquatic centers,
multigenerational recreation centers, parks
and sports field improvements, and community
facilities delivered for cities, counties, and public
education districts throughout California.

Emeryville Center for Community Life | Emeryville, CA

SWINERTON
SECTION 6 | PROPOSED SCOPE OF SERVICES

SWIMMING POOLS AND AQUATIC

FACILITIES
Swimming pools are highly complex and require
careful integration of architectural, structural,
mechanical, electrical, and hydraulic engineering
disciplines. Design teams need to carefully
consider factors such as water circulation,
filtration systems, energy efficiency, user safety,
accessibility, and compliance with local building
codes and health regulations. SMC’s past
collaboration with Noll & Tam on complex projects
will be a significant asset to the City and allow our
respective teams to quickly identify key issues
and decisions needed by the City.

Aquatic centers present additional challenges due
to their larger scale and specialized features such
as competition pools and recreational amenities,
and the need to accommodate diverse user
groups. Our team’s aquatic facilities specialist,
Linda Rizzoli, has extensive experience working
with community groups to review options, and
reach consensus on design solutions.

Construction requires precise coordination
among multiple trades, strict quality control, and
attention to waterproofing, durability, and longterm maintenance requirements. The combination of technical systems, public safety considerations,
and operational demands makes swimming pools
and aquatic centers among the most sophisticated
recreational facilities to build. Recent projects,
such as the Orange Park Aquatic Center for the
City of South San Francisco, have included allelectric pool systems – new innovations that add engineering complexity, but which can save cities
significant energy costs and achieve high levels of
sustainability.

The SMC team has specific hands-on construction
management expertise to bring to the City:
• Renovation and modernization of existing
facilities for new aquatic centers
• Working with the infrastructure challenges of
existing school campuses
• New construction of both indoor and outdoor
pools
• Construction procurement of pool and
aquatic facilities using numerous project
delivery methods including Design-Bid-Build,
Lease-Leaseback, and both Traditional and
Progressive Design-Build

SPORTS AND ATHLETIC FIELDS
The SMC team has been managing design and
construction of innovative artificial turf fields for
over two decades years, including new fields,
and renovated fields, and replacing natural turf
with artificial turf. Our team is experienced with a
wide variety of artificial turf technology, which is
constantly evolving. Successful turf field projects
require close coordination among engineers,
landscape architects, contractors, manufacturers,
and public agencies to ensure the finished facility
delivers long-term performance, durability,
maintenance, and user satisfaction.

The design and construction of artificial turf fields
is a complex process that requires the integration
WCCUSD Kennedy High School Sports Fields | Richmond, CA

SWINERTON
SECTION 6 | PROPOSED SCOPE OF SERVICES
of engineering, sports performance, athlete safety,
and environmental considerations. The design
team needs to evaluate site conditions, drainage
requirements, soil stability, field dimensions, and
anticipated usage patterns to develop a durable
and high-performing facility.

SMC’s construction experience has shown us
that precise grading, installation of stable base
systems, advanced drainage infrastructure,
synthetic turf surfacing, and infill materials need
to be carefully coordinated. Compliance with local
regulations, accessibility requirements, and safety
guidelines adds further complexity.

APPROACH TO SCOPE OF

SERVICES
SMC will serve as the City’s dedicated project
manager and owner’s representative for the new
Public Recreation & Aquatics Center, providing
comprehensive project and construction
management services across all three phases of
the project. Our approach is rooted in proactive
planning, transparent communication, and
disciplined budget and schedule management
from project setup through facility startup.

As project manager, SMC will function as a
seamless extension of City staff, maintaining
a single point of accountability across every
phase, every consultant, and every contract.

Our team will establish the program controls,
communication protocols, and document
management systems at the outset and maintain
them consistently through closeout, providing the
City with real-time visibility into project status at
all times.

PHASE I: PROJECT SETUP AND INITIAL
DESIGN
SMC will begin by assembling the project team
and establishing the foundational program
management infrastructure for the duration of the
engagement. Key activities include:
• Program Management Plan
SMC will develop a comprehensive project
management plan that defines roles and
responsibilities, communication protocols,
decision-making authority, document control
procedures, and reporting cadence. This plan
will serve as the governing document for all
three phases.
• Project Controls
We will establish a master project schedule,
project budget tracker, risk register, and
change management log from day one.

Budget and schedule status will be reported

as needed.
• Design Review and Quality Control
SMC will review the Project Architect’s
deliverables at each design milestone,
providing written comments on accuracy,
completeness, constructability, and
conformance with the City’s program
objectives. Our review process draws on
SMC’s deep experience with aquatic and
recreation facility construction to identify
issues before they reach the field.
• Value Management
SMC will facilitate value management studies
in collaboration with the design team and City
staff, evaluating building systems, materials,
and phasing strategies to maximize the
project’s value within the established budget.

We will present a minimum of two design
alternatives with magnitude-of-cost estimates

• FF&E Management
SMC will coordinate the Furniture, Fixtures,
and Equipment selection process in
collaboration with City staff and the design
team, tracking selections, lead times, and
budget impacts throughout the design phase.
• Bidding Support
SMC will manage the full public bidding
process through OpenGov, including
preparation and issuance of bid documents,
addenda management, pre-bid conference
coordination, response to bidder questions,
bid evaluation, and preparation of award
recommendations to the City Council. Our
bid leveling process provides the City with a
transparent, apples-to-apples comparison of
all submitted bids.

PHASE III: PRE-CONSTRUCTION,

CONSTRUCTION, INSPECTION, AND

CLOSEOUT
SMC will provide full-time onsite project and
construction management services throughout
the construction phase, serving as the City’s
primary point of contact with the general
contractor and all project stakeholders.
• Pre-Construction
Prior to construction start, SMC will

design and construction process end to end. Our
seasoned construction professionals advocate for
each client, acting as an extension of the owner
to take care of the preparation and delivery of
projects so that our clients can make informed
decisions and focus on their core business.

The City can expect consistent leadership,

SWINERTON’S PRICING PHILOSOPHY
Swinerton’s philosophy on pricing is based on collaborating with our Clients and developed with a thorough understanding of the services that are required that will meet the Client’s budget. We look at the types of services and tasks, the duration of the assignment, and customize our fees according to those needs. In collaboration with our Clients, a scope of services is defined, project schedule and a staffing plan is developed, adjusted for workload, and then fees are developed.

Swinerton’s Standard Hourly Rates are all-inclusive of overhead, laptop computers, cell phones, travel within the greater Northern California Area, office supplies, etc. Expenses that are not included in our hourly rates would be costs of any specialized software licenses/computer programs required by our Clients. Additional reimbursable items, if any, would be invoiced at cost to the Client.

With the exception of our administrative support staff, all of our positions are exempt. This means that there are no overtime or holiday rates. In addition, there are no premium costs for managing work during weekends or holidays, and as a consultant, there are no overtime premiums.

SWINERTON
SECTION 9 | HOURLY BILLING RATES & REIMBURSABLE EXPENSES

BILLING PRACTICES
RANGE OF PROJECT | CONSTRUCTION MANAGEMENT FEES
Swinerton has managed the execution of projects as a Project/Construction Manager, utilizing various project delivery methods, including:
• Lump Sum/Low Bid
• Construction Management Multiple Prime
• Design-Build
• Design-Build Bridging
• Lease-Leaseback
These various project delivery strategies require different resources and at different points in the design and construction process. In addition, the type (e.g. new construction, modernization), size (e.g., $100,000 vs. $1 million), duration (e.g., three months, twelve months), statutory requirements, contractor prequalification, bid protests, and other factors, may have a significant influence on fees.

As for the management of project allowances, these are typically part of the construction contract and rarely used in professional service contracts. Our contracts are based on the needs of the District and have included:
• Hourly to a Maximum Fee
• Progress Payments Against a Stipulated Fee
• Phased Payments
• Fixed Monthly Amounts
Our desire is to provide both the District and our Firm with a high degree of certainty in the cost of our services so that more money can be budgeted for improvement projects.

HOURLY RATES
With the exception of our administrative support staff, all of our positions are exempt. This means that there are no overtime or holiday rates. In addition, there are no premium costs for managing work during weekends or holidays, and as a consultant, there are no overtime premiums.

REIMBURSABLES AND OVERHEAD
Swinerton’s Standard Hourly Rates are all-inclusive of overhead, laptop computers, cell phones, travel within the greater Southern California Area, office supplies, etc. Expenses that are not included in our hourly rates would be costs of any specialized software licenses / computer programs required by our Clients. Reimbursable items, if any, are invoiced at cost to our Clients.
