AMENDMENT NO. ONE TO
PROFESSIONAL SERVICES AGREEMENT
WITH J. LEE ENGINEERING, INC. FOR
STAFF AUGMENTATION AND PLAN REVIEW SERVICES
THIS AMENDMENT NO. ONE TO PROFESSIONAL SERVICES AGREEMENT ("Amendment No. One") is made and entered intoas of this24th day of March, 2026 ("EffectiveDate"), by and between the CITY OF NEWPORT BEACH, a California municipal corporation and charter city("City"),and J. LEE ENGINEERING, INC., a Californiacorporation("Consultant"),whose address is3871 E Colorado Blvd.,Suite 200, Pasadena, CA 91107, and is made with reference to the following:
RECITALS
A. On July 8, 2025, City and Consultant entered into a Professional Services Agreement (ContractNo. C-8507-7A) ("Agreement")forStaffAugmentation and Plan Review Services ("Project").
B. The partiesdesire to enter intothisAmendment No. One to update Section 25.3, Notices and increase the totalcompensation.
NOW, THEREFORE, itismutuallyagreed by and between the undersigned parties as follows:
1. COMPENSATION TO CONSULTANT
Section 4.1 of the Agreement is amended in itsentiretyand replaced with the following: "Cityshall pay Consultant for the Services on a time and expense not-to- exceed basis inaccordance with the provisionsof thisSection and the Schedule of Billing Rates attached hereto as ExhibitB and incorporated herein by reference. Consultant's compensation for allWork performed in accordance with thisAgreement, includingall reimbursable items and subconsultant fees, shallnot exceed Seven Hundred Seventy Thousand Dollars and 00/100 ($770,000.00),without priorwrittenauthorizationfrom City.No billingratechanges shallbe made duringthe term of thisAgreement without the priorwrittenapproval of City."
The totalamended compensation reflectsConsultant's additionalcompensation for additionalServices to be performed in accordance with this Amendment No. One, includingallreimbursable items and subconsultant fees, in an amount not to exceed One Hundred FiftyThousand Dollars and 00/100 ($150,000.00).

3. INTEGRATED CONTRACT
