Professional Services Agreement Amendment with Willdan Engineering
AMENDMENT NO. ONE TO
PROFESSIONAL SERVICES AGREEMENT
WITH WILLDAN ENGINEERING FOR
STAFF AUGMENTATION AND PLAN REVIEW SERVICES
THIS AMENDMENT NO. ONE TO PROFESSIONAL SERVICES AGREEMENT ("Amendment No. One") is made and entered intoas of this24th day of March, 2026 ("EffectiveDate"), by and between the CITY OF NEWPORT BEACH, a California municipal corporation and charter city ("City"),and WILLDAN ENGINEERING, a Californiacorporation("Consultant"),whose address is 2401 E. Katella Avenue, Suite 300, Anaheim, CA 92806, and is made with reference to the following:
RECITALS
A. On July 1, 2025, City and Consultant entered into a Professional Services Agreement (ContractNo. C-9926-1) ("Agreement")forstaffaugmentation and plan review services("Project").
B. The partiesdesire to enter intothisAmendment No. One to update Section 25.3, Notices and increasethe totalcompensation.
NOW, THEREFORE, itismutuallyagreed by and between the undersigned parties as follows:
1. COMPENSATION TO CONSULTANT
Section 4.1 of the Agreement is amended in itsentiretyand replaced with the following: "Cityshallpay Consultant for the Services on a time and expense not-to- exceed basis inaccordance withthe provisionsofthisSection and the Schedule of Billing Rates attached hereto as ExhibitB and incorporatedherein by reference. Consultant's compensation for allWork performed in accordance with thisAgreement, includingall reimbursable items and subconsultant fees, shallnot exceed Three Hundred Thousand Dollarsand 00/100 ($300,000.00),withoutpriorwrittenauthorizationfrom City.No billing rate changes shallbe made during the term of thisAgreement without the priorwritten approval of City."
The totalamended compensation reflectsConsultant's additionalcompensation for additionalServices to be performed in accordance with this Amendment No. One, includingallreimbursable items and subconsultant fees, inan amount not to exceed One Hundred Eighty Thousand Dollars and 00/100 ($180,000.00).

25.3 All notices,demands, requests or approvals from City to Consultant shall be addressed to Consultant at:

3. INTEGRATED CONTRACT
