Effectivedate.IfEnrolledAffiliateisrenewing;Software`Assurance or SubscriptionLicenses from one or more previousEnrollmentsor agreements,fen the effectivedate willbe the day afterthe firstprior Enrollmentor agreement expiresor.,terminatesIfthis Enrollment is renewed, the effectivedate of the renewalterm willbe theday aftertheExpirationDate of the initialterm. Otherwise, the effectivedate will be the datethisEnrollmentisacceptedby Microsoft.Any referenceto "anniversarydate" refersto the anniversaryofthe effectivedate of theapplicableinitialor renewal term foreach year thisEnrollmentis in effect.
Term. The initialtermofthisEnrollmentwillexpireon the lastday of the month, 36 fullcalendar months from the effective date of the initialterm. The renewal term willexpire 36 fullcalendar months afterthe effectivedate of the renewal term.
Terms and Conditions
1. , Deifnitions.
Terms` used but not defined in this Enrollment willhave the definitioninthe EnterpriseAgreement. The followingdefinitionsareused inthisEnrollment:
"AdditionalProduct"means any Product identifiedas such inthe Product Terms and chosen by Enrolled Affiliateunder this Enrollment.
"Community" means the community consistingof one or more of the following:(1)a Government, (2)an Enrolled Affiliateusing eligibleGovernment Community Cloud Services to provide solutionsto a Government or a qualifiedmember oftheCommunity, or(3)a Customer withCustomer Data thatissubject to Government regulations for which Customer determines and Microsoft agrees that the use of Government Community Cloud Services is appropriateto meet Customer's regulatoryrequirements.

Membership in the Community is ultimatelyat Microsoft'sdiscretion,which may vary by Government Community Cloud Service.
"EnterpriseOnline Service"means any Online Servicedesignated as an EnterpriseOnline Service inthe Product Terms and chosen by Enrolled Affiliateunder thisEnrollment. EnterpriseOnline Services are treatedas Online Services,except as noted.
"EnterpriseProduct" means any Desktop PlatformProduct that Microsoftdesignates as an Enterprise Productinthe ProductTerms and chosen by EnrolledAffiliateunder thisEnrollment.EnterpriseProducts must be licensed for all Qualiifed Devices and Qualified Users on an Enterprise-widebasis under this program.
"ExpirationDate" means the date upon which the Enrollmentexpires. "FederalAgency" means a bureau, oiffce,agency, department or otherentityof the United;StatesGovernment. "Government" means a Federal Agency, State/LocalEntity,orTribalEntityacting,initsgovernmentalcapacity. "Government Community Cloud Services" means MicrosoftOnlineServicesthatare provisionedinMicrosoft's multi-tenant data centers for exclusive use by orfortheCommunity and offeredinaccordance with the NationalInstituteof Standards and Technology (NIST)SpecialPublication800-145. Microsoft OnlineServicesthatare Government Community Cloud ServicesaredesignatedassuchintheUseRightsand Product Terms. "IndustryDevice"(alsoknown as lineof businessdevice)means any:devicethat:(1)isnotuseableinits deployed configurationas a generalpurpose personalcomputingdevice(suchas a personalcomputer),a multifunctionserver,or a commerciallyviablesubstituteforoneof'thesesystems;and (2)onlyemploysan industryor task-specificsoftware program (e.g.a computer-aideddesignprogramused by an architector a pointofsaleprogram) ("IndustryProgram"). The devicemay includefeaturesand functionsderivedfrom Microsoftsoftware or third-partysoftware. Ifthe deviceperformsdesktopfunctions(suchas email,word processing, spreadsheets, database, network or Internetbrowsing, or scheduling,or personal finance), then the desktopfunctions:(1)may onlybe used forthe purpose of supportingthe IndustryProgram functionality;and (2) must be technicallyintegratedwith the IndustryProgram or employ technically enforcedpoliciesorarchitecturetooperateonlywhen used withthe IndustryProgram functionality. "Managed Device"means any deviceon whichany Affiliateinthe Enterprisedirectlyor indirectlycontrols oneormoreoperatingsystemenvironments.Examplesof Managed Devices can be found inthe Product Terms.
"QualifiedDevice"means any devicethatisused by or forthe benefitof EnrolledAffiliate'sEnterpriseand is:(1)a personaldesktopcomputer,portablecomputer,workstation,or similardevice capable of running Windows Pro locally(in.aphysicalorvirtualoperatingsystem environment),or (2)a deviceused toaccess a virtualdesktopinfrastructure("VDI").QualifiedDevices do not includeany device thatis:(1)designated as a server and not used as a personal computer, (2)an IndustryDevice,or (3)not a Managed Device. At itsoption,the Enrolled,Affiliatemay designateany device excluded above (e.g.,IndustryDevice) thatis usedby orforthebenefitoftheEnrolledAffiliate'sEnterpriseas a QualifiedDevice forallor a subset of EnterpriseProductsorOnlineServicestheEnrolledAffiliatehas selected. "QualifiedUser" means a person (e.g.,employee, consultant,contingent staff)who: (1) is a user of a Qualified:,Device,or (2)accessesany serversoftwarerequiringan Enterprise Product Client Access License or any EnterpriseOnline Service. Itdoes not includea person who accesses server software or an Online Service solelyunder a License identifiedinthe QualifiedUser exemptions inthe Product Terms. "Reseller"means an entityauthorized by Microsoftto resellLicenses under thisprogram and engaged by an EnrolledAffiliateto provide pre- and post-transactionassistance relatedto thisagreement; "Reserved License" means for an Online Service identified as eligiblefortrue-ups in the Product Terms, the License reserved by EnrolledAffiliatepriorto use and forwhich Microsoftwillmake the Online Service available for activation.

"State/LocalEntity"means (1) any agency of a stateor localgovernment inthe United States,or (2)any United Statescounty,borough, commonwealth, city,municipality,town, township, specialpurpose district, or other similartype of governmental instrumentalityestablished by the laws of Customer's state and locatedwithinCustomer's state'sjurisdictionand geographic boundaries. "TribalEntity"means a federallyrecognized tribalentityperforming tribalgovernmental functions and eligibleforfunding and servicesfrom the U.S. Department of Interiorby virtueof itsstatusas an Indian tribe.
"Use Rights" means, with respect to any licensingprogram, the use rightsor terms of service for each Product and version published for that licensingprogram attheVolume LicensingSiteand updatedfrom time to time.The Use Rights include the Product-SpeciifcLicense Terms, the License Model terms,the Universal License Terms, the Data Protection Terms, and the Other Legal Terms. The Use Rights supersede the terms of any end user license agreement (on-screenor otherwise)thataccompanies a Product.
"Volume LicensingSite means http://www.microsoft.com/licensing/contractsora successorsite.
2. Order requirements.
a. Minimum order requirements. EnrolledAffiliate'sEnterprisemust have a minimum of250 Qualified Users or Qualified Devices. The initialorder must includeatleast250 Licensesfor EnterpriseProducts or EnterpriseOnline Services.
(i) Enterprisecommitment. EnrolledAffiliatemust orderenough Licensesto cover all QualifiedUsers or QualifiedDevices,dependingon the License Type, with one or more EnterpriseProducts or a mix of EnterpriseProducts and the corresponding Enterprise OnlineServices(aslongas allQualified'Devicesnot covered by a License are only used by userscoveredwitha userLicense).t
(ii)EnterpriseOnlineServicesonly. Ifno EnterpriseProduct is ordered, then Enrolled Affiliateneed only maintainat least250 SubscriptionLicenses for Enterprise Online Services.
b. AdditionalProducts. Upon satisfyingthe minimum order requirements above, Enrolled Affiliatemay orderAdditionalProducts:

Use RightsforEnterpriseProducts.ForEnterpriseProducts,ifa new Product versionhas more restrictiveuse rightsthanthe version thatiscurrentat the startof the applicableinitialor renewal term of the Enrollment,those more restrictiveuse rightswillnot apply to Enrolled Affiliate'suseofthatProductduringthatterm.
d. Countryofusage. EnrolledAffiliatemust specifythe countrieswhere Licenses willbe used on itsinitialorderand on any additionalorders.
e. Resellers. Enrolled Affiliatemust choose and maintain a Reseller authorized in the United States.EnrolledAffiliatewillacquireitsLicensesthrough itschosen Reseller.Orders must be submitted to the Reseller who willtransmit the order to Microsoft. The Reseller and Enrolled Affiliatedeterminepricingand payment termsas between them, and Microsoftwillinvoicethe Resellerbasedon thoseterms.ThroughoutthisAgreementthe term "price"refersto reference price.Resellersand other thirdpartiesdo not have authorityto bind or impose any obligation or liabilityon Microsoft.
f. Adding Products.
(i) Adding new Products not previously ordered. New EnterpriseProducts or Enterprise Online Servicesmay be added at any time by contactinga MicrosoftAccount Manager or Reseller. New Additional Products, other than Online Services,may be used ifan order is placed in the month the Product is firstused. For Additional Products that are Online Services, an initialorder forthe Online Service is requiredpriorto use.

(ii)Adding Licenses for previously ordered Products. AdditionalLicensesforpreviously ordered Products other than Online Services may be added at any time but must be includedinthe nexttrue-uporder.AdditionalLicenses forOnline Services must be ordered priorto use, unless the Online Services are (1) identifiedas eligiblefor true-up in the ProductTerms or (2)includedas partofotherLicenses.
g. True-up requirements. EnrolledAffiliatemust submit an annual true-uporder thataccounts forany changes since the initialorder or lastorder. Ifthereare no changes, then an update statement must be submitted insteadof a true-uporder.
(i) Enterprise Products. For EnterpriseProducts, Enrolled Affiliatemust determine the number ofQualifiedDevices and QualifiedUsers (iforderinguser-basedLicenses)atthe timethe true-uporderisplaced and must orderadditionalLicensesforallQualifiedDevices and QualifiedUsers that are not already covered by existingLicenses;includingany EnterpriseOnline Services.
(ii)Additional Products. For AdditionalProducts thathave been previouslyorderedunder this Enrollment, Enrolled Affiliatemust determine the maximum number of Additional Products used since the latterof the initialorder, thelast_true-uporderortheprior anniversarydate and submit a trueup orderthataccounts foranyincrease. (iii)Online Services. For Online Services identifiedas eligiblefortrueup inthe Product Terms, EnrolledAffiliatemay placea reservationorderfortheadditionalLicensespriorto use and payment may be deferreduntilthe next true up order.Microsoftwillprovidea reportof Reserved Licensesorderedbut not yet invoicedto Enrolled Affiliateand its Reseller.ReservedLicenseswillbe invoicedretrospectivelyto the month in which they were ordered.
(iv)Subscription License reductions. Enrolled Affiliatemay reduce the quantity of SubscriptionLicensesat the Enrollment`anniversarydate on a prospective basis if permittedintheProductTerms, as follows:
1) ForSubscriptionLicensesthatarepartofan Enterprise-widepurchase, Licenses may be reduced as long,as (a)the initialorderminimum requirements are maintained and (b)the totalquantity.of Licensesand SoftwareAssurance for an applicablegroup meets orexceedsthequantityofQualifiedDevicesand QualiifedUsers (ifordering user-basedLicenses)identifiedon the ProductSelectionForm, and includes any additionalQualifiedDevices and QualifiedUsers added in any priortrue-up orders.
Step-upLicensesdo notcounttowardsthistotalcount.
2) For EnterpriseOnlineServicesina givenProductpool that are not a part of an Enterprisewide purchase, Licenses can be reduced as long as (a) the initialorder minimum''requirementsaremaintainedand (b)allthenactive users of each Online ServiceareincludedthetotalquantityofLicensesremaining afterthe reduction.An EnrolledAffiliatemay reduceLicensesforOnlineServiceson or before the Enrollment "anniversarydateand placea reservationorderforsuch licenseswithin90 days after theanniversarydate;however,any licensesorderedas described in thissection will be invoiced to the Enrolled Affiliate for the time period the licenses were made available.SubscriptionLicenses ordered upfrontmay not be reduced. 3) For AdditionalProducts availableas SubscriptionLicenses, EnrolledAfifliatemay reduce the Licenses. Ifthe License count is reduced to zero, then Enrolled Affiliate's use ofthe applicableSubscriptionLicense willbe cancelled.
Invoiceswillbe adjustedto reflectany reductionsin SubscriptionLicenses at the true-up order Enrollmentanniversarydate and effectiveas of such date. (v) Update statement. An update statement must be submittedinsteadof a true-uporder if, since the initialorder or lasttrue-up order, EnrolledAffiliate'sEnterprise:(1) has not changed the number of QualifiedDevices and QualiifedUsers licensedwith Enterprise Products or EnterpriseOnline Services;and (2)has not increased itsusage of Additional EA20261EnrGov(US)SLG(ENG)(Aug2025) Page 4 of 10

Products. This update statement must be signed by Enrolled Affiliate'sauthorized representative.
(vi)True-up order period. The true-uporder or update statement must be received by Microsoftbetween 60 and 30 days priorto each Enrollment anniversary date. The last true-uporder or update statement duringan Enrollmentterm isdue within30 days priorto the ExpirationDate, and any licensereservationswithinthis30-day periodwillnot be accepted. EnrolledAffiliatemay submit true-uporders more often to account forincreases inProduct usage, but an annual true-uporder or update statement must stillbe submitted during the annual order period.
(vii)Latetrue up order. Ifthe trueup order or update statementisnot receivedwhen due, Microsoft may invoice Reseller for allReserved Licenses not previouslyinvoicedand Subscription License reductions cannot be reported untilthe followingEnrollment anniversarydate (oratEnrollmentrenewal,as applicable).
h. Step-up Licenses. For Licenses eligiblefora step-up under thisEnrollment, EnrolledAffiliate may step-up to a highereditionor suiteas follows:
(i) For step-up Licenses includedon an initialorder,EnrolledAffiliatemay orderaccordingto the true-upprocess.
(ii)Ifstep-up Licenses are not included on an initialorder,.EnrolledAffiliatemay step-up initiallyby followingthe process described inthe Sectiontitled"Addingnew Productsnot previouslyordered,"then for additionalstep-up Licenses, by followingthe true-up order process.
i. Clericalerrors. Microsoftmay correctclerical"errorsinthisEnrollment,and any documents submittedwithor underthisEnrollment,by,,providingnotice by email and a reasonable opportunityfor EnrolledAffiliateto object to the correction. Clericalerrors include minor mistakes,unintentionaladditionsand omissions. This provisiondoes not apply to material terms,such as theidentity,quantityorpriceofa Product ordered. j. Verifyingcompliance.Microsoftmay,initsdiscretionand at itsexpense, verifycompliance withthisEnrollmentas setforthinthe.EnterpriseAgreement.
3. Pricing.
a. Price Levels. For both the initialand any renewal term EnrolledAffiliate'sPrice Level forall ProductsorderedunderthisEnrollmentwillbe Level"D" throughout the term ofthe Enrollment. b. SettingPrices -Unlessotherwiseexpresslyagreed to by the partiesand except forOnline Servicesdesignatedin the ProductTerms as being exempt from ifxed pricing,Enrolled Afifliate'spricesforeach Productor Servicewillbe establishedby itsReseller.As long as EnrolledAffiliatecontinuestoqualifyforthesame pricelevel,Microsoft'spricesforResellers foreach ProductorServiceorderedwillbe fixedthroughoutthe applicableinitialor renewal Enrollmentterm.Microsoft'spricesto Resellersare reestablishedat the beginning of the renewal term.
4. Payment terms.
For the initialor renewal order, Microsoft willinvoice Enrolled Affiliate'sReseller in three equal annual installments. The first installment will be invoiced upon Microsoft'sacceptance of this Enrollment and remaining installmentswillbe invoiced on each subsequent Enrollment anniversary date. Subsequent ordersare invoicedupon acceptance ofthe orderand EnrolledAffiliatemay electto pay annuallyor upfront forOnline Services and upfrontforallother Licenses.

5. End of Enrollment term and termination.
a. General. At the ExpirationDate, EnrolledAffiliatemust immediatelyorderand pay forLicenses for Products ithas used but has not previouslysubmittedan order, except as otherwise provided inthisEnrollment.
b. Renewal option. At the ExpirationDate of the initialterm, EnrolledAffiliatemay request to renew Products and Services under this Enrollment for one additional 36-month term.
Microsoftmay make changes to thisprogram thatwillmake itnecessary forCustomer and its EnrolledAffiliatesto enter intonew agreements or Enrollments in order to renew.; In order for a renewal request to be considered, Microsoftmust receivea Renewal Form, Product Selection Form, and renewal requestpriorto or atthe ExpirationDate. Microsoftwillreview„a renewal requestmade under thissectioningood faithand may acceptorrejectsuch requestinitssole discretion.
c. IfEnrolled Affiliate elects not to renew.
(i) Software Assurance. IfEnrolledAffiliateelectsnottorenew SoftwareAssurance forany Product under itsEnrollment, then Enrolled Affiliatewillnot be permittedto order Software Assurance laterwithoutfirstacquiringa new License withSoftwareAssurance. (ii)Online Services eligibleforan Extended Term. ForOnlineServicesidentifiedaseligible foran Extended Term inthe ProductTerms, thefollowingoptionsare availableatthe end of the Enrollment initialor renewal term.
1) Extended Term. LicensesforOnlineServiceswillautomaticallyexpireinaccordance with the terms of the Enrollment. An extended term option thatallows Online Services to continuemonth-to-month("ExtendedTerm")isavailable.During the Extended Term, OnlineServiceswillbe invoicedmonthlyatthethen-currentpublished price as of the ExpirationDate plusa 3% administrativefee for up to one year. IfEnrolled Affiliatewants an Extended Term, EnrolledAffiliatemust submit a request to Microsoft atleast30 days priortothe ExpirationDate.
2) Cancellation during Extended Term. At any time duringthe firsttwelve months of theExtendedTerm;EnrolledAffiliatemay terminatethe Extended Term by submitting a noticeof cancellationto Microsoftforeach Online Service.Thereafter,Microsoftmay conditionthe continueduse of each OnlineServiceon the acceptance of new terms by the EnrolledAffiliate.EnrolledAffiliatewillbe notifiedinwritingof any new terms at least60 ,daysbeforeany suchchangestakeeffect.Enrolled Affiliateacknowledges and agreesthatafterthenoticedescribedinthissection,itscontinued use of each Online.,Serviceafterthe effectivedate providedin the notice will constitute its acceptanceofthenew terms.IfEnrolledAffiliatedoes not agree to the new terms, it must stopusingtheOnlineServicesand terminatetheExtended Term as provided in thissection.EnrolledAffiliate'sterminationunder this section will be effective at the end ofthe month following30 days afterMicrosofthas received the notice. (iii)SubscriptionLicensesand OnlineServicesnoteligiblefor an Extended Term. If EnrolledAffiliateelectsnot to renew, the Licenses willbe cancelled and willterminate as of the ExpirationDate. Any associated media must be uninstalledand destroyed and Enrolled Affiliate'sEnterprise must discontinue use. Microsoft may request written certificationto verifycompliance.
d. Termination for cause. Any terminationfor cause of thisEnrollment willbe subject to the "Terminationforcause" sectionof the Agreement. In addition,itshall be a breach of this Enrollment if Enrolled Affiliateor any Affiliatein the Enterprise that uses Government Community Cloud Services failsto meet and maintain the conditionsof membership in the definitionof Community.
e. Early termination. Any earlyterminationof thisEnrollmentwillbe subjectto the "Early Termination"Sectionofthe EnterpriseAgreement.

For SubscriptionLicenses, inthe event of a breach by Microsoft,or ifMicrosoftterminates an Online Serviceforregulatoryreasons,MicrosoftwillissueResellera creditforany amount paid inadvance forthe periodaftertermination.
6. Government Community Cloud.
a. Community requirements. IfEnrolledAffiliatepurchases Government Community Cloud Services, Enrolled Affiliatecertiifesthat itis a member of the Community and agrees to use Government Community Cloud Servicessolelyinitscapacityas a member of the,Community and, foreligibleGovernment Community Cloud Services,forthe benefitofend usersthatare members oftheCommunity. Use ofGovernment Community CloudServicesby an`entitythat isnota member ofthe Community ortoprovideservicestonon-Communitymembers isstrictly prohibitedand could resultin termination of Enrolled Affiliate'slicense(s)forGovernment Community Cloud Services without notice. Enrolled Affiliateacknowledgesthatonly Community members may use Government Community Cloud Services:,. b.
