Effectivedate. IfEnrolledAffiliateisrenewing,Software'Assurance or SubscriptionLicenses from one or more previousEnrollmentsor agreements,thenthe effectivedate willbe the day afterthe firstprior Enrollmentor agreement expiresor terminates.IfthisEnrollment is renewed, the effectivedate of the renewaltermwillbe theday aftertheExpirationDate of the initialterm. Otherwise, the effectivedate will be thedatethisEnrollmentisaccepted.by Microsoft.Any referenceto "anniversarydate" refersto the anniversaryoftheeffectivedateoftheapplicableinitialor renewal term foreach year thisEnrollmentisin effect.
Term. The initialtermofthisEnrollmentwillexpireon the lastday of the month, 36 fullcalendar months from the effectivedate of the initialterm. The renewal term willexpire 36 fullcalendar months afterthe effective date of the renewal term
Terms and Conditions
1 Definitions.
Terms' used but not defined in thisEnrollment willhave the definitioninthe EnterpriseAgreement. The followingdefinitionsareusedinthisEnrollment:
"AdditionalProduct"means any Product identifiedas such inthe Product Terms and chosen by Enrolled Affiliateunder this Enrollment.
"Community" means the community consistingof one or more ofthe following:(1)a Government, (2)an EnrolledAffiliateusing eligibleGovernment Community Cloud Services to provide solutionsto a Government ora qualifiedmember oftheCommunity,or(3)a Customer withCustomer Data thatissubject to Government regulationsfor which Customer determines and Microsoft agrees that the use of Government Community Cloud Servicesis appropriateto meet Customer's regulatoryrequirements.

"EnterpriseOnline Service"means any Online Service designated as an EnterpriseOnline Service inthe Product Terms and chosen by EnrolledAffiliateunder thisEnrollment. EnterpriseOnline Services are treatedas Online Services,except as noted.
"EnterpriseProduct" means any Desktop PlatformProduct that Microsoftdesignates as an Enterprise Productinthe ProductTerms and chosen by EnrolledAffiliateunder thisEnrollment. EnterpriseProducts must be licensed for all Qualified Devices and Qualified Users on an Enterprise-wide basis under this program.
"ExpirationDate" means the date upon which the Enrollmentexpires. "Federal Agency" means a bureau, office,agency, department or other entityof the Unite_dStates Government.
"Government" means a Federal Agency, State/LocalEntity,or TribalEntityacting in itsgovernmental capacity.
"Government Community Cloud Services" means Microsoft OnlineServicesthat:are provisionedin Microsoft's multi tenant data centers for exclusive use by orfortheCommunityand offeredinaccordance with the NationalInstituteof Standards and Technology (NIST)SpecialPublication800-145. Microsoft Online Servicesthatare Government Community Cloud Servicesaredesignatedas suchintheUse Rightsand Product Terms. "IndustryDevice" (alsoknown as lineof business device)means any,devicethat:(1)isnotuseableinits deployed configurationas a general purpose personal computingdevice(suchasa personalcomputer),a multi-functionserver,or a commerciallyviablesubstituteforone:ofthesesystems;and(2)onlyemploysan industryor task-specificsoftwareprogram (e.g.a computer-aideddesignprogramusedby an architector a pointof sale program) ("IndustryProgram"). The devicemay includefeaturesand functionsderivedfrom Microsoftsoftware or third-partysoftware. Ifthe deviceperformsdesktopfunctions(suchas email,word processing,spreadsheets,database,network or Internetbrowsing, or scheduling,or personal ifnance), thenthedesktopfunctions:(1)may onlybe used forthe purpose of supportingthe IndustryProgram functionality;and (2)must be technicallyintegratedwith the IndustryProgram or employ technically enforcedpoliciesorarchitecturetooperateonlywhen used withthe IndustryProgram functionality. "Managed Device"means any deviceon which any Affiliateinthe Enterprisedirectlyor indirectlycontrols one ormore operatingsystemenvironments.Examplesof Managed Devices can be found inthe Product Terms.
"QualifiedDevice"means any devicethatisused by or forthe benefitof EnrolledAffiliate'sEnterpriseand is:(1)a personaldesktopcomputer,portablecomputer,workstation,or similardevice capable of running WindowsProlocally(ina physicalorvirtualoperatingsystem environment),or (2)a device used to access a virtualdesktopinfrastructure("VDI").QualiifedDevices do notincludeany devicethatis:(1)designated as a serverand not used as a personalcomputer,(2)an IndustryDevice,or (3)not a Managed Device. At itsoption,the:Enrolled,Affiliatemay designateany deviceexcluded above (e.g.,IndustryDevice)thatis used by orforthe;benefitoftheEnrolledAffiliate'sEnterpriseas a QualifiedDevice forallor a subset of EnterpriseProductsorOnlineServicestheEnrolledAffiliatehas selected. "QualifiedUser"means a person(e.g.,employee,consultant,contingentstaff)who: (1) is a user of a Qualified,Device,or (2)accessesany serversoftwarerequiringan EnterpriseProduct ClientAccess Licenseorany EnterpriseOnlineService.Itdoes notincludea person who accesses server software or an Online Servicesolelyunder a License identifiedinthe QualifiedUser exemptions inthe Product Terms. "Reseller"means an entityauthorizedby MicrosofttoresellLicensesunderthisprogram and engaged by an EnrolledAffiliatetoprovidepre-and post-transactionassistancerelatedtothisagreement; "Reserved License" means for an Online Service identiifedas eligiblefortrue-upsinthe Product Terms, theLicensereservedby EnrolledAffiliatepriortouse and forwhich Microsoftwillmake the Online Service available for activation.
EA20261EnrGov(US)SLG(ENG)(Aug2025) Page2of10Document X20-10637 "State/LocalEntity"means (1)any agency of a stateor localgovernment in the United States,or (2)any United Statescounty,borough, commonwealth, city,municipality,town, township, specialpurpose district, or other similartype of governmental instrumentalityestablished by the laws of Customer's state and locatedwithinCustomer's state'sjurisdictionand geographic boundaries. "TribalEntity"means a federallyrecognized tribalentityperforming tribalgovernmental functions and eligibleforfunding and servicesfrom the U.S. Department of Interiorby virtueof itsstatus as an Indian tribe.
"Use Rights" means, with respect to any licensingprogram, the use rightsor terms of service for each Product and version published forthat licensingprogram attheVolume LicensingSiteand updated from time to time.The Use Rights includethe Product SpecificLicenseTerms, the LicenseModel;,terms,the Universal License Terms, the Data Protection Terms, and the Other Legal Terms. The Use Rights supersede the terms of any end user licenseagreement (onscreenorotherwise)thataccompaniesaProduct. "Volume Licensing Site means httg://www.microsoft.com/licensing/contractsora successorsite.
2. Order requirements. -
a. Minimum order requirements. EnrolledAffiliate'sEnterprisemust have a minimum of250 Qualified Users or Qualified Devices. The initialorder must includeat least250 Licenses for EnterpriseProducts or EnterpriseOnline Services.
(i) Enterprise commitment. EnrolledAffiliatemust orderenough Licensesto cover all QualifiedUsers or QualiifedDevices, depending ,on.theLicense Type, with one or more Enterprise Products or a mix of Enterprise Products and the corresponding Enterprise OnlineServices(aslongas allQualifiedDevicesnotcovered by a License are only used by userscoveredwitha user License)..:'
(ii)EnterpriseOnlineServicesonly. Ifno EnterpriseProduct is ordered, then Enrolled Affiliateneed onlymaintainat least250 SubscriptionLicenses for Enterprise Online Services.
b. AdditionalProducts. `Upon satisfyingthe minimum order requirements above, Enrolled Afifliatemay orderAdditionalProducts:
c. Use RightsforEnterpriseProducts.ForEnterpriseProducts, ifa new Product version has more restrictiveuse rightsthantheversionthatiscurrentatthe startof the applicableinitialor renewal term of the Enrollment,those more restrictiveuse rightswillnot apply to Enrolled Affiliate'suse ofthat,Productduringthatterm.
d. Countryofusage. EnrolledAffiliatemustspecifythe countrieswhere Licenses willbe used on itsinitialorderandon anyadditionalorders.
e. Resellers. Enrolled Affiliatemust choose and maintain a Reseller authorized in the United States.EnrolledAffiliatewillacquireitsLicensesthrough itschosen Reseller.Orders must be submittedtothe Resellerwho willtransmitthe orderto Microsoft. The Reseller and Enrolled Affiliatedeterminepricingand paymenttermsas betweenthem, and Microsoftwillinvoice the Resellerbasedon thoseterms.ThroughoutthisAgreementthe term "price"refersto reference price.Resellersand otherthirdpartiesdo not have authorityto bind or impose any obligation or liabilityon Microsoft.
f. Adding Products.
(i) Adding new Products not previouslyordered. New EnterpriseProducts or Enterprise OnlineServicesmay be added atany timeby contactinga MicrosoftAccount Manager or Reseller.New AdditionalProducts,other than Online Services,may be used ifan order is placed in the month the Product is ifrstused. For Additional Products that are Online Services, an initialorder for the Online Service is required priorto use.

AdditionalLicenses forpreviously ordered Products other than Online Services may be added at any time but must be includedinthe nexttrue-uporder.AdditionalLicensesforOnline Services must be ordered priorto use, unless the Online Services are (1) identifiedas eligiblefor true-up in the Product Terms or (2)included as partof other Licenses.
g. True-up requirements. EnrolledAffiliatemust submit an annual true-uporder thataccounts forany changes since the initialorder or lastorder. Ifthere are no changes, then an update statement must be submitted instead of a true-uporder.
(i) Enterprise Products. For Enterprise Products, Enrolled Affiliatemust determine the number of QualifiedDevices and QualifiedUsers (iforderinguser-basedLicenses)atthe timethe true-uporderisplaced and must orderadditionalLicensesforallQualifiedDevices and QualiifedUsers that are not already covered by existingLicenses,includingany EnterpriseOnline Services.
(ii)Additional Products. For AdditionalProducts thathavebeenpreviouslyorderedunderthis Enrollment, Enrolled Affiliatemust determine the maximum number of Additional Products used since the latterof the initialorder, thelasttrue4up,order,ortheprioranniversarydate and submit a trueup orderthataccounts foranyincrease. (iii)Online Services. For Online Services identifiedas eligiblefortrueup inthe Product Terms,EnrolledAffiliatemay placea reservationorderfortheadditionalLicensespriorto use and payment may be deferreduntilthe next truezuporder.MicrosoftwillprovideareportofReservedLicensesorderedbutnotyetinvoicedto Enrolled Affiliateand its Reseller.ReservedLicenseswillbe invoicedretrospectivelyto the month in which they were ordered.
(iv)Subscription License reductions. Enrolled Affiliatemay reduce the quantity of SubscriptionLicensesat the Enrollment'anniversarydate on a prospective basis if permittedintheProductTerms,as follows:
1) ForSubscriptionLicensesthatarepartofan Enterprise-widepurchase, Licenses may be reducedaslongas(a)theinitialorderminimumrequirements are maintained and (b)the totalquantity;of Licensesand SoftwareAssurancefor an applicablegroup meets or exceedsthequantityofQualifiedDevicesand QualifiedUsers (ifordering user-basedLicenses)identifiedon theProductSelectionForm, and includesanyadditionalQualifiedDevices and QualifiedUsers added in any priortrue up orders.
Step-up Licenses donot count towards thistotalcount.
2) For Enterprise'OnlineServicesina givenProductpool that are not a part of an Enterprise-widepurchase,Licensescan be reducedas long as (a) the initialorder minimum requirementsaremaintainedand (b)allthenactive users of each Online ServiceareincludedthetotalquantityofLicensesremaining afterthe reduction.An EnrolledAffiliatemay reduceLicensesforOnlineServiceson or before the Enrollment anniversarydateand placea reservationorderforsuch licenseswithin90 days after theanniversarydate;however,any licensesorderedas described in thissection will be invoiced to the Enrolled Affiliatefor the time period the licenses were made available.SubscriptionLicensesorderedupfrontmay not be reduced. 3) For AdditionalProductsavailableas SubscriptionLicenses,EnrolledAffiliatemay reduce the Licenses. Ifthe License count is reduced to zero, then Enrolled Affiliate's use ofthe applicableSubscriptionLicensewillbe cancelled.
Invoiceswillbe adjustedto reflectany reductionsinSubscriptionLicensesatthe true-up orderEnrollmentanniversarydateand effectiveas of such date. (v) Update statement. An update statementmust be submittedinsteadof a true-uporder if, since the initialorder or lasttrue-uporder,EnrolledAffiliate'sEnterprise:(1) has not changed the number of Qualiifed Devices and Qualified Users licensedwith Enterprise ProductsorEnterpriseOnlineServices;and (2)has not increaseditsusage ofAdditional EA20261EnrGov(US)SLG(ENG)(Aug2025) Page4of10Document X20-10637 Products. This update statement must be signed by Enrolled Affiliate'sauthorized representative.
(vi)True-up order period. The true-up order or update statement must be received by Microsoftbetween 60 and 30 days priorto each Enrollment anniversary date. The last true-uporder or update statement during an Enrollment term isdue within30 days priorto the ExpirationDate, and any licensereservationswithinthis30-day period willnot be accepted.EnrolledAffiliatemay submit true-upordersmore oftento account forincreases in Product usage, but an annual true-uporder or update statement must stillbe submitted during the annual order period.
(vii)Latetrue-up order. Ifthe true-uporder or update statementisnotreceivedwhen due, Microsoft may invoice Reseller for allReserved Licenses not previously invoiced and Subscription License reductions cannot be reported untilthe followingEnrollment anniversarydate (orat Enrollmentrenewal,as applicable). h. Step-up Licenses. For Licenses eligiblefora step-up underthisEnrollment,EnrolledAffiliate may step-up to a higher editionor suiteas follows:
(i) For step-up Licenses includedon an initialorder,EnrolledAffiliatemay orderaccordingto the true up process.
(ii)Ifstep-up Licenses are not included on an initialorder,EnrolledAffiliatemay step-up initiallyby followingthe process described inthe Sectiontitled"Addingnew Productsnot previouslyordered,"thenforadditionalstep,upLicenses,by followingthe true up order process.
i. Clericalerrors. Microsoftmay correctclericalerrorsinthisEnrollment,and any documents submittedwithor under thisEnrollment,by,providingnotice by email and a reasonable opportunityforEnrolledAffiliateto objectto the'correction. Clericalerrors include minor mistakes,unintentionaladditionsand'omissions. This provision does not apply to material terms,such as the identity,quantityor priceofa Product ordered. j. Verifyingcompliance. Microsoftmay, initsdiscretionand at itsexpense, verifycompliance withthisEnrollmentas setforthinthe:.EnterpriseAgreement.
3. Pricing.
a. PriceLevels.Forboththeinitialandanyrenewalterm EnrolledAffiliate'sPrice Level forall Products ordered under thisEnrollment willbe Level "D" throughoutthe term ofthe Enrollment. b. SettingPricesUnlessotherwiseexpresslyagreedto by the partiesand except forOnline Services designated in the Product Terms as being exempt from fixed pricing,Enrolled Affiliate'spricesforeach Productor Servicewillbe establishedby itsReseller.As long as EnrolledAffiliatecontinuestoqualifyforthesame pricelevel,Microsoft'spricesforResellers foreach Productor Serviceorderedwillbe fixedthroughoutthe applicableinitialor renewal Enrollmentterm.Microsoft'spricesto Resellersare reestablishedat the beginning of the renewalterm.
4 -`Paymentterms.
For the initialor renewal order, Microsoft willinvoice EnrolledAffiliate'sResellerinthree equal annual installments. The firstinstallment will be invoiced upon Microsoft'sacceptance of thisEnrollment and remaininginstallmentswillbe invoicedon each subsequent Enrollmentanniversarydate. Subsequent ordersare invoicedupon acceptance ofthe orderand EnrolledAffiliatemay electtopay annuallyorupfront forOnlineServicesand upfrontforallotherLicenses.

5. End of Enrollment term and termination.
a. General. At the ExpirationDate, EnrolledAffiliatemust immediately order and pay forLicenses for Products ithas used but has not previouslysubmitted an order, except as otherwise provided in thisEnrollment.
b. Renewal option. At the ExpirationDate of the initialterm, EnrolledAffiliatemay request to renew Products and Services under this Enrollment for one additional 36-month term.
Microsoftmay make changes tothisprogram thatwillmake itnecessary forCustomer and its EnrolledAffiliatesto enter intonew agreements or Enrollments in order to renew. In order for a renewal request to be considered,Microsoftmust receivea Renewal Form, Product Selection Form, and renewal requestpriorto or atthe ExpirationDate. Microsoftwillreview'arenewal requestmade under thissectioningood faithand may acceptorrejectsuch requestinitssole discretion.
c. IfEnrolled Affiliate elects not to renew.
(i) Software Assurance. IfEnrolledAffiliateelectsnottorenewSoftwareAssuranceforany Product under itsEnrollment, then Enrolled Affiliatewillnotbe permittedtoorderSoftware Assurance laterwithoutfirstacquiringa new LicensewithSoftwareAssurance. (ii)Online Services eligibleforan Extended Term. ForOnlineServicesidentifiedaseligible foran ExtendedTerm intheProductTerms,thefollowingoptionsareavailableattheend of the Enrollment initialor renewal term.
1) Extended Term. Licenses forOnline Services willautomaticallyexpireinaccordance withthetermsoftheEnrollment.An extendedtermoptionthatallowsOnlineServices to continuemonth-to-month("Extended'Term) isavailable.During the Extended Term,OnlineServiceswillbe invoicedmonthlyatthethen-currentpublished priceas of the ExpirationDate plus a 3% administrativefee for up to one year. IfEnrolled Affiliatewants an Extended Term, EnrolledAffiliatemust submit a request to Microsoft atleast30 dayspriortothe.ExpirationDate.
2) CancellationduringExtendedTerm. At any timeduringthe ifrsttwelve months of theExtendedTerm,'Enrolled,Affiliatemay terminatethe Extended Term by submitting a noticeofcancellationto Microsoftforeach Online Service.Thereafter,Microsoftmay conditionthe continued use of each Online Service on the acceptance of new terms bytheEnrolledAffiliate.EnrolledAffiliatewillbe notifiedinwritingof any new terms at least60 days beforeany such changestakeeffect.Enrolled Affiliateacknowledges and .agreesthatafterthe noticedescribedinthissection, itscontinued use of each OnlineServiceafterthe effectivedate providedin the notice will constitute its acceptanceofthenew terms.IfEnrolledAffiliatedoes not agree to the new terms, it muststopusingtheOnlineServicesandterminatetheExtended Term as provided in thissection.EnrolledAffiliate'sterminationunder this section will be effective at the endofthemonthfollowing30 daysafterMicrosofthas received the notice. (iii)Subscription Licenses and Online Services not eligiblefor an Extended Term. If EnrolledAffiliateelectsnottorenew,theLicenseswillbe cancelled and willterminate as of the ExpirationDate. Any associatedmedia must be uninstalledand destroyed and EnrolledAffiliate'sEnterprisemust discontinueuse. Microsoftmay request written certiifcationto verifycompliance.
d. Termination for cause. Any terminationforcause of thisEnrollmentwillbe subjectto the "Terminationforcause" sectionof the Agreement. In addition,itshall be a breach of this EnrollmentifEnrolledAffiliateor any Afifliatein the Enterprise that uses Government Community Cloud Services failsto meet and maintain the conditionsof membership in the definitionof Community.
e. Early termination. Any earlyterminationof thisEnrollmentwillbe subjectto the "Early Termination"Sectionofthe EnterpriseAgreement.

6. Government Community Cloud.
a. Community requirements. IfEnrolledAffiliatepurchases Government Community Cloud Services, Enrolled Affiliatecertifiesthat itis a member of the Community and agrees to use Government Community Cloud Services solelyin itscapacityas a member of the Community and, foreligibleGovernment Community Cloud Services,forthebenefitofend usersthatare members ofthe Community. Use ofGovernment Community Cloud Services by an entitythat isnot a member ofthe Community or to provideservicestonon Community members isstrictly prohibited and could result in termination of Enrolled Affiliate'slicense(s)for Government Community Cloud Services without notice. Enrolled Affiliateacknowledges+that only Community members may use Government Community Cloud Services.'n b. Allterms and conditionsapplicableto non Government Community,CloudServicesalsoapply to theircorresponding Government Community Cloud Services,exceptas otherwisenotedin the Use Rights,Product Terms, and thisEnrollment.
c. Enrolled Affiliatemay not deploy or use Government .Community Cloud Servicesand correspondingnon Government Community Cloud Servicesinthe same domain. d. Use RightsforGovernment Community CloudyServices.ForGovernmentCommunity Cloud Services,notwithstandinganythingtothecontraryintheUse Rights:
(i)GovernmentCommunityCloudServiceswillbe offeredonly withinthe United States. (ii)AdditionalEuropean Terms, as setforthin`the.Use Rights,willnot apply. (iii)ReferencestogeographicareasintheUse Rightswith respect to the locationof Customer Data atrest,as setforthintheUse Rights,referonly to the United States.
