City Council Agenda Report
February 6, 2024
TO: Honorable City Council
FROM: Jesus M. Gomez, City Manager
BY: Glen W.C. Kau, P.E., Director of Public Services/City Engineer John P. Ramirez, AICP, Director of Community Development Mario Mera, Engineering Division Manager
Damian Rosales, Special Projects Coordinator
Rosio Medina, Senior Management Analyst
SUBJECT: PROJECT NO. 7936 – AWARD OF CONTRACT AND RESOLUTION NO. 24-07 – BUDGET AMENDMENT FOR CURB RAMP REPLACEMENTS – ENGINEER’S REPORT NO. 23-24
Background:

On October 3 2023, City Council adopted Resolution No. 23-60, amending the FY 2023/24 adopted budget to appropriate Community Development Block Grant (CDBG) funds to the Capital Improvement Program; specifically, local streets in Pavement Management Zone 28 bounded by Pioneer Boulevard, Excelsior Drive, Norwalk Boulevard, and Hopland Street. CDBG funding includes rehabilitation to curb ramps, gutters, and street paving.

In an effort to expedite the prompt execution of funds to meet CDBG expenditure deadlines, the scope of work described for Zone 28 was revised to focus on pedestrian mobility and expanded to curb ramp improvements exclusively.

On December 8, 2023, the City solicited competitive bids for curb ramp replacements. The project work is in Zone 28 and in other eligible CDBG census tracts within citywide Pavement Management Zones. Roadway improvements for Zone 28 will be funded through Road Maintenance and Rehabilitation Account (RMRA), created by Senate Bill 1 (SB1), the Road Repair and Accountability Act of 2017.

On January 4, 2024 eight bids were received in response to the bid solicitation. Pursuant to the Bidders Package Compliance Analysis Report provided by Michael Baker International dated January 9, 2024, and in concurrence with the City Attorney’s Office, two of the bids (CJ Concrete

9 Construction, Inc. for $535,800.00 and We R Builders, Inc. for $564,000.00) were rejected as non-responsive for failing to provide all required forms related to CBDG certifications. In the event that a valid bid protest is submitted, Staff recommends that pursuant to Norwalk Municipal Code §3.20.220(C), the Purchasing Authority determine that the award should not be staying pending resolution of the protest as this may jeopardize the CDBG funding for the project. Costs submitted by bidders were based on estimated bid quantities as provided in the bid specifications and the remaining six responsible and responsive bidders provided the following bids:

Bidder Bid
Kalban, Inc. $ 573,400
Towo Enterprise, Inc. $ 611,000
NPI Concrete $ 657,090
FS Contractors, Inc. $ 737,900
CT&T Concrete Paving, Inc. $1,029,300
Onyx Paving Company, Inc. $1,222,000
Kalban, Inc. of Santa Clarita is deemed the lowest responsive and responsible bidder. The contractor has completed similar projects for the Cities of Azusa, Huntington Park, Pomona, and Torrance. Staff has verified that the contractor has a current valid contractor’s license and has confirmed the similar work they performed with other agencies as their reference.

Project costs are estimated as follows:

Construction Cost $573,400 Construction Contingency $ 26,600 Total Estimated Construction $600,000 Construction is tentatively scheduled to start March 2024 and is estimated to be completed in June.

Fiscal Impact:

Project expenditures are funded through Fiscal Year 2023/24 approved/available CDBG funds.

No General Fund monies are used for this project. Unexpended funds will be available for reprogramming.

SUBJECT: AWARD CONTRACT FOR RE-ROOF PROJECT - SPROUL MUSEUM AND

HOLIFIELD PARK MAIN SNACK BAR
Background:

On December 5, 2023, the City advertised a Request For Bids to provide labor and materials to replace the roofing at the Sproul Museum and the Holifield Park Main Snack Bar. The work at the Sproul Museum will include removal of the existing cedar plank shingles, repairs to any damaged rafter boards, installation of plywood sheeting, replacement of fascia boards and trim, and installation of new shake shingles that will match the profile and pattern of the adjacent Sproul Reception Center roof. Work at the Holifield Park Snack Bar will include removal of existing clay tile roof, replacement of any damaged fascia board, and installation of a new shake shingle roof, which is rated for high impact. This will substantially reduce damage from errant foul balls that may hit the roof.

Four contractors attended the mandatory pre-bid meeting on December 14, 2023. One bid was received, however it was deemed non-responsive as the bid did not include the required documentation or bonds. Staff extended the bid deadline to January 17, 2024, and one bid was received with the following results:

Bidder Bid Amount
Associated Construction Services Group $116,770.00
Associated Construction Services Group submitted a responsive and responsible bid for the work.

Staff has verified references for satisfactory completion of similar projects. Construction and project costs are estimated as follows:

City Council February 6, 2024
Award Contract for Re-Roof Project

Page No. 2

2 Sproul Museum
Bid Amount $47,900

Total Estimated Cost $59,875
Holifield Park Main Snack Bar
Bid Amount $68,870
Contingency – 10% $ 6,887
Total Estimated Cost $75,757
Due to the age of the Sproul Museum and unknown issues that will not be able to be investigated until the roof is removed, staff is recommending a higher than normal contingency amount to address unforeseen conditions and repairs.

Work is tentatively scheduled to begin early February 2024 at the Sproul Museum, followed by the Holifield Snack Bar roof, and is anticipated to take approximately 30 days to complete both projects.

Fiscal Impact:

Funding for this project is available in the approved Fiscal Year 2023/24 Capital Project Park Renovation Fund budget.

Strategic Plan 2023 Implementation:

The recommended action will further the City’s Strategic Plan Goal 2 - Work in partnership with our community to achieve safe and livable neighborhoods - Objective 1 - Re-invest in existing and aging infrastructure.

Recommended Action:

Staff recommends City Council award a contract to Associated Construction Services Group in the amount of $116,770 for replacement of roofs at the Sproul Museum and the Holifield Park Main Snack Bar; and authorize the City Manager to execute the contract and change orders or amendments up to the approved contingency amount, provided there is funding in the budget, on behalf of the City, in a form approved by the City Attorney.

City Council Agenda Report
February 6, 2024
TO: Honorable City Council
FROM: Jesus M. Gomez, City Manager
BY: Jana Stuard, Director of Finance/City Treasurer
SUBJECT: RESOLUTION NO. 24-08 – APPROVING THE ENGAGEMENT OF

FINANCING TEAM COMPRISED OF A MUNICIPAL FINANCIAL ADVISOR

AND A BOND COUNSEL FOR THE PROPOSED ISSUANCE OF

FINANCING OF THE ENERGY SUSTAINABILITY PROJECT AND THE

SELECTION OF AN UNDERWRITER/PLACEMENT AGENT FOR THE SALE OF SUCH BONDS; AND TAKING CERTAIN RELATED ACTIONS
Background:

The City’s most recently adopted Strategic Plan outlines the City’s commitment to sustainability and climate resistance. To do so, the City worked with Syserco Energy Solutions (“SES”), a qualified energy services company, to develop an analysis of opportunities for the City to upgrade its facilities to achieve energy efficiency and cost savings measures for the City.

Necessary energy conservation measures identified included:
•Installation of solar panel arrays at several facilities •Installation of energy efficient “cool” roofs at the City’s Transportation Center/Public Services facility buildings
•Installation of building management system thermostats at several facilities •Retrofitting ballfield lighting at two City parks
•Installation of ballfield lighting at several parks
•Replacement of heating, ventilation and air conditioning control (HVAC) units older than 18 years
•Refurbishment of HVAC units to provide protective polyurethane coating •Replacement of transformers at City Hall to a high efficiency unit •Building exterior upgrades to add/replace door sweeps and sealing doors On November 7, 2023, City Council adopted Resolution No. 23-68 authorizing the City Manager to finalize negotiations with SES and acquire the necessary conservation equipment to implement the energy conservation measures through the Sustainability, Energy Efficiency and

City Council February 6, 2024
Resolution No. 24-08 – Engaging Finance Team Page No. 2 7 7
9 Infrastructure Improvement Project (“Project”). The City Council also authorized the City Manager to secure necessary financing for the project.

A total estimated cost of the Project is $18,200,000. The City will fund $6,200,000 from its capital reserves and special revenue funds. The remaining $12,000,000 of estimated costs for the solar photovoltaic systems portion of the project will require financing through either private placement or public offering of bonds.

In order to successfully secure the necessary financing for the Project, the City requires the assembly of a financing team which is comprised of a Municipal Financial Advisor, Legal Counsel, Underwriters and City staff.

To obtain the necessary team, the City released two Request for Proposals (“RFP”): RFP No. 24-755 Municipal Financial Advisory Services, and RFP No. 24-756 Underwriter Services.

Municipal Financial Advisory Services:

The role of the Municipal Financial Advisor is to assist and advise the City with all aspects of Project financing and upfront financial planning.

The City received a total of six proposals for RFP No. 24-755 Municipal Financial Advisory from the following firms:
•Fieldman, Rolapp & Associates, Inc.
•Harrell & Company Advisors, LLC
•KNN Public Finance, LLC
•Kosmont Financial Services
•NHA Advisors, LLC
•Urban Futures, Inc.

An evaluation committee comprised of City staff evaluated the submittals. As part of the typical RFP process, the submitted proposals were evaluated based on criteria set forth in RFP 24-755.

Each firm’s proposal was provided a score based on the review and ranked accordingly as listed in Table 1 below:

Table 1 – Qualification Ranking Summary
Firm Name Qualification Ranking Overall Score
Harrell & Company Advisors, LLC 1 93
Urban Futures, Inc. 2 92
KNN Public Finance, LLC 3 91
NHA Advisors, LLC 4 87
Fieldman Rolapp & Associates 5 85
Kosmont Financial Services 6 81
Based on evaluation of proposals, staff recommends selecting Harrell & Company, who had successfully assisted the City in the past, and had proven to be a valuable partner to the City.

City Council February 6, 2024
Resolution No. 24-08 – Engaging Finance Team Page No. 3 7 7
9 Staff reviewed Harrell & Company’s fee proposal of not to exceed $40,000 or $25,000 for public or private financing respectively; and determined the fee was commensurate with the work being proposed.

Bond Counsel Services:

Provide legal counsel related to Project financing. In case of public placement, the Bond Counsel delivers closing opinions regarding the validity and, if applicable, the tax-exempt status, of the bonds at the time the bonds are issued; prepares resolutions authorizing the issuance of the bonds, and legal documents setting forth the terms of the bonds and other documents required for the closing of the bond transactions; and assists in the development of the financing structure to ensure compliance with applicable bond laws.

Norton Rose Fulbright, LLP, has served the City as Bond Counsel in the past financings and it is recommended to retain the firm for this Project.

Underwriter/Placement Agent Services:

The role of the underwriter if purchases bonds from Norwalk Community Facilities Financing Authority and resell them to investors; work with the rest of the bond team to provide assistance with respect to structuring, timing, terms and other similar matters concerning the issuance of bonds. In case of private placement, firm solicits banks to obtain the best possible rate to finance the City’s Project.

The City received a total of three proposals for RFP No. 24-756 Underwriter Services from the following firms:
•Ramirez & Co., Inc.
•Raymond James & Associates, Inc.
•Stifel

As part of the typical RFP process, the proposals were evaluated by City staff based on criteria set forth in RFP No. 24-756. Each firm’s proposal was provided a score based on the review and ranked accordingly as listed in Table 1 below:

Table 1 – Qualification Ranking Summary
Firm Name Qualification Ranking Overall Score
Raymond James & Associates, Inc. 1 95
Stifel 2 95
Ramirez & Co. Inc. 3 94
Even though all firms demonstrated high qualification to assist the City with financing of the Project and rated very closely with each other, staff recommends engaging Raymond James & Associates, Inc. as the underwriter/placement agent. Raymond James’ proposal demonstrated understanding of the City’s project, knowledge of the Inflation Reduction Act, and utilization of programs, which provide local governments with government subsidies, grants and tax credits, City Council February 6, 2024
Resolution No. 24-08 – Engaging Finance Team Page No. 4 7 7
9 The firm has relevant lease financing experience, broad distribution system in the municipal finance industry, and it maintains a vetted list of banks that have been active in the direct placement market. The proposed fees are competitive and further negotiable.

Fiscal Impact:

The bond team members’ compensation will be a part of issuance cost paid at the closing of each transaction and represents the cost of debt issuance.

Strategic Plan 2023 Implementation:

Said improvements align with the City of Norwalk’s Strategic Plan Goals 2, 3 and 4; work in partnership with the community, re-invest in aging infrastructure; maintain the City’s financial resiliency, build great public destinations, and support sustainability and climate resilience throughout the community.

Recommended Action:

Staff recommends City Council:
a. adopt Resolution No. 24-08, A RESOLUTION OF THE CITY COUNCIL OF THE CITY

OF NORWALK APPROVING THE ENGAGEMENT OF MUNICIPAL ADVISORS AND

BOND COUNSEL FOR THE PROPOSED ISSUANCE OF FINANCING OF THE ENERGY SUSTAINABILITY PROJECT; AND THE SELECTION OF AN UNDERWRITER FOR THE SALE OF SUCH BONDS; AND TAKING CERTAIN RELATED ACTIONS; and b. approve an agreement with Harrell & Company Advisors, LLC to provide the City with Municipal Financial advisory services; and
c. approve an agreement with Raymond James & Associates, Inc. to provide the City with Underwriter/Placement Agent services; and
d. approve an agreement with Norton Rose Fulbright, LLP to serve as Bond Counsel and Disclosure Counsel, and
e. authorize the City Manager to execute the agreements and any amendments, provided there is funding in the budget and it is within the City Manager’s signing authority, on behalf of the City, in forms approved by the City Attorney.

FROM: Jesus M. Gomez, City Manager
BY: Theresa Devoy, City Clerk, CMC
SUBJECT: RESOLUTION NO. 24-09 – APPOINTING AN ALTERNATE TO THE LOS ANGELES COUNTY SANITATION DISTRICT NOS. 2 AND 18 BOARD
Background:

The Los Angeles County Sanitation District require resolutions to appoint members of the City Council to serve as the City’s alternate on the Board of Directors. Historically, the Vice Mayor has served as the alternate on the Los Angeles County City Selection Committee. However, Vice Mayor Ayala is unable to serve as the Alternate. As such, Councilmember Ramirez has indicated his availability to serve as the Alternate in place of the Vice Mayor.

The Sanitation District provides a stipend to its Directors. The Fair Political Practices Commission (FPPC) adopted a rule (Regulation 18702.5) that states it is a disqualifying conflict of interest for a council member to participate in decisions to appoint themselves to serve as the City representative to those organizations that provide a stipend or other compensation unless the City posts on its website a form provided by the FPPC that includes: (a) a list of each appointed position eligible for a stipend; (b) the amount of the stipend for each position; (c) the public official’s name who has been appointed to the position; (d) the name of the public official, if any, who has been appointed as an alternate; and (e) the term of the position.

The City Clerk’s office has posted the required form (Form 806) as mandated by the FPPC on the City’s website prior to this meeting in accordance with the FPPC Regulation and the instructions that accompany the Form 806. The form has been updated to identify Councilmember Rick Ramirez as the Alternate for the Sanitation District.

Resolution No. 24-09 has been prepared and is attached appointing Councilmember Ramirez as the Alternate Director for the Sanitation Districts.
