SUBJECT: AMENDMENT NO. 7 TO THE AGREEMENT FOR BUS STOP MAINTENANCE
SERVICES
Background:
On March 31, 2008, the City entered into an agreement with Nationwide Environmental Services Inc. (NES), a Division of Joe’s Sweeping Inc. to perform bus stop maintenance services.
NES maintains 192 citywide bus stops and four canopies located at the Metrolink Transportation Center. Locations are categorized based on the amenities at the bus stops and cleaning frequencies range from daily to weekly, depending on high traffic locations and need. Cleaning includes removal of trash and replacement of trash liners, graffiti removal, deodorizing of shelters, and pressure washing of benches and hardscapes.
Several amendments to the agreement have previously been approved to extend the term, adjust compensation, etc. In February 2022, Amendment No. 6 was approved to increase the term to twelve (12) years with one-year automatic renewals effective July 1, 2022, and modify the provision regarding the annual Consumer Price Index (CPI) adjustment to remove the 5% cap.
NES has gone beyond the scope of the contract by maintaining a higher cleaning frequency without additional cost to the City. However, due to growing vandalism, it has become necessary to amend their contract to better address the following issues:
1.Increased Traffic and Public Usage: The City's bus stops have seen a significant rise in foot traffic, resulting in a quicker buildup of litter and requiring more frequent cleaning to maintain cleanliness and functionality.
2.Non-Transit Riders: Bus stops experience high usage by a variety of individuals, including those without stable housing. As a result, these locations require increased

maintenance efforts to ensure they remain clean, safe, and accessible for all members of the public.
3.Improper Trash Disposal: Individuals occasionally use the bus stop receptacles for household trash disposal, which overwhelms the bins' intended capacity.
4.Trash Spillage: In some cases, people digging through the trash spill its contents, leaving the area in disarray and creating additional cleaning needs.
Given these circumstances, City staff requested a quote from NES to help the City address these concerns. NES responded and proposed additional services with an increase in cleaning frequency as described in Exhibit A (attached), to address these growing challenges. The current monthly cost is $19,697. The increase in service frequency would cost an additional $8,300 (42%) per month, for a new monthly expenditure of $27,997 for the remaining five months of FY 2024/25. These services would commence March 1, 2025.
Additionally, NES is requesting to modify Section 2.3, Payment Adjustment, in which they would modify the CPI provision based on the CPI index for February of each year or 4%, whichever is greater. This modification would aid in the management of rising operational costs, including labor, insurance, fuel, and parts, ensuring the long-term sustainability of the contract.
Fiscal Impact:
Funds for increased service in the amount of $41,500 will be requested during the mid-year budget under the Prop C budget.
