AMENDMENT NO. 4 TO
AGREEMENT FOR PROFESSIONAL SERVICES
This Amendment No. 4 (“Fourth Amendment”), is entered into as of ________, 2026 and is to that certain Agreement for Professional Services between the City of Norwalk, a California municipal corporation (“City”) and Carpi and Clay, Inc., a California corporation (“Consultant”) dated July 1, 2018 (“Agreement”).
RECITALS
A. City and Consultant entered into the Agreement to utilize services of Consultant as an independent contractor to provide federal advocacy services related to the Norwalk Municipal Water System, federal advocacy, community project funding and various other programs and tasks.
B. Collectively, the first three Amendments extended the term of the Agreement to June 30, 2026. The Third Amendment also increased the annual amount to $36,000 per year and provided an option to extend the Agreement term for another two years.
C. City and Consultant desire to exercise the two-year extension provided in the Third Amendment and extend the term of the Agreement to June 30, 2028.
The parties therefore agree as follows:
Section 1.Section 2 of the Agreement is hereby amended in its entirety to read as follows:
“Term of Agreement. The Term of this Agreement shall be from July 1, 2026 through June 30, 2028, unless sooner terminated as provided in Section 13 of this Agreement or extended. Any future extension may be executed via written notice by the City Manager with all other terms unchanged.”
Section 2.Except as amended by this Fourth Amendment, all other provisions of the Agreement shall remain unaltered and in full force and effect. In the event of a conflict between the provisions of this Fourth Amendment and the provisions of the Agreement, the provisions of this Fourth Amendment shall control.

The parties are signing this Fourth Amendment on the date stated in the introductory clause.
