AMENDMENT NO. 1 TO
AGREEMENT FOR PROFESSIONAL SERVICES
This Amendment No. 1 is entered into as of ________, 2026, and is to that certain Agreement for Professional Services between the City of Norwalk, a California municipal corporation (“City”) and California Consulting, Inc., a California corporation (“Consultant”) dated August 11, 2023 (“Agreement”).
RECITALS
A. City and Consultant entered into the Agreement to utilize services of Consultant as an independent contractor to pre professional grant writing services when requested.
B. City and Consultant desire to amend the Agreement to allow for payment of services beyond the current not-to-exceed amount of the annual authorization limit.
The parties therefore agree as follows:
Section 1.Section 3.1 of the Agreement is hereby amended in its entirety to read as follows:
“3.1 Compensation. As full compensation for Consultant’s Services provided under this Agreement, City shall pay Consultant on a per grant basis based on the rates set forth in the schedule attached hereto as Exhibit B. In no event shall the Consultant be paid more than the budgeted amount for grant writing services as documented in the adopted annual budget (“the maximum compensation amount”). Any payments exceeding the maximum compensation amount must be first approved by the City Council. The annual compensation amount, per the adopted budgets, would then be as follows:
For fiscal year 2023/2024: $50,000
For fiscal year 2024/2025: $70,000
For fiscal year 2025/2026: $130,000
For fiscal year 2026/2027: $60,000
For fiscal years after 2026/2027, the maximum compensation amount shall be the same as the amount budgeted for grant writing services, unless otherwise adjusted by future amendment.
Section 2.Except as amended by this First Amendment, all other provisions of the Agreement shall remain unaltered and in full force and effect. In the event of a conflict between the provisions of this First Amendment and the provisions of the Agreement, the provisions of this First Amendment shall control.
The parties are signing this First Amendment on the date stated in the introductory clause.
