RE: BID PROTEST — Buildings Demolition Located at California Youth Authority Transit Village, 13200 Bloomfield Avenue, Norwalk, CA 90650; IFB No. 26-846 / City Project No. 7859 Dear Mr. Gomez:

Resource Environmental Services, LLC (“Resource”) submits this formal protest against the bid of Precision Works, Inc. dba Precision Environmental (“Precision”) for the above-captioned project. Precision’s apparent low bid of $3,114,300 is materially nonresponsive due to multiple independent violations of the Public Contract Code, the Subletting and Subcontracting Fair Practices Act (PCC § 4100 et seq.), the Labor Code, the Health and Safety Code, and the City’s own Invitation for Bids (“IFB”). These defects are not waivable under controlling California case law because they affect material bid elements, prevent equal bid comparison, allow post-bid subcontractor allocation or clarification, interfere with the IFB’s self-performance requirement, and preserve clerical-mistake and bid-relief arguments under PCC § 5103 that would allow Precision to accept the award if convenient or seek relief if the defects become unfavorable. California law does not permit a public entity to waive defects that create that kind of unfair competitive advantage. Under Norwalk Municipal Code Chapter 3.17 and PCC § 20162, the only lawful disposition on this record is to reject Precision’s bid as nonresponsive, find Precision nonresponsible, and award the Contract to Resource as the next lowest responsive and responsible bidder.

URGENT — ACTION REQUESTED BEFORE JUNE 2, 2026 COUNCIL MEETING. Resource has just become aware that the City of Norwalk has placed the proposed award of this Contract to Precision on the City Council’s agenda for the regular meeting of June 2, 2026. Resource has not previously been afforded an opportunity to be heard on the multiple, dispositive defects identified below. A Council vote awarding the Contract to Precision before this protest is resolved would convert a curable procurement issue into an executed public works contract subject to invalidation, with the cost-recovery consequences identified in Section X. Resource respectfully requests that the City Manager, City Attorney, and City Council treat this letter as a timely protest filed before any final Council action on the proposed award; that the proposed Precision award item be pulled or deferred from the June 2, 2026 agenda pending written resolution of this protest; and that no resolution awarding the Contract to Precision be adopted until the matters set out in this letter have been heard on the record.

I. SUMMARY OF GOVERNING LAW
California Public Contract Code requires a public agency to award a public works contract “to the lowest responsible bidder.” (PCC § 20162.) The lowest-responsible-bidder rule is a strict statutory mandate that admits of no “relative superiority” basis for award to anyone other than the lowest responsive and responsible bidder. (City of InglewoodL.A. County Civic Center Authority v. Superior Court (1972) 7 Cal.3d 861, 867-868.) Norwalk Municipal Code Chapter

3.17 implements the same local mandate. NMC § 3.17.030(C)(4) provides that “The City Council shall award the bid to the lowest responsive and responsible bidder, or reject all bids pursuant to Public Contract Code Section 22038, or its successor statute.” The same subsection adds that “[t]he City Council may waive any irregularities or informalities in any bid or bidding” — a waiver power that, as discussed below, does not reach material defects.

A bid is responsive if it promises to do what the bidding instructions require, while a bidder is responsible if it can in fact perform the contract as promised. (Taylor Bus Service, Inc. v. San Diego Bd. of Education (1987) 195 Cal.App.3d 1331, 1341; MCM Construction, Inc. v. City and County of San Francisco (1998) 66 Cal.App.4th 359, 368.) Responsiveness is decided on the four corners of the bid as submitted, not by post-bid investigation or explanation. (Great West Contractors, Inc. v. Irvine Unified School Dist. (2010) 187 Cal.App.4th 1425, 1454.) A bid that deviates materially from the bidding requirements must be rejected as nonresponsive. (Valley Crest Landscape, Inc. v. City Council (1996) 41 Cal.App.4th 1432, 1438.) The test for materiality is whether the defect “affect[s] the amount of the bid or give[s] a bidder an advantage or benefit not allowed other bidders.” (Ghilotti Construction Co. v. City of Richmond (1996) 45 Cal.App.4th 897, 904.) Competitive bidding statutes exist “to eliminate favoritism, fraud and corruption; avoid misuse of public funds; and stimulate advantageous marketplace competition.” (Domar Electric, Inc. v. City of Los Angeles (1994) 9 Cal.4th 161, 173.) To give those policies effect, bidding requirements must be strictly construed and applied. (Konica Business Machines U.S.A. v. Regents of University of California (1988) 206 Cal.App.3d 449, 456.)
The Subletting and Subcontracting Fair Practices Act exists to prevent bid shopping and bid peddling and to protect both the public and listed subcontractors from post-bid manipulation. (Southern California Acoustics Co. v. C.V.

Holder, Inc. (1969) 71 Cal.2d 719, 726-727.) It requires the prime to list each subcontractor performing more than one-half of one percent of bid, with name, location, CSLB license number, DIR registration, and the portion of work each will perform, and to list only one subcontractor for each portion. (PCC § 4104(a)-(b).) Where the prime fails to specify a subcontractor for a portion of work, or specifies more than one subcontractor for the same portion, the prime is deemed to have agreed that it is fully qualified to perform that portion and shall perform it itself. (PCC § 4106; R.J. Land & Associates Construction Co. v. Kiewit-Shea (1999) 69 Cal.App.4th 416, 420-421.) The Act allows only two narrow cure paths: (i) under PCC § 4104(a)(2), an “inadvertent error” in a listed subcontractor’s CSLB license number or DIR registration number may be corrected within 24 hours after bid opening if the corrected number corresponds to the listed name and location; and (ii) under PCC § 4107.5, an inadvertent clerical error in subcontractor designation may be cured if the prime gives written notice within two working days of bid opening.

Bids in this matter were opened on March 9, 2026. The 24-hour window expired on March 10, 2026; the twoworking-day window expired shortly after. Precision invoked neither. The Court of Appeal applied the listing law strictly in DeSilva Gates Construction, LP v. Department of Transportation (2015) 242 Cal.App.4th 1409, 1424-1427, holding that a defective subcontractor designation on a Caltrans bid could not be cured after bid opening and that the agency’s attempt to waive the irregularity was an abuse of discretion.

Labor Code §§ 1725.5 and 1771.1 separately bar a public agency from listing any subcontractor on a public works bid unless that subcontractor is currently registered with DIR. The IFB at page 4 expressly incorporates this rule.

Hazardous waste transportation is restricted by Health and Safety Code § 25163 to transporters registered with the Department of Toxic Substances Control. The unifying principle is fairness to all bidders. Every bidder competed for this Contract under the same rules. Every bidder bore the same risk that material defects in its bid would result in nonresponsiveness. Treating Precision differently than the City has historically treated other bidders, including bidders on this very project, is precisely the favoritism the competitive bidding statutes were enacted to prevent.

II. THE DEFECTS BELOW ARE NONWAIVABLE UNDER VALLEY CREST AND PCC § 5103 Although the City may waive minor irregularities or informalities under NMC § 3.17.030(C)(4), California law does not permit waiver of material bid defects. A defect is material where it affects price, scope, bidder obligations, subcontractor listings, self-performance obligations, or gives a bidder a benefit or option not available to other bidders. Under Valley Crest, Ghilotti, Menefee v. County of Fresno (1985) 163 Cal.App.3d 1175, 1182, and M.F.

Kemper Construction Co. v. City of Los Angeles (1951) 37 Cal.2d 696, 700-703, a defect is nonwaivable where it affects a material bid element or gives the bidder a post-bid opportunity to claim clerical mistake under § 5103, withdraw without forfeiting its bid bond, seek bid relief, or reshape its bid after opening. Under Bay Cities Paving, R.J. Land, Southern California Acoustics, and DeSilva Gates (each discussed above and below), subcontractor listing defects that allow post-bid allocation, correction, substitution, or manipulation are not mere informalities and cannot be waived. Precision’s defects meet these standards several times over.

The unifying test below is therefore not whether the IFB declares a particular defect nonresponsive, but whether the defect (i) violates a mandatory statutory or IFB term and is therefore material on its face, (ii) leaves Precision with a post-bid option to claim mistake under § 5103 and back out, or (iii) requires post-bid allocation or clarification of a material bid element. If any of these is true, the defect is material and nonwaivable. The City’s waiver power under NMC § 3.17.030(C)(4) reaches “irregularities or informalities” only — it does not authorize the City to waive material defects or to retroactively expand the narrow statutory cure windows in PCC §§ 4104(a)(2) and 4107.5, both of which expired in March 2026 without Precision invoking them.

III. JDK DEMO/GRADING — DEFECTIVE PORTION-OF-WORK DESIGNATION AND THE SUB-VS-SELF-PERFORM CONFLICT (PCC §§ 4104, 4106)
Precision’s Subcontractor Designation Form lists JDK Demo (“JDK”) at 30% of Total Bid for “Demo/Grading.” The defect is not merely that Precision used a broad trade label. The defect is that Precision’s trade description, percentage, bid schedule, and 50% self-performance commitment cannot be reconciled without allowing Precision to decide after bid opening which portions of Demo/Grading belong to JDK and which portions Precision claims to self-perform. That post-bid allocation is a material advantage and is not waivable under controlling California case law. Precision cannot list JDK as the subcontractor for Demo/Grading and then use undefined portions of the same Demo/Grading scope as Precision self-performance to satisfy the 50% requirement. A prime either lists a subcontractor for a defined portion or self-performs that portion. It cannot reserve the same undefined portion for both. (See Bay Cities Paving, supra, 56 Cal.App.3d at 365-366; R.J. Land, supra, 69 Cal.App.4th at p. 420.) Resource Environmental Services, LLC

The numbers make the conflict concrete. Precision’s Total Bid is $3,114,300. The IFB Subcontractor Designation Form requires the Contractor to perform with its own organization at least 50% of the Total Bid. That floor is $1,557,150 — not 50% of the $2,639,950 lump-sum base bid, because the Form’s “Total Bid” baseline includes Schedule 1 lump sum items, Schedule 2 unit price items, and Schedule 3 extended overhead. Every bidder, including Resource, was required to allocate scope and self-performance to that Total Bid floor at bid opening. Precision should not get a special rule that lets it list JDK for “Demo/Grading,” keep JDK at 30%, and then count the unallocated demolition shortfall as Precision self-performance because that happens to satisfy the 50% test.

The demolition, removal, and grading scope JDK is identified to perform totals approximately $1,387,450 in Precision’s own pricing: Item 13 (fencing removal) $32,500; Item 14 (remove all buildings) $812,000; Item 15 (remove structures, sheds, annexes) $57,000; Item 16 (remove above-ground utilities and structures) $85,000; Item 17 (remove foundations, paving, hardscape) $25,000; Item 18 (crush and grind concrete, asphalt, brick) $105,000; and Items 22-30 (retaining walls, underground utilities, irrigation, trees, vegetation, rough grading) $270,950. JDK is listed at 30% of Total Bid, approximately $934,290. The demolition-and-grading scope exceeds JDK’s listed allocation by approximately $453,160. That $453,160 gap is not just arithmetic. It is the defect. Precision cannot use that gap as a flexible post-bid bucket to decide what JDK performs and what Precision supposedly self-performs.

Each post-bid theory Precision might offer to explain the conflict is independently disqualifying. If Precision says the unallocated demolition was intended to be self-performed, then Precision’s bid did not properly identify JDK’s “portion of work” under § 4104 — JDK’s actual portion was always smaller than 30%, and the bid form materially overstated JDK’s scope. If Precision says JDK’s 30% should be clarified upward after bid opening, that is a material post-bid correction of a § 4104 listing element, outside the now-expired § 4107.5 cure window. If Precision says JDK’s 30% was a clerical mistake, that is the § 5103 clerical-error theory that triggers the Valley Crest escape route.

There is no scenario in which Precision can both keep JDK listed at 30% for “Demo/Grading” and lawfully count an undefined portion of the same scope as Precision self-performance.

The bid’s 50% self-performance commitment does not, properly understood, satisfy the IFB. The Form facially appears satisfied only because Precision is counting unallocated demolition work that its own bid structure shows was intended to be performed by JDK, not identified as Precision self-performed work. Strip that scope out, and Precision falls below the 50% floor. Leave it in, and Precision is making a self-perform commitment its own bid structure does not support. Either result is a material bid-element problem Precision can resolve after bid opening in whichever direction is most favorable to Precision. That is the post-bid optionality Valley Crest forbids.

IV. DUPLICATE “TRANSPORTER” DESIGNATIONS — ECTI AND LOS MORALES (PCC §§ 4104, 4106) Precision listed two subcontractors for the identical, undifferentiated portion of work labeled “Transporter”: ECTI Environmental Contractors Transportation Inc. (“ECTI”) at 1.5%, and Los Morales Trucking (“Los Morales”) at 2%.

The form contains no scope distinction between them. The bid does not say which transporter handles which waste stream, which hauling scope, or which schedule items. This is not just a paperwork problem; it is a post-bid allocation problem. The only way to determine which transporter does what is to allow Precision to decide after bid opening, and that is exactly what § 4104 forbids. The defect does not depend on whether Precision is DTSC-registered. The defect is the duplicate, undifferentiated listing itself, and the post-bid allocation it requires. In Bay Cities Paving, supra, 56 Cal.App.3d at 365-366, the prime listed itself and a subcontractor on the same line for the same scope and the Court of Appeal held that designating two entities for the same work without apportionment frustrates the purpose of the listing law and violates the Act. The same principle bars listing two subs for the same undifferentiated portion: the Subletting Act requires one subcontractor per portion or self-performance — not both, and not two with no apportionment.

Each post-bid theory Precision might offer to explain the duplicate listing is independently disqualifying. If Precision later says ECTI was intended for regulated waste and Los Morales was intended for ordinary hauling (or vice versa), that is a post-bid explanation of a material § 4104 listing element — outside the now-expired § 4107.5 cure window. If Precision says one of the two listings was a clerical error, that is the § 5103 clerical-error theory triggering the Valley Crest escape route. Either way, the City cannot allow Precision to fix or allocate transporter scopes after bid opening.

Section 4106 compounds the defect. Where two subcontractors are listed for the same undifferentiated portion, the listings are improperly specified, and the prime is statutorily deemed to self-perform that scope. Precision’s bid affirmatively represented that the hauling would be performed by listed subcontractors. The bid contains no fleet inventory, no equipment list, and no operator roster supporting Precision’s capacity to self-perform high-volume regulated hauling on this project. The City cannot reconcile the two positions post-bid without either (a) requiring Precision to self-perform hauling its bid did not propose to self-perform, or (b) allowing Precision to allocate or substitute among hauling subs post-bid — the very post-bid sub allocation § 4104 was enacted to prevent. (Cal-Air Conditioning, Inc. v. Auburn Union School Dist. (1993) 21 Cal.App.4th 655, 668.) V. UNIT #33 WORDS-VERSUS-FIGURES DISCREPANCY (PCC § 5103) Unit #33 of the Bid Sheets (Schedule 2) is for “Abatement / Remove Haz-Mat Underground Storage Tank (UST), including all necessary relevant work, permits, notices and processing through DTSC, LA County Fire, LA County Environmental Programs Division, and other required Agencies.” Precision filled in Unit #33 as “$5,000” in figures but “FIVE DOLLARS” in words. The IFB provides at B-22 (Discrepancies in Bids) that “[i]n case of discrepancies in the amount of bid words shall govern over figures.” Applying the IFB’s words-govern rule to Unit #33 (priced for 2 units in the evaluated Total Sum Bid) reduces Schedule 2 by $9,990. The corrected Total Bid is $3,104,310. Precision is still the apparent low bidder.

The bid order is not the point. The defect is that Precision submitted two irreconcilable prices for the same item, and the B-22 “words govern” rule is a mandatory rule the City is bound to apply as written. (Pozar v. Department of Transportation (1983) 145 Cal.App.3d 269, 271-273.) Whichever way the City reads Unit #33, Precision retains a unilateral post-bid option that no other bidder enjoys: a clerical-mistake or bid-relief argument under § 5103 the moment the item becomes commercially unfavorable, and that is the post-bid optionality Valley Crest forbids.

The $5-per-unit reading is commercially impossible. No contractor performs DTSC-supervised UST abatement, LA County Fire coordination, LA County Environmental Programs Division processing, and related agency work for $5 per tank. The $5,000 figure may also be materially understated for the required UST work, but the more important point is that Precision submitted two irreconcilable prices for the same item. If Precision intended $5,000, then “FIVE DOLLARS” is a bid-filling mistake. If Precision intended “FIVE DOLLARS,” then the Total Sum Bid is wrong. Either way, Precision preserved a clerical-mistake and bid-relief argument under § 5103, which is the post-bid optionality Valley Crest forbids. Any attempt by Precision to escape Unit #33 via § 5103 must also satisfy strict procedural compliance. (A & A Electric, Inc. v. City of King (1976) 54 Cal.App.3d 457, 461-462.) The bid therefore does not, on its face, promise to do what the Bid Documents require, and this is also a responsibility problem under Section X: JDK, the listed demolition and earthwork subcontractor that would actually operate the excavator on a UST pull, carries CSLB license #1048561 with C-12 and C-21 classifications, which do not show the Class A General Engineering or Hazardous Substance Removal (HAZ) certification required for that work. (Ghilotti, supra, 45 Cal.App.4th at p. 904; Taylor Bus, supra, 195 Cal.App.3d at pp. 1341-1342.)
VI. ECTI LISTED OVER THE LISTING THRESHOLD WITHOUT DIR REGISTRATION (PCC § 4104; LABOR CODE §§ 1725.5, 1771.1)
ECTI is listed by Precision at 1.5% of Total Bid, above the one-half of one percent threshold that triggers § 4104. The DIR Contractor Registration Number field for ECTI on Precision’s Designation Form reads “N/A.” Responsiveness is decided on the four corners of the bid as submitted (Great West, supra, 187 Cal.App.4th at p. 1454), and Precision’s bid affirmatively states “N/A” rather than supplying a DIR number. The IFB at page 4 expressly incorporates the statutory bar at Labor Code §§ 1725.5 and 1771.1: “no contractor or subcontractor shall be qualified to bid on, be listed in a bid proposal subject to the requirements of Section 4104 of the Public Contract Code, or engage in the performance of any contract for public work, unless currently registered and qualified to perform public work pursuant to Section 1725.5.”
Precision plainly understood the DIR registration column was substantive: it supplied DIR numbers for the other subs it listed on the form (JDK, Fenceworks, BMP, TRE Lighting & Electric, BC Traffic Specialist, and Los Morales Trucking) and affirmatively entered “N/A” for ECTI rather than leaving the field blank. The 24-hour cure window under PCC § 4104(a)(2) for an “inadvertent error” in a listed DIR number ran on March 10, 2026 without Precision invoking it. “N/A” is not on its face an “inadvertent error” within the meaning of the statute. If “N/A” was accurate, Precision listed a statutorily ineligible subcontractor over the listing threshold. If “N/A” was a clerical mistake, then Precision faces both a § 4104(a)(2) post-bid cure problem (expired) and a § 5103 clerical-error theory that triggers the Valley Crest escape route. Either path is independently disqualifying.

VII. REGULATED HAZARDOUS WASTE HAULING — § 4106 SELF-PERFORM DEFAULT AND CAPACITY GAP The project carries substantial regulated hazardous waste streams. Precision’s own bid prices them at Items 10 (Universal Waste Removal and Hauling Plan), 12 (Pre-Demolition Haz-Mat Abatement, including AQMD Procedure 5), and 19-21 (Hazardous Soil remedial excavation at the Former Automotive Repair Area, Grounds Storage Building, and Former UST Location, each requiring DTSC processing) — together approximately $927,000, plus Unit #33 and the Hazardous Materials unit-price items under Schedule 2.

Because Precision listed two subcontractors for the same undifferentiated transporter scope (Section IV), § 4106 deems Precision to self-perform that hauling. Precision’s bid does not show the equipment to self-perform regulated hauling at this scale: no high-side end-dump trucks for bulk demolition haul-off, no DTSC-manifested bin or vacuum units for the three hazardous-soil hot spots, and no separately permitted UST transport for tank cradles and contaminated residuals. The arithmetic is also off: at 3.5% of $3,114,300 (combined ECTI + Los Morales) the listed transporter scope is approximately $108,950, materially below the cost of regulated-waste manifesting, transport, and tipping fees alone for this site, before any structural demolition haul-off. JDK, which would be doing the excavation work that feeds the haul-off, carries C-12 and C-21 classifications that do not show the Class A General Engineering or Hazardous Substance Removal (HAZ) certification required for hazardous substance excavation work.

The capacity gap is both a § 4104/§ 4106 listing problem and a responsibility problem under Section X.

VIII. DEFECTIVE REFERENCES FORM — REQUIRED BID DOCUMENT (IFB B-1, B-19) The IFB requires bidders to submit a completed References Form listing public agency projects in excess of $500,000 the bidder is currently working on or has worked on in the past three years (IFB at B-25), and the Checklist for Bidders at B-1 lists the References Form as a mandatory bid submittal item. Whether the References Form defect is material — and therefore nonresponsive under Valley Crest and Ghilotti — turns on whether the form was a gatekeeping evaluation tool the City used to compare bidders, and on whether Precision’s submission deprived the City of the information the form was designed to elicit. The answer to both is yes.

Precision’s References Form does not identify a single discrete public agency project. Instead, it lists generic blanket entries such as “Abatement, Restoration, and Demolition Services / Various awarded jobs,” paired with on-call style agency relationships such as the County of San Bernardino and the Ventura County Office of Education / Hueneme Elementary School District. The Project Name fields do not identify project numbers, sites, task orders, individual scopes, contract amounts, or final values. The form does not allow the City to compare Precision’s actual publicagency project experience against the IFB threshold or against other bidders’ submissions. The problem is not formatting. It is that Precision did not give the City the project-specific public agency experience information the form requested.

Precision compounds the problem by listing Wawanesa Insurance — a private property and casualty insurance company — as a “project” reference. Wawanesa is not a public agency. Listing a private insurer to populate a form that, by its own terms, requires “public agency projects” is a facial failure to comply with the bid requirement. The City cannot allow Precision to supplement its References Form post-bid to identify qualifying public agency projects it should have listed at bid opening: that would permit Precision to cure a required bid document after seeing the competitive results. By contrast, Resource’s References Form identifies specific public-agency public-works projects above the threshold, with project names, contracting agencies, contract amounts, and contacts, allowing direct comparison. The same defect supports both nonresponsiveness (the bid did not satisfy a required submission) and nonresponsibility (the bid did not show the experience the form was designed to surface) — and Section X relies on both.

IX. SIGNING-AUTHORITY CONFLICT — CALIFORNIA SECRETARY OF STATE FILING The Checklist for Bidders at IFB B-1 requires “Evidence satisfactory to the City indicating the capacity of the person(s) signing the Bid to bind the Bidder.” Precision’s bid was signed by Jonathan Clark in the capacity of “CFO.” In support, Precision attached an Incumbency Certificate dated on or about March 4, 2026, executed by Robert Ruiz as “Sole Shareholder/Owner & CEO” of Precision Works, Inc., reciting that “Jonathan Clark currently serves as the Company’s Chief Financial Officer (CFO).”
That recital is squarely contradicted by Precision’s own most recent publicly filed corporate document. Precision Works, Inc.’s California Secretary of State Statement of Information filed on February 5, 2025 (File No.

BA20250263921; Entity No. 1342945) identifies the corporation’s three officers as Robert Ruiz (Chief Executive Officer), Jehremy Michael Foster (Secretary), and Salvatore Anthony Scarpato (Chief Financial Officer). Jonathan Clark is not listed as CFO. He is not listed as Secretary. He is not listed as a Director. He does not appear in the “Additional Officers” section (which is marked “None Entered”). (See Exhibit E.) Resource does not contend the Incumbency Certificate is automatically invalid. The point is narrower: the City cannot ignore the authority conflict in a required bid submission, and the City cannot allow post-bid supplementation of authority documentation to cure that conflict without giving Precision yet another post-bid cure opportunity not afforded to other bidders. Either Robert Ruiz attested to inaccurate officer information when he signed the Statement of Information in February 2025, or Robert Ruiz attested to inaccurate officer information when he signed the Incumbency Certificate in March 2026. The City cannot rely on the latter to override the former without resolving the conflict on the record.

X. RESPONSIBILITY — INDEPENDENT HARD BAR TO AWARD
Norwalk Municipal Code Chapter 3.17 commits the City Council to award only to the “lowest responsive and responsible bidder, or reject all bids.” A responsible bidder is one that can perform the contract as promised. (Taylor Bus, supra, 195 Cal.App.3d at p. 1341.) Even if any of the foregoing defects could survive the responsiveness analysis — and none can — Precision cannot survive the responsibility analysis on the same record.

Precision’s own bid creates the responsibility concerns. Precision listed JDK for “Demo/Grading” because Precision is not self-performing demolition; the listing is the admission. Precision listed two transporter subs for the same scope because Precision was not self-performing hauling either. The defects identified in Sections III, IV, VI, and VII then force Precision into a self-performance position its bid affirmatively disclaimed: § 4106’s self-perform default deems Precision to self-perform the unallocated demolition shortfall (~$453,160), the duplicate-listed transporter scope, and any other portion not properly identified to a single sub. The City must therefore ask whether Precision actually has the experience, equipment, licensing structure, manpower, and project history to perform that work itself.

Precision’s References Form, as set out in Section VIII, does not show comparable self-performed experience. The references do not identify a single discrete public-agency project of full-site heavy demolition, hazardous-soil remediation, regulated hauling, underground utility removal, crushing and grinding, and grading. Heavy structural demolition of multi-building, multi-acre sites with regulated hazardous-soil hot spots, DTSC oversight, LA County Fire permitting, and crushing-and-grinding operations is not an extension of asbestos abatement and restoration work; it is a different trade with different equipment, license coverage, and project track record. Precision’s bid does not show that track record on its face. Resource is unaware of any project of comparable scope and complexity that Precision has self-performed for a public agency in California within the three-year IFB look-back window, or for that matter at any point. The City cannot use post-bid responsibility evidence to retroactively cure facial § 4104 listing defects, but the absence of comparable self-performed experience is itself an independent ground for finding Precision nonresponsible.

The Inglewood Civic Center rule is clear that the City has no “relative superiority” basis to award to a nonresponsive or nonresponsible bidder regardless of price. (Inglewood Civic Center, supra, 7 Cal.3d at pp. 867-868; Williams Construction v. Clovis Unified School Dist. (2007) 146 Cal.App.4th 757, 766.) Awarding the Contract on this record may also expose the City and Precision to avoidable post-execution invalidation and cost-recovery disputes. The cleaner course is to reject Precision’s bid now, before any contract is executed.

XI. PREJUDICE TO RESOURCE, STANDING, AND THE PENDING COUNCIL ACTION Resource has standing to pursue this protest and is directly prejudiced by the prospect of an award to Precision. As the next lowest responsive and responsible bidder, Resource is the bidder to whom NMC Chapter 3.17 and PCC § 20162 require award if Precision’s bid is rejected. California courts have long recognized the standing of the secondlowest bidder to challenge a proposed award to a nonresponsive low bidder, both to vindicate the competitive bidding statutes and to protect the second-lowest bidder’s own statutory expectation of award. (Inglewood Civic Center, supra, 7 Cal.3d at pp. 867-870.) Resource has expended significant pre-bid pursuit cost, tendered a fully responsive bid, and is the party whose legitimate expectation under the City’s own award rule is displaced if the City permits Precision to keep an award it cannot lawfully hold.

The proposed award is not yet final. The City Council retains discretion under NMC Chapter 3.17 and PCC § 20162 to pull the item, reject Precision’s bid, and award to Resource. The decision before Council on June 2 is therefore a discretionary act, not the ratification of an existing contract. Adopting a resolution awarding the Contract to Precision before this protest is heard would foreclose the procedural protections the competitive bidding statutes were enacted to provide and would expose the City and Precision to the post-execution invalidation consequences set out in Section X, including the cost-recovery bar under PCC § 5110.

The fairness point is also a practical point. Resource understands that, on this same procurement, multiple other bidders were found nonresponsive. Those bidders were not allowed to cure or explain away their bid defects after bid opening. Precision should not receive a different standard. If the City rejected other bidders for defects that were the same as, less serious than, or arguably comparable to Precision’s defects, the City cannot lawfully waive Precision’s multiple material statutory and bid-form defects without creating the appearance of favoritism and unequal treatment. Competitive bidding laws exist “to eliminate favoritism, fraud and corruption; avoid misuse of public funds; and stimulate advantageous marketplace competition.” (Domar Electric, supra, 9 Cal.4th at p. 173.) Applying a stricter standard to other bidders while waiving Precision’s defects would create exactly the appearance of favoritism those laws are intended to prevent. The City should therefore apply the same standard to Precision that it applied to the other rejected bidders.

XII. REQUESTED RELIEF
For the reasons set out above, Resource respectfully requests that the City of Norwalk:

1. Defer or pull the proposed Precision award item from the June 2, 2026 City Council agenda (and from any subsequent agenda) pending written resolution of this protest, so that the responsiveness and responsibility questions identified above are heard on the record before any final Council action;

2. Reject Precision’s bid as nonresponsive for the violations of PCC §§ 4104 and 4106 (Sections III and IV), the Unit #33 words/figures discrepancy (Section V), the missing ECTI DIR registration (Section VI), the regulated-hauling listing defect (Section VII), the defective References Form (Section VIII), and the signing-authority conflict (Section IX), each of which is independently sufficient;

3. Find Precision nonresponsible for the reasons set out in Section X; and

4. Award the Contract to Resource as the next lowest responsive and responsible bidder, as NMC Chapter 3.17 and PCC § 20162 require.

The City should not reject all bids and rebid the project. The bids opened on March 9, 2026 are now public record.

Every bidder, including Precision, has seen Resource’s pricing, Precision’s pricing, and the line-item structure of every other bid. Rebidding the project under those conditions would hand every bidder — most importantly Precision — exactly the kind of second-look advantage Valley Crest and Menefee forbid: the ability to recalibrate after seeing the competition’s numbers, with no offsetting penalty. (Valley Crest, supra, 41 Cal.App.4th at p. 1442 [“two bites at the apple”]; Menefee, supra, 163 Cal.App.3d at p. 1182.) Rebidding would also penalize Resource for having submitted a responsive bid the first time. The lawful course on this record is to reject Precision’s bid as nonresponsive (and nonresponsible) and award to Resource, not to scrap the procurement and restart it.

Resource will appear at the June 2, 2026 City Council meeting this evening to be heard on this protest and to ensure the Council has the dispositive defects identified above squarely before it before any award is considered. Resource respectfully asks that no award be made to Precision pending resolution of this protest, and is prepared to address any questions the City Manager, City Attorney, or City Council may have on the record this evening or in writing.
