CITY OF OAKDALE

CITY COUNCIL STAFF REPORT
Meeting Date: September 16, 2024
To: Mayor Bairos and Member of the City Council
From: Jeff Gravel, Public Services Director
Subject: Consider a Resolution to Approve a Deferred Improvement Agreement for project required street frontage
improvements and reimbursement for certain off site public improvements, requested by the City on Ash Avenue at the Starbucks Coffee shop located 1439 West F Street
I. BACKGROUND
On April 4, 2023, the Planning Commission approved a Major Use Permit for the new Starbucks, currently under construction, at 1439 West F Street. A portion of the improvements required, as conditioned, for the project was realignment, dedication and construction of pavement, curb, gutter sidewalk and landscaping.

These improvements are to be located adjacent to and ultimately some dedicated to the State of California (Caltrans).

West F Street is State Route 108 and is considered a State right of way. As such development requests along the State right of way require Caltrans review and approval. Because the Starbucks project includes frontage improvements that are to be within the State right of way, those proposed improvements are subject to Caltrans review and approval.

On July 1, 2024, the City Council approved a pedestrian easement across the frontage of the property, east to west allowing public use on a privately owned and maintained sidewalk. Approved Easement
AGENDA ITEM 11.1
35 CITY OF OAKDALE
City Council Staff Report (Continued)
SUBJECT:West F Street Starbucks Deferred Improvement Agreement MEETING DATE: September 3, 2024
II. DISCUSSION
The required improvements for this project include but are not limited to some pavement, curb, gutter, sidewalk, undergrounding and dedication to Caltrans on West F Street (SR108) and some of the same improvements on Ash Avenue.

Because the review period by Caltrans is substantial, greatly exceeding the time it takes to construct, staff believed it was appropriate to allow Starbucks to conditionally open without competition of all improvements. Due to the importance of the unfinished improvements, the mechanism to allow this is a Deferred Improvement agreement. This agreement would conditionally allow operations to commence as long as all fire, life safety issues can be addressed and incomplete improvements are completed within a reasonable time period.

On July 10, 2024, the developer and Caltrans had a preconstruction meeting regarding the frontage improvements. The developer anticipates these improvements to be completed by early October 2024. This is reflected in the attached agreement however staff is recommending additional time be included such as 60 days from the approval of the agreement to complete the work. If additional time is needed beyond the initial 60 days, staff is recommending the developer submit in writing a request for an additional 60 days.

Off Site Road Improvements
In addition, staff is requesting to work with the developer to make road corrections on Ash Avenue (approximately outlined in green below), in addition to their project required road improvements.
36 CITY OF OAKDALE
City Council Staff Report (Continued)
SUBJECT:West F Street Starbucks Deferred Improvement Agreement MEETING DATE: September 3, 2024
The improvements will include removal and replacement of failed pavement, approximately 100 lineal feet, curb face to curb face on Ash Avenue. Work will be performed by the developer’s contractor and portions of the cost will be shared by both the developer and the City. The City’s cost obligation would be $32,691.00. Staff requests a 10% contingency of 3,269.00 for a total City obligation of $35,960.00.

II. FISCAL IMPACT
The City would use Gas Tax, Fund 215 to cover the cost of these improvements.

There would be no impact to the General Fund.

III. RECOMMENDATION
Staff recommends considering a Resolution to Approve a Deferred Improvement Agreement for project required street frontage improvements and reimbursement for certain off site public improvements, requested by the City on Ash Avenue at the Starbucks Coffee shop located 1439 West F Street

WHEREAS, Applicant wishes to defer construction of the Frontage Improvements for the Project, and City is willing to grant such deferral, subject to the terms and conditions set forth herein; and
WHEREAS, in addition to the Frontage Improvements, Applicant has agreed to provide for additional work to Ash Avenue, as further described in Exhibit A attached hereto (the “Ash Avenue Improvements”); and
WHEREAS, the Frontage Improvements and the Ash Avenue Improvements are hereafter collectively referred to as the “Deferred Improvements”; and WHEREAS, the Ash Avenue Improvements are over and above Applicant’s improvement obligations for the Project and are eligible for reimbursement. City intends to reimburse Applicant for the costs of the Ash Avenue Improvements based on the estimate attached hereto as Exhibit B.

NOW, THEREFORE, in consideration of the promises and covenants set forth below, the Parties agree as follows:

AGREEMENT
Section 1. Purpose. The purpose of this Agreement is to (i) assure the future construction and installation of the Deferred Improvements, at the expense of Applicant, in accordance with the standards required by City’s Engineering/Public Services Department, and (ii) provide reimbursement to Applicant for oversizing the Ash Avenue Improvements.

Section 2. Applicant Improvement Obligations. Applicant is responsible for the construction and installation of all improvements required for the Project, in accordance with improvement plans approved by City. The Deferred Improvements include, but are not limited to, pavement and undergrounding of utilities along West F Street. Construction of all improvements required for the Project shall conform to applicable local, state, and federal laws and standards.

Section 3. Time of Performance. City agrees that the Deferred Improvements are not currently needed for health or safety purposes or for orderly development of the surrounding area.

The Parties agree that the Deferred Improvements shall be installed and completed within sixty (60) days of the Effective Date of this Agreement (“Time of Performance”). Any further extension beyond the Time of Performance shall be subject to City’s approval.

Section 4. Intentionally Omitted.

Section 5. Warranty. For a period of one (1) year after City’s formal acceptance of the Deferred Improvements, Applicant agrees to repair and correct any defects to the Deferred Improvements to the satisfaction of City, ordinary wear and tear excepted. City shall provide written notice to Applicant of any repair or correction work which must be completed. All such repairs or correction work shall be at the sole expense of Applicant and without any expense to 41 {CW141341.5}

City. In the event Applicant fails to complete the work within the time requested by City, City at its option may complete the work at Applicant’s expense. Applicant shall pay the cost of the work within fifteen (15) days of receiving an invoice from City. Applicant hereby grants permission to City or its contractor to enter the Property as may be necessary to complete the Deferred Improvements.

Section 6. Intentionally Omitted.

Section 7. Reimbursement. The Ash Avenue Improvements are oversized in relation to the Project’s improvement obligations and are subject to reimbursement, as further described in Exhibit A attached hereto. City shall provide reimbursement to Applicant as follows:
(a) Reimbursement Amount. Applicant will be entitled to receive reimbursement for the actual cost of constructing the Ash Avenue Improvements, in an amount not to exceed $35,960 (“Reimbursement Amount”). The Parties acknowledge that the Reimbursement Amount is based on the cost estimate attached hereto as Exhibit B, plus ten percent (10%) to cover additional contingencies. The Parties agree to memorialize the final Reimbursement Amount in writing.

Actual costs for the Ash Avenue Improvements shall be subject to verification by City. Applicant shall maintain complete and accurate accounting and bookkeeping for the Deferred Improvements.

City may review, inspect, copy, and audit records relating to the Deferred Improvements. Any request by Applicant for reimbursement greater than maximum amount will require a written explanation in reasonable detail justifying the additional cost for the Ash Avenue Improvements, to the satisfaction of City.
(b) Condition Precedent. City shall pay to Applicant the Reimbursement Amount within fifteen (15) days following written notice from Applicant that the Deferred Improvements are complete. Notwithstanding the foregoing, City shall have no obligation to provide the reimbursement described herein to Applicant until the Deferred Improvements have been completed by Applicant in accordance with the approved plans, subject to inspections by City.

The Deferred Improvements will be inspected by City promptly following Applicant’s notice of completion above.
(c) No General Obligation. City’s General Fund shall not be liable for the payment of any reimbursement obligations arising from this Agreement. (d) Limitations on Assignment. The Reimbursement Amount shall be personal to Applicant. Any request by Applicant to transfer or assign the Reimbursement Amount to a third party shall be in writing and be subject to approval from City.

Applicant shall provide certificates of insurance to City prior to commencement of the work.

Section 10. Default. In the event that Applicant or City breaches any obligation under this Agreement, the other Party shall be entitled to receive written notice specifying the nature of the default in reasonable detail. The defaulting Party shall have thirty (30) days to cure the default.

Upon expiration of the thirty (30) day period, as applicable, City at its option may complete the Deferred Improvements or withhold any development permits or approvals sought by Applicant within City. In addition, the non-defaulting Party may initiate legal proceedings to compel specific performance or payment of the defaulting Party’s obligations contained herein.

Section 11. Administration. The City Manager, or his or her designee, is responsible for the interpretation and administration of the provisions of this Agreement. Should a disagreement arise between the Parties with respect to the City Manager’s interpretation or administration of any provision of this Agreement, such decision shall first be appealed to the City Council within fifteen (15) days of the City Manager's decision, prior to initiation of legal proceedings to address said disagreement.

Section 12. Processing/Inspection Fees. This Agreement does not limit City’s authority to charge administrative, processing, inspection, and plan checking fees, where such fees are meant to reimburse City for actual time and costs to provide the services contemplated for the Project.

Section 13. Indemnity. Applicant shall hold harmless, indemnify, and defend City and its officials, employees, agents, representatives, and contractors (“City’s Agents”) from all liability or claims arising during and related to construction of the Deferred Improvements. This indemnification shall extend to and protect City and City’s Agents against any liability or claim allegedly suffered or incurred for personal injury, death, or property damage. Applicant’s obligation to hold harmless and indemnify City shall apply regardless of whether City or City’s Agents prepared, supplied, or approved of any plans or specifications for the Deferred Improvements. The indemnification obligations described herein shall not apply to liability or claims arising after completion of the work.

Section 14. Notices. Any and all notices or other communications related to this Agreement shall be in writing and shall be deemed received when: (a) personally delivered to the Party to whom they are directed; or (b) the earlier of actual receipt or five (5) days following delivery by registered or certified U.S. mail (return receipt requested); or (c) delivered by email, based on the date shown on the sent email (provided that in the event of default, such notice shall also be provided by one of the other methods specified herein).
