G. The Parties acknowledge that through the Benefit District and the FCB Reimbursement Agreement, City has committed certain CFF Fees to FCB Homes which impacts the City’s ability to reimburse Developer for the Improvements.
H. The purpose of this Agreement is to establish how reimbursement for the Improvements will be provided to Developer, while ensuring that City meets its reimbursement obligations to FCB Homes pursuant to the FCB Reimbursement Agreement.
I. The Parties also desire to modify the conditions of approval relating to Developer’s improvements obligations for Fish Park, as described herein.

CITY OF OAKDALE
CITY COUNCIL STAFF REPORT
DATE: MONDAY, JUNE 16, 2025
TO: MAYOR BAIROS AND MEMBERS OF THE CITY COUNCIL
FROM: GARY VANDERHEIDEN, SUPPORT DIVISION LIEUTENANT
REVIEWED BY: JASON GROGAN, INTERIM CHIEF OF POLICE
SUBJECT: CONSIDERATION OF A RESOLUTION AUTHORIZING
ACCEPTANCE OF NEW APPLICATIONS OR RENEWALS OF
CURRENT APPLICATIONS FOR CITY GENERATED NONEXCLUSIVE NON-CONSENSUAL FRANCHISE TOWING
SERVICES AGREEMENT AND AUTHORIZING THE CHIEF OF
POLICE TO CONTRACT WITH QUALIFIED APPLICANTS
I. BACKGROUND
The City of Oakdale’s current contract for non-exclusive non-consensual towing services expired in 2011. Since then, the City has been managing towing operations through temporary arrangements, which lack the formal structure and consistency needed to effectively handle the increasing volume of tows and ensure compliance with updated regulatory standards.
Since 2023, the Oakdale Police Department handled approximately 800 tows, this includes owner request, non-consensual tows, vehicle impoundments for investigations, accidents, and enforcement of parking violations. As per the California Vehicle Code (CVC) Section 12110, the City is authorized to impose a fee for awarding a franchise for towing vehicles, which should not exceed the costs incurred in managing the towing program. However, The City of Oakdale will remove franchise fees from our towing services agreement and offset this with the adjustment of our vehicle release fees.
To address the operational needs and ensure a reliable, accountable, and standardized towing service, Staff is proposing release of the Renewal of Current Applications or Request for Applications (RFA) No. 25-__ for City Generated NonExclusive Non-Consensual Franchise Towing Services and authorization for the Chief of Police to evaluate the applications received and contract with responsive and eligible applicants for towing services. This aims to establish an updated list structured and consistent approach to managing towing services, with clear eligibility requirements and performance standards.
II. DISCUSSION
1. Scope of Work
RFA No. 25-__ seeks applications or renewals of current applications for providing non-exclusive, non-consensual towing services on behalf of the City of Oakdale.
The scope of work includes:
• Impoundment: Towing and storage of vehicles impounded for investigations, as evidence in criminal cases, or under asset or vehicle forfeiture. • Incident Response: Towing vehicles involved in accidents, stalled vehicles, illegally parked vehicles, or vehicles whose drivers are incapacitated, arrested, or detained.
AGENDA ITEM 11.3
263
CITY OF OAKDALE
City Council Staff Report (Continued)
SUBJECT: Towing Services Agreement
MEETING DATE: June 16th, 2025
• Code Compliance: Towing under various sections of the CVC and Oakdale City Code, including 30-day impounds, abandoned vehicles, and vehicle abatements.
• Special Requests: Handling specific towing requests as directed by authorized City personnel.
2. Eligibility Requirements
Applicants must meet several criteria to qualify for the franchise, including:
• Experience: A minimum of two years owning a towing business in California. • Compliance: Adherence to all RFA requirements and agreement to franchise terms.
• Infrastructure: Sufficient operational tow trucks and storage facilities within two miles of city limits.
• Documentation: Completion and submission of the required application packet, including financial guarantees and insurance documentation.
3. Application Process
The application process is divided into two phases:
• Phase 1: Review of financial, business, and insurance documents. • Phase 2: Assessment of the complete franchise application, including verification of equipment and facilities.
Applications will be evaluated based on their completeness and adherence to specified criteria. Non-compliance at any stage will result in rejection without further consideration.
4. Selection Process
Applicants satisfying all requirements in both Phase 1 and Phase 2 shall be notified by the Chief of Police of their eligibility to contract with the City to provide nonexclusive, non-consensual towing services.
III. FISCAL IMPACTS
This action will result in no fiscal impact to the General Fund.
IV. RECOMMENDATION
Staff recommends that the City Council adopt a resolution authorizing staff to allow acceptance of new applications or renewals of its City-Generated Non-Exclusive Non-Consensual Franchise Towing Services Agreements and authorizing the Chief of Police to contract with responsive and eligible applicants. This will ensure continued compliance and efficient towing operations within the city, enhancing public safety and operational effectiveness.

Subject: Consideration of a Resolution Authorizing the Purchase of One 2024 Ford Super Duty F-250 Utility Truck from Haidlen Ford in the Amount of $66,383.25 to be Funded by Sewer
Capital Replacement Fund 621 and to Surplus One 1991 Ford Super Duty F-350 Truck.
I. BACKGROUND
The City of Oakdale Wastewater Treatment Plant (WWTP) is situated on over 109 City-owned acres on the north side of town, along Liberini Road. The facility proudly serves approximately 8,200 sewer connections, supporting both residential and commercial customers.
The existing WWTP utility truck, a 1991 Ford Super Duty F-350 truck (34 years old) with 82,300 miles, has significantly exceeded its service life and is in critical need of replacement. Additionally, the vehicle’s attached crane is no longer functional due to both its limited weight capacity and mechanical failure. This vehicle will be retired from service and declared surplus property.
Staff recommends the replacement of the existing vehicle with a new 2024 Ford Super Duty F-250 Utility Truck. As with the old vehicle, the new vehicle will be used exclusively for wastewater operations. The new vehicle will provide reliable and efficient support for ongoing maintenance operations. It will be utilized to transport tools around the site used in the repair and routine maintenance of over 25 pumps, motors, and other processing equipment, transportation of parts and supplies from off-site locations, and the delivery and pickup of equipment requiring service. The vehicle will also be equipped with a liftgate to enhance safety by minimizing the need for manual lifting of heavy items. At this time, the addition of a crane is not required for the new vehicle configuration.

WHEREAS, Applicant seeks to develop the Property described in Exhibit A attached hereto consistent with the Project Approvals; and
WHEREAS, on November 2, 2022, City’s Planning Commission adopted Resolution No. 2022-15 and Resolution No. 2022-16, approving the Project subject to conditions of approval (“Project Conditions”); and
WHEREAS, the Project Conditions require Applicant to construct certain public improvements that will be dedicated to City (“Improvements”), as further described in the cost estimate attached hereto as Exhibit B; and
WHEREAS, the public improvements must be constructed in accordance with Improvement Plans approved by City; and
WHEREAS, in the interest of public safety and orderly development, Applicant is required to provide securities to City in order to guarantee completion of the Improvements; and WHEREAS, a portion of the Improvements is subject to reimbursement from City, as provided herein; and
WHEREAS, the purpose of this Agreement is to set forth the obligations of Applicant and City relating to the Improvements.
NOW, THEREFORE, in consideration of the promises and covenants set forth below, the Parties agree as follows:
AGREEMENT
1) Purpose. The purpose of this Agreement is to (a) assure the construction and installation of the Improvements, at the expense of Applicant, in accordance with standards required by City’s Engineering/Public Services Department, and (b) establish the terms under which Applicant will receive reimbursement from City for the Improvements.
2) Binding on Successors. This Agreement is an instrument affecting title to the real property described in Exhibit A attached hereto. All terms, covenants, and conditions contained herein shall run with the land and be binding on all parties having or acquiring any legal title or interest in the lands described in Exhibit A or any part thereof. Applicant shall provide any successors to any part of the Property with a copy of this Agreement. The failure of Applicant to provide a copy 321

of this Agreement to any successor to any part of the Property shall in no way affect the rights of City to require performance of the obligations under this Agreement. 3) Time of Performance. The Improvements shall be completed and dedicated to City prior to issuance of a Certificate of Occupancy to the Project (“Time of Performance”). City shall be under no obligation to issue a Certificate of Occupancy to the Project prior to completion and dedication of the Improvements.
4) Applicant Improvement Obligations. Applicant is responsible for ensuring construction and installation of the Improvements. The Improvements shall be constructed in accordance with Improvement Plans approved by City. Upon completion and inspections conducted by City, the Improvements shall be dedicated to City for its ownership and operation. Construction of the Improvements shall conform to all applicable local, state, and federal laws and standards. 5) Security. Prior to commencing construction of the Improvements, Applicant shall execute and deliver to City the following securities to guarantee completion of the Improvements, in a form acceptable to City (“Securities”). The amount of the Securities shall be based on a cost of work estimate for the Improvements approved by City (“Improvements Cost Estimate”). The Improvements Cost Estimate is attached hereto as Exhibit B. (a) Performance Security. As both parties are Public Entities, a performance security will not be required for these improvements.
(b) Payment Security. As both parties are Public Entities, a payment security will not be required for these improvements.
(c) Warranty. An additional amount of twenty-five percent (25%) of the total Improvements Cost Estimate, for the guarantee and warranty of the Improvements against any defective work or labor done, or defective materials, for a period of one (1) year following their completion and acceptance by City (“Warranty Security”). 6) Warranty. For a period of one (1) year after City’s formal acceptance of the Improvements, Applicant agrees to repair any defects to the satisfaction of City. City shall provide written notice to Applicant of any repair or correction work which must be completed. All such repairs or correction work shall be at the sole expense of Applicant and without any expense to City. In the event Applicant does not make the repairs requested by City, City shall have the authority to enter the Property and make the necessary repairs. City in its discretion may use the Warranty Security to cover the cost of the repairs made by City under this Section. 7) City Performance of Work; Lien. In the event Applicant or its successors fail to complete the Improvements pursuant to this Agreement, City at its option may complete the Improvements.
City at its option may use the Securities described in this Agreement to complete and pay for its costs to complete the Improvements. A lien is hereby created on all properties described in Exhibit A for the cost of City’s construction of the Improvements. If the Property is subdivided, the amount of the lien shall be divided proportionately among the various parcels, based on the gross 322

acreage of each parcel. Applicant hereby grants permission to City or its contractor to enter the Property as may be necessary to complete the Improvements. 8) Reimbursement. A portion of the Improvements is required to be oversized in relation to the Project and are subject to reimbursement (“Reimbursable Improvements”), as provided herein. (a) CFF Obligation. The Project will be subject to all Capital Facilities Fees (“CFF”) that City charges to new development, as a condition to the issuance of building permits for the Project.
(b) Reimbursement Amount. Applicant will be entitled to receive reimbursement for the actual cost of constructing the Reimbursable Improvements, in an amount not to exceed Two Hundred Eighty-Two Thousand Three Hundred Thirty-Eight dollars and Forty-Six cents ($282,338.46) (“Reimbursement Amount”). The Parties acknowledge that the Reimbursement Amount is based on the cost estimate attached hereto as Exhibit C. The Parties agree to memorialize the final Reimbursement Amount in writing. Actual costs for the Reimbursable Improvements shall be subject to verification by City. Applicant shall maintain complete and accurate accounting and bookkeeping for the Improvements. City may review, inspect, copy, and audit records relating to the Improvements. Any request by Applicant for reimbursement greater than maximum amount will require a written explanation in reasonable detail justifying the additional cost for the Reimbursable Improvements, to the satisfaction of City. (c) CFF Reimbursement. Upon completion of the Project, the Reimbursement Amount shall be an obligation of the applicable CFF account. City shall provide payment to Applicant from the applicable CFF account at such time that the CFF account is sufficiently funded. (d) Condition Precedent. City shall have no obligation to provide the reimbursement described herein to Applicant until: (i) City’s formal acceptance of the Improvements, and (ii) Applicant provides assurance that there are no liens, claims, and monetary encumbrances on the Improvements.
(e) Limitations on Assignment. Notwithstanding Section 2, the Reimbursement Amount shall remain personal to Applicant and shall not run with the land or subsequent purchasers of the Property. Any request by Applicant to transfer or assign the Reimbursement Amount to a third party shall be in writing and be subject to approval from City. (f) No General Obligation. The reimbursement obligations arising from this Agreement are not a debt of the City nor a pledge, charge, lien, or encumbrance upon any of its property or upon any of its income, receipts, or revenues. City’s General Fund shall not be liable for the payment of any reimbursement obligations arising from this Agreement. 9) Insurance.
a) General Liability Insurance. Contractor shall maintain commercial general liability insurance with coverage at least as broad as Insurance Services Office form CG 00 01, in 323

an amount not less than two million dollars ($2,000,000) per occurrence for bodily injury, personal injury, and property damage, including without limitation, blanket contractual liability and coverage for explosion, collapse and underground property damage hazards.
Contractor’s general liability policies shall be primary and not seek contribution from the City’s coverage, and be endorsed using Insurance Services Office form CG 20 10 to provide that City and its officers, officials, employees, and agents shall be additional insureds under such policies. For construction contracts, an endorsement providing completed operations to the additional insured, ISO form CG 20 37, is also required. b) Workers’ Compensation Insurance. Contractor shall maintain Workers’ Compensation Insurance (Statutory Limits) and Employer’s Liability Insurance with limits of at least one million dollars ($1,000,000). Contractor shall submit to City, along with the certificate of insurance, a Waiver of Subrogation endorsement in favor of City, its officers, agents, employees, and volunteers.
c) Automobile Liability. Contractor shall provide auto liability coverage for owned, nonowned, and hired autos using ISO Business Auto Coverage form CA 00 01, or the exact equivalent, with a limit of no less than two million dollars ($2,000,000) per accident. d) Other Insurance Requirements. Within five (5) days of the Effective Date, Contractor shall provide City with certificates of insurance for all of the policies required under this Agreement (“Certificates”), excluding the required worker’s compensation insurance. Such Certificates shall be kept current for the Term of the Agreement and Contractor shall be responsible for providing updated copies and notifying City if a policy is cancelled, suspended, reduced, or voided. With the exception of the worker’s compensation insurance, all of the insurance policies required in this Agreement shall: (a) provide that the policy will not be cancelled, allowed to expire, or materially reduced in coverage without at least thirty (30) days’ prior written notice to City of such cancellation, expiration, or reduction and each policy shall be endorsed to state such; (b) name City, and City’s Agents as additional insureds with respect to liability arising out of Services, work or operations performed by or on behalf of the Contractor; products and completed operations of the Contractor; premises owned, occupied, or used by the Contractor, or automobiles owned, leased, or hired or borrowed by the Contractor. The coverage shall contain no special limitations on the scope of protection afforded to the City; (c) be primary with respect to any insurance or self-insurance programs covering City or City’s Agents and any insurance or self-insurance maintained by City or City’s Agents shall be in excess of Contractor’s insurance and shall not contribute to it; (d) contain standard separation of insured provisions; and (e) state that any failure to comply with reporting or other provisions of the policy including breaches of warranties shall not affect the coverage provided to the City.
e) Material Breach. If Contractor, for any reason, fails to maintain insurance coverage that is required pursuant to this Agreement, such failure shall be deemed a material breach of this Agreement. City, at its sole option, may terminate this Agreement and obtain damages from Contractor resulting from said breach. Alternatively, City may purchase 324

such required insurance coverage, and without further notice to Contractor, City may deduct from sums due to Contractor any premium costs advanced by City for such insurance. These remedies shall be in addition to any other remedies available to City. 10) Termination. This Agreement shall terminate upon occurrence of all of the following: (i) completion of the Improvements by Applicant and formal acceptance by City, (ii) expiration of the warranty period, and (iii) Applicant receives the Reimbursement Amount. Upon receiving a request from Applicant, City shall provide Applicant with a release, or such other document as may be required to remove this Agreement as an encumbrance on the title of the Property.
Section 11. Default.
(a) In the event of any dispute under this Agreement, the at-fault Party shall be entitled to receive written notice specifying the nature of the dispute in reasonable and understandable detail. The at-fault Party shall have thirty (30) days to cure an alleged breach prior to initiation of legal action.
(b) In the event of default by Applicant, upon expiration of the thirty (30) day cure period, City at its option may complete the Improvements, call upon any Security held by City to complete the Improvements, withhold any development permits or approvals sought by Applicant within City, or pursue all available remedies in a court of law.
Section 12. Processing/Inspection Fees. This Agreement does not limit City’s authority to charge administrative, processing, inspection, and plan checking fees, where such fees are meant to reimburse City for actual time and costs to provide the services contemplated for the Project.
Section 13. Administration. The City Manager or his or her designee is responsible for the interpretation and administration of the provisions of this Agreement. The Improvement obligations described in this Agreement may be administered in accordance with the checklist attached hereto as Exhibit D. Should a disagreement arise between the Parties with respect to the interpretation or administration of any provision of this Agreement, such decision may be appealed to the City Council within fifteen (15) days of the City Manager's decision.
Section 14. Indemnity. Applicant shall hold harmless, indemnify, and defend City and its officials, employees, agents, representatives and contractors (“City’s Agents”) from all liability or claims associated with the construction and design of the Improvements. This indemnification shall extend to and protect City and City’s Agents against any liability or claim allegedly suffered or incurred for personal injury, death, property damage, inverse condemnation, or any combination thereof. Applicant’s obligation to hold harmless and indemnify City shall apply regardless of whether City or City’s Agents prepared, supplied, or approved of any plans or specifications for the Improvements, and regardless of whether any insurance policies may be determined to be applicable to any such damages.
Section 15. Notices. Any and all notices or other communications related to this Agreement 325

Consideration of a Resolution Adopting a List of Projects for Fiscal Year 2025/2026 to be Funded by ( SB 1 ) Road Repair and Accountability Act of 2017
I. BACKGROUND
Senate Bill 1 (SB 1), the Road Repair and Accountability Act of 2017 (Chapter 5, Statutes of 2017) was passed by the Legislature and Signed into law by the Governor in April 2017 to address significant multi-modal transportation funding shortfalls statewide. SB 1 includes accountability and transparency provisions that will ensure local resident awareness of projects funded by SB 1 each year, such as an annual SB 1 project list for City Council consideration.
II. DISCUSSION
As required by SB 1, the city must adopt a list of all projects or a project proposed to receive funding from the Road Maintenance and Rehabilitation Account (RMRA), created from SB 1 by resolution, which must include a description and the location of each proposed project, a proposed schedule for the project’s completion, and the estimated useful life of the improvement. Staff is recommending to consider using SB 1 funds toward our current city slurry seal plan to prolong the existing condition of those streets included in the plan. The plan is an assembly of city streets in fair to good condition, as found in the 2013 and 2022 pavement condition index (PCI) reports, which are suitable for slurry seal application.
The proposed projects for fiscal year 25/26 include the following areas:

I. BACKGROUND
Florabelle Brennan Park, located at 349 South Sixth Avenue, spans approximately
2.8 acres. Formerly the site of a skate park, it is now primarily used for basketball on the existing court. The playground was removed in 2024 due to extensive vandalism. City staff began developing a new site plan to support the high usage of the basketball courts and accommodate the growing interest in futsal. The court surface is currently in poor condition and requires repair. The park also lacks lighting.

This project includes the installation of a slipsheet overlay on the court surface after crack and joint repairs and leveling. The slipsheet is a specialized ply felt designed to accommodate substrate movement, providing resistance to cracking caused by soil shifts, root intrusion, and moisture. It is the preferred solution for courts with extensive cracking. The courts will be finished with acrylic athletic surfacing and striping for both basketball and futsal. New fencing will divide the courts, with access gates installed on each side. Additionally, four new light poles with court lighting and controls will be installed.

CITY OF OAKDALE
CITY COUNCIL STAFF REPORT
Date: Monday, June 16, 2025
To: Mayor Bairos and Members of the City Council
From: Jerry Ramar, Interim City Manager
Reviewed: Tom Hallinan, City Attorney
Subject: Consideration of a Resolution Approving a Master Encroachment Agreement with unWired Broadband for Citywide Fiber Optic Network Construction
I. Purpose
To authorize the City Manager to execute a Master Encroachment Agreement (MEA) with unWired Broadband, allowing the construction of a privately funded, citywide fiber-optic broadband network within public rights-of-way in the City of Oakdale, subject to City oversight and permitting requirements.
II. Background
unWired Broadband, a Central Valley-based internet service provider with a strong track record in network reliability and customer satisfaction, is proposing to build a fiber-to-the-home (FTTH) network throughout Oakdale. This investment will improve connectivity for residents and businesses with symmetrical high-speed Internet access and is expected to stimulate long-term economic and quality-of-life benefits.
The deployment of unWired’s NextGen Fiber network provides a significant upgrade to Oakdale’s digital infrastructure. By introducing an additional internet service provider with guaranteed symmetrical speeds and competitive pricing, the project increases consumer choice and fosters price competition, benefiting households of all income levels.
For local businesses, reliable, high-speed broadband is essential for modern operations, cloud-based services, and customer communications. unWired’s commercial-grade service at lower entry price points will provide small businesses, home-based entrepreneurs, and commercial tenants with the digital tools they need to thrive.
In addition, a citywide fiber network positions Oakdale as a “connected community,” making it more attractive to technology-driven businesses, remote workers, and potential investors who prioritize robust internet infrastructure when choosing where to locate or expand.
The installation of unWired Broadband’s fiber-optic infrastructure represents a longterm investment in Oakdale’s digital economy. High-speed, reliable internet access is no longer a luxury, it is critical infrastructure that supports innovation, entrepreneurship, and business growth. By enabling fast, symmetrical connectivity across residential, commercial, and mixed-use properties, the new network will enhance Oakdale’s competitiveness in attracting new businesses, supporting remote work, and retaining younger, tech-savvy residents. Additionally, unWired’s AGENDA ITEM 11.8

commitment to hiring local contractors for the engineering and construction phases injects capital directly into the local economy, supports skilled job creation, and strengthens Oakdale’s construction and utility services sectors. This dual benefit, permanent digital infrastructure and near-term employment, delivers both immediate and lasting economic value to the community.
As part of its construction methodology, unWired Broadband will utilize directional boring, a highly advanced trenchless technology that allows underground conduits to be installed with minimal surface disruption. Unlike traditional open-trench excavation, directional boring enables fiber lines to be placed beneath streets, sidewalks, and driveways without the need to dig continuous trenches. This method significantly reduces damage to existing pavement, landscaping, and underground utilities, and results in shorter construction timelines, safer worksites, and fewer traffic impacts for the public. Directional boring is considered an industry best practice for urban fiber deployment and demonstrates unWired’s commitment to modern, low-impact infrastructure installation.
III. Key project details:
• Investment: ~$10 million (100% privately funded)
• Scope: 645,000+ feet of underground fiber reaching ~9,120 premises o 6,490 Single-Family Units (SFUs)
o 1,938 Multi-Dwelling Units (MDUs)
o 692 Commercial Sites
• Timeline: Construction to begin in January 2026, full deployment by January 2027
• Permitting Model: Distributed in phases (Distribution Areas) to streamline City review and minimize disruption
IV. Project Oversight & Responsibilities
• unWired is responsible for:
o Network design, engineering, construction, restoration, and testing o Hiring and managing contractors
o Compliance with Oakdale municipal code, CEQA, and permit conditions • The City will:
o Review phased permit applications
o Oversee construction compliance through Engineering and Public Works staff
o Receive deposits to cover all staff-related costs
V. Fiscal Impact
There is no fiscal impact to the General Fund. unWired will cover all direct and indirect costs related to project permitting and City support.
VI. Environmental Review
The proposed project qualifies as categorically exempt under CEQA, pursuant to:
