2 WHEREAS, the City Council finds and determines based on the representations set forth in the City Administrator’s report accompanying this Resolution that the contract approved hereunder is temporary in nature; and

WHEREAS, the City lacks the equipment and qualified personnel to perform the necessary work, and the City Council finds and determines that the performance of this contract is in the public interest because of economy or better performance and that this contract is of a professional, scientific or technical nature; and

WHEREAS, the City Council finds and determines that the performance of this contract shall not result in the loss of employment or salary by any person having permanent status in the competitive service; and

WHEREAS, the original professional services agreement with Alta was awarded after a competitive selection process authorized by Resolution No. 89394 C.M.S. ; and WHEREAS, the additional services are a continuation of Alta’s existing design, environmental, permitting, bid- support, and construction- support services for the same project, and Alta has project -specific knowledge of the design history, Caltrans review process, a gency coordination, and pending final PS&E deliverables; and
WHEREAS, requiring a new competitive solicitation for these continuation services would likely delay final design, environmental clearance, right -of-way certification, E -76 authorization, bidding, construction support, and use of available grant funds, and would not be in the best interests of the City; and
WHEREAS, the City Council finds and determines that, to the extent required by Oakland Municipal Code sections 2.04.050 and 2.04.051, it is in the best interests of the City to waive any further advertising, competitive bidding, or competitive selection requirements for this amendment because the amendment is limited to continuation and completion of services under the existing competitively procured professional services agreement; and now, therefore, be it

RESOLVED: That the City Administrator is authorized to execute an amendment to the contract with Alta increasing the scope of services and contract by an amount not-to-exceed seven hundred forty-seven thousand two hundred eighty-eight dollars ($747,288) f or a total contract amount not-to-exceed three million nine hundred fifty-five thousand four hundred four dollars ($3,955,404) contingent upon the availability of funding; and be it

FURTHER RESOLVED: That the City Council finds and determines that, to the extent required by Oakland Municipal Code sections 2.04.050 and 2.04.051, it is in the best interests of the City to waive further advertising or competitive bidding for this amendment because the amendment is limited to continuation and completion of services under an existing competitively procured professional services agreement, Alta has project -specific knowledge and continuity necessary to complete the work efficiently, and a new solicitation would risk delay, duplication of effort, increased cost, and potential impacts to grant-funded project delivery ; and be it

FURTHER RESOLVED: That the City Council has reviewed and considered the prior CEQA determination for the 7th Street Connection Project adopted in Resolution No. 89394 C.M.S., and finds and determines that the proposed contract amendment is within the scope of the

3 previously reviewed Project and does not authorize any new physical improvements, substantial changes to the Project, or new circumstances requiring subsequent or supplemental environmental review; and be it
FURTHER RESOLVED: That the City Council finds and determines that the Project remains exempt from CEQA pursuant to the Oakland Bicycle Master Plan Final Environmental Impact Report and Public Resources Code Section 21080.25(b)(1) for pedestrian and bicycle facilities, including new facilities; Public Resources Code Section 21080.20.5(a) for restriping of streets for bicycle lanes; CEQA Guidelines Section 15183 for projects consistent with a community plan, general plan, or zoning; CEQA Guidelines Section 15301(c) for existing facilities, highways, and streets; CEQA Guidelines Section 15302 for replacement or reconstruction; CEQA Guidelines Section 15303 for small structures; CEQA Guidelines Section 15304(h) for minor alterations to land; and CEQA Guidelines Section 15061(b)(3) because it can be seen with certainty that the proposed contract amendment will not have a significant effect on the environment; and the City Council finds that each of the foregoing provides a separate and independent basis for CEQA compliance; and be it

FURTHER RESOLVED: That the City Administrator is authorized to approve any subsequent amendments to or extensions of said agreement, provided that such amendments or extensions shall be filed with the City Clerk’s Office; and be it

4 FURTHER RESOLVED: That the contract shall be reviewed and approved by the City Attorney for form and legality and placed on file in the Office of the City Clerk.
