EXECUTIVE SUMMARY
In April 2021, the City Council adopted Resolution 88604 CMS, which authorized the City Administrator to award a construction contract to Oliver de Silva, Inc. DBA Gallagher & Burk, Inc. (GBI) for the Active Transportation Program (ATP) 19th Street BART to Lake Merritt Urban Greenway Project (Project). The Project has constructed pedestrian, bicycle, lighting and vehicular traffic safety improvements on Thomas L. Berkley Way (20th Street) between Broadway and Harrison Street and on Franklin Street between 20th Street and 22nd Street.
Numerous unforeseen circumstances encountered during construction have necessitated additional construction costs beyond the 25% change order capacity allowed by the existing contract. As of this writing, expenditures on the Project are approximately 122% of the base contract amount, while construction is close to completion.
The Project location is in Council District 3, as shown in Attachment A: Project Location Map.

BACKGROUND / LEGISLATIVE HISTORY
The Project proposes a safer and more accessible corridor for motorists, cyclists, and pedestrians on 20th Street from Broadway to Harrison Street and on Franklin Street between 20th Street and 22nd Street. Key improvements include reducing travel lanes from two in each direction to one, widening sidewalks, upgrading curb ramps, adding pedestrian median refuges, and installing protected bicycle lanes. Additional enhancements feature pedestrian-scale lighting, updated striping and wayfinding signage, traffic signal upgrades, and improvements to the 19th Street BART station drop-off and accessible loading zones.
The City of Oakland (City) submitted an ATP grant proposal in May 2015 to California Department of Transportation (Caltrans) for the 19th Street BART to Lake Merritt Urban Greenway Project based on recommendations in the 20th Street Complete Streets Study (2013) (Study) and analysis of Transportation Injury Mapping System (TIMS) collision history data. The Study was built on the identification of the project in the City’s Bicycle Master Plan (2007) and presented existing conditions of the area through analysis of the pedestrian, bicycle, transit, and vehicle environments and operations. In January 2016, the City Council adopted Resolution 85956 C.M.S, which authorized the City Administrator to accept and appropriate the ATP grant for the 19th Street BART to Lake Merritt Urban Greenway Project.
In April 2021, the City Council adopted Resolution 88604 C.M.S, which authorized the City Administrator to award a construction contract to GBI for the Project for an amount not to exceed six million four hundred thirty-nine thousand one hundred forty-eight dollars and seventy-five cents ($6,439,148.75).
ANALYSIS AND POLICY ALTERNATIVES
In April 2021, the City Council adopted Resolution 88604 CMS, which authorized the City Administrator to award a construction contract to GBI for the Project. The original amount was not to exceed six million four hundred thirty-nine thousand one hundred forty-eight dollars and seventy-five cents ($6,439,148.75) and the original contractual period of performance was from 07/01/2021 to 6/30/2023.
Following the issuance of the Notice to Proceed in September 2021, the Project experienced a series of unforeseen field conditions and challenges that significantly affected the construction schedule and budget. Major delays resulted from previously unidentified underground utilities that required substantial design plan modifications, negotiations between the City and GBI regarding the associated additional work, ongoing coordination with utility owners and external stakeholders, unforeseen field conditions encountered during construction, accommodations for major annual public events, and weather-related constraints.
During early construction activities, previously unknown shallow utilities were discovered within the project corridor and construction was halted. To address these conflicts, additional investigation and potholing were conducted, followed by significant design revisions. The redesign process involved extensive technical evaluation and coordination among City departments and external agencies. The revised scope of work led to cost negotiations between the City and GBI, further resulting in substantial project delays.

Construction fully resumed in 2023 and the project team soon encountered unforeseen site conditions which were undiscoverable by potholing. For example, the contractor had uncovered an existing basement underneath the sidewalk and had removed the basement’s waterproofing during demolition. Project costs and schedule increased as the work surrounding the basement required additional surveying, waterproofing, and monitoring. Additionally, the discovery of railroad ties during roadway excavation posed schedule and cost challenges to the project. This finding halted construction and necessitated material testing to ensure proper off-haul and disposal. Resolving these two of many unexpected site circumstances were essential before work could proceed and incurred significant costs and schedule delays.
The project also experienced periodic delays associated with seasonal weather impacts, holiday construction moratoriums, and temporary suspensions to accommodate major community events such as the annual Oakland Pride Parade and the Black Joy Parade. For the parades, the project team had directed the contractor to establish accessible and safe site conditions which entailed accelerating contractor’s work or removal of construction staging, thereby increasing project costs.
Construction progress continued to be affected by the ongoing coordination with utility agencies and other stakeholders. The project team remained actively engaged with external agencies such as PG&E, EBMUD, and BART to collaborate, address issues and advance the project towards reaching key milestones and deadlines. Coordination among all parties posed a challenge and affected the project schedule and costs, as the contractor rearranged typical orders of work due to pending utility adjustments.
As a result of these cumulative delays, the contract period of performance was extended from the original end date of 6/30/2023 to 12/31/2026 via a contract amendment.
The collective delays, changed conditions, and extended construction duration incurred additional costs for the contractor related to material and labor escalation, coordination, and construction operations.
Overall, the project costs are expected to increase by approximately 65% above the base contract. In accordance with Resolution 88604 CMS, the City Administrator is authorized to execute project change orders of up to 25% of the base contract ($1,609,787.19 for this contract). Several factors contributed to the increased project costs, including the previously unknown underground utilities, the unforeseen discovery of railroad ties, and unplanned temporary work suspensions. The proposed amendment increases the contract beyond the existing 25% change order capacity by 40%, for a total allowable change order amount of 65% of the base contract ($4,185,446.69). Staff is seeking this additional change order capacity to accommodate up-to-date project changes and additional unforeseen conditions that may arise between now and the completion of the project. The proposed amendment is necessary to complete construction of the project, for a revised contract total not to exceed the amount of $10,624,595.44
Please see Attachment B: Contract Change Order Trend Log for a summary of executed and pending change orders.

WAIVER RATIONALE
Staff request waiving advertising and competitive bidding selection requirements because it will allow completion of the project, maintain continuity, and avoid further costly delays and disruption during the middle of ongoing project construction.
RELATED PLANNING EFFORTS
Downtown Oakland Specific Plan
On July 16, 2024, City Council adopted the Downtown Oakland Specific Plan (Resolution No. 90377 C.M.S.), which prioritizes bicycle and pedestrian connectivity and safety improvements on 20th Street. The Project aligns directly with DOSP goals by closing a critical last-mile gap between the 19th Street BART station and Lake Merritt.
Let's Bike Oakland Bike Plan
In 2019, City Council unanimously adopted the Let's Bike Oakland Bike Plan (Resolution No. 87808 C.M.S.), which identified 20th Street as a priority corridor for upgraded bicycle facilities.
This Project delivers on this recommendation by constructing protected bike lanes and enhanced pedestrian facilities that physically separate people biking from vehicles.
Equitable Climate Action Plan (ECAP)
This Project directly supports ECAP (Resolution No. 88267 C.M.S.) transportation and land use policies and actions (TLU-6). By building protected bike lanes, widening sidewalks, and upgrading pedestrian crossings, the Project reduces automobile dependence, improves access to regional transit facilities like BART, and encourages low-carbon transportation modes.
FISCAL IMPACT
The construction contract agreement with GBI must be amended to support the completion of the project. To date, the project has approved and executed change orders totaling 20.65% of the base contract ($1,329,592.74) to address scope changes, cost escalations, and project delays. The current Contract Change Order (CCO) trend log anticipates that the total change orders will exceed the authorized CCO limit by 40% ($2,575,659.50). The CCO limit needs to be increased to 65% of the base contract, for a total contract amount not to exceed $10,624,595.44.

PUBLIC OUTREACH / INTEREST
Since the start of the design phase for the Project, the project team has actively engaged with local businesses and residents to provide feedback and guidance on the Project. In addition to the transit stakeholders such as AC Transit and BART, the City has also coordinated with Lake Merritt/Uptown Business Improvement District (BID) and Downtown Oakland Association to hold meetings presenting the existing conditions, related planning efforts, and a walking audit through the corridor to discuss and observe issues. Additional efforts for outreach included mailers sent to residences located within a proximity to the corridor as well as intercept surveys in the project area that yielded results that were in support for the project.
As the project has been under construction for the past five years including the various delays, it has been essential for the project team to keep the public informed through public notice letters, updated project information signs, and project updates via the City’s website and other communication channels. Given the traffic impacts during construction, ongoing stakeholder engagement and real-time communication remain priorities to minimize disruptions and maintain access.
COORDINATION
Staff worked with the Office of the City Attorney, the Budget Bureau, Oakland Public Works and Department of Workplace and Employment Standards on the contractor procurement of this Project and preparation of this report and legislation.
