OAKLAND CITY COUNCIL
RESOLUTION NO. C.M.S.
RESOLUTION (1) AUTHORIZING THE CITY ADMINISTRATOR TO AMEND THE AGREEMENT WITH MODAXO TRAFFIC MANAGEMENT INC. FOR
PARKING CITATION SYSTEM SOFTWARE, HARDWARE, AND RELATED SERVICES TO EXTEND THE TERM UP TO MARCH 31, 2028 FOR AN AMOUNT NOT TO EXCEED $5,279,143 OVER THE AMENDED TERM,
INCLUDING AUTHORIZATION TO PAY UP TO $1,347,328 IN OUTSTANDING INVOICES; AND (2) WAIVING THE COMPETITIVE MULTI-STEP
SOLICITATION PROCESS
WHEREAS, the City of Oakland’s (“City’s”) current parking enforcement and permit/citation management operations rely on a comprehensive software and services platform currently provided by Modaxo Traffic Management Inc. (Modaxo); and
WHEREAS, since 2018, the City has been in contract with Modaxo (and/or previously Conduent State & Local Solutions, Inc., which was acquired by Modaxo) for these services, and most recently entered into the third amendment to the original agreement to extend the services through April 1, 2026 (see Resolutions Nos. 87051, 87775, 89277, and 90825 C.M.S.); and WHEREAS, effective July 2026, responsibility for these services transitioned to the Finance Department, as part of the Fiscal Year (“FY”) 2026-27 Midcycle Budget, and the Finance Department is currently working to bring the associated processes, systems, and administrative functions up to speed and to ensure operational continuity; and
WHEREAS, the authority to extend the contract with Modaxo up to March 31, 2028 is necessary to maintain continuity of parking citation processing and revenue collection and avoid disruption to the City’s parking citation management system, including the collection of approximately $29.70 million in parking citation revenue anticipated in the Fiscal Year (“FY”) 2026-27 Midcycle Budget; and WHEREAS, the City’s parking enforcement and permit/citation management operations utilize Modaxo’s software and services platform, which integrates enforcement, payment, citation, and permit systems and provides related customer service and administrative functions, including correspondence, invoicing, and citation collections; and
WHEREAS, Modaxo will provide these services under the Fourth Amendment for the fees specified therein, estimated at approximately $5,279,143, inclusive of 1,347,328 in outstanding invoices for services provided through August 31, 2026, and as subject to final negotiations and reconciliation of prior invoices by the City Administrator; and

WHEREAS, sufficient funding is included and available in the Fiscal Year 2026–27 Midcycle Adopted Budget to support the required services for the current fiscal year, with funding included as an ongoing expenditure pending future budget adoptions; and WHEREAS, Oakland Municipal Code (“OMC”) section 2.04.042 requires that the City Administrator conduct a competitive multiple-step solicitation process for the acquisition of any computerized or information technology systems; and
WHEREAS, OMC section 2.04.042(D) provides that the City Council may waive the competitive process upon a recommendation of the City Administrator and finding and determination by the City Council that it is in the best interests of the City to waive the solicitation processes; and WHEREAS, staff recommends that it is in the best interest of the City to waive the multiple-step solicitation process for this extension because staff is developing a Request for Proposals (“RFP”) for a long-term parking management solution, and the proposed contract extension is necessary to provide sufficient time to complete the competitive procurement process and, if necessary, transition to a new or upgraded system without interruption to parking citation operations; now, therefore, be it, RESOLVED: That the City Council hereby authorizes the City Administrator to amend the agreement with Modaxo as needed for an extended term from April 2, 2026, up to March 31, 2028, and increase the contract by an amount not to exceed $5,279,143 over the fourth amended term, inclusive of 1,347,328 in outstanding invoices for services provided through August 31, 2026, as subject to final negotiations and reconciliation of prior invoices by the City Administrator; and be it -3-
FURTHER RESOLVED: That the City Council finds and determines that pursuant to OMC section 2.04.042(D), for the reasons stated above and in the City Administrator’s report accompanying this Resolution, it is in the best interests of the City to waive the competitive multiple-step solicitation process for the information technology products and services to be purchased under the proposed contract and so waives the requirements.
