FIRST AMENDMENT TO
COOPERATIVE AGREEMENT BETWEEN CITY OF VILLA PARK
AND CITY OF ORANGE FOR FUNDING AND CONSTRUCTION OF
THE EAST CERRO VILLA DRIVE IMPROVEMENT PROJECT
FROM VALLEY DRIVE TO RAMA STREET
This FIRST AMENDMENT to COOPERATIVE AGREEMENT BETWEEN CITY OF
VILLA PARK AND CITY OF ORANGE FOR FUNDING AND CONSTRUCTION OF
THE EAST CERRO VILLA DRIVE IMPROVEMENT PROJECT FROM VALLEY DRIVE TO RAMA STREET (“Cooperative Agreement”) is made so as to be effective as of the ______ day of _____________ 2024, by and between the CITY OF VILLA PARK, a municipal corporation (" VILLA PARK ") and CITY OF ORANGE , a municipal corporation ("ORANGE"), collectively the "Parties."
WHEREAS, the Parties have previously entered into the aforementioned Cooperative Agreement effective April 11, 2023; and
WHEREAS, upon receiving actual bids on July 31, 2024, the lowest responsive and responsible bidder was R.J. Noble Company, at the total bid of $511,702.70; and WHEREAS, as previously agreed upon , with a percentage of cost share of 16% , ORANGE’S cost share is $157,110; and
WHEREAS, VILLA PARK and ORANGE desire to enter into this First Amendment to the Cooperative Agreement pertaining to the addition of a new Paragraph 1 .3.1 and replacing Exhibit “B” with the attached Amended Exhibit “B”.
NOW, THEREFORE, VILLA PARK and ORANGE, in consideration of the mutual covenants and agreements herein contained, agree as follows:
1. Add following Paragraph 1.3.1 below Paragraph 1.3 of the Agreement:
1.3.1. Based on the lowest responsive and responsible bidder’s cost proposal (as shown on attached Amended Exhibit “B”), the total costs to Orange is One Hundred Fifty Seven Thousand and One Hundred Ten Dollars ($ 157,110).
2. Exhibit “B” of Agreement is replaced by attached Amended Exhibit "B”, actual lowest bid cost proposal, by R. J. Noble Company.
3. The Parties hereby agree that this First Amendment shall be incorporated into the Agreement as set forth in full therein. All other provisions of the Agreement not amended by the First Amendment shall remain in full force and effect and are unchanged by this First Amendment.
