SUBRECIPIENT AGREEMENT BETWEEN THE CITY OF ORANGE AND SHELTER PROVIDERS OF ORANGE COUNTY, INC. dba HOMEAID ORANGE COUNTY
This FIRST AMENDMENT TO FY 2024-2025 COMMUNITY DEVELOPMENT
BLOCK GRANT PROGRAM SUBRECIPIENT AGREEMENT BETWEEN THE CITY OF ORANGE AND THE SHELTER PROVIDERS OF ORANGE COUNTY, INC. DBA HOMEAID ORANGE COUNTY (“First Amendment”) is entered into as of JULY 1, 2024, by and between the CITY OF ORANGE, a municipal corporation (“ CITY”) and SHELTER PROVIDERS OF ORANGE COUNTY, INC. DBA HOMEAID ORANGE COUNTY (“SUBRECIPIENT”) with reference to the following:
A. CITY and SUBRECIPIENT entered into a FY 2024-2025 Community Development Block Grant Program Subrecipient Agreement Between the City of Orange and the Shelter Providers of Orange County, Inc. dba HomeAid Orange County (Agreement No. 7699), dated July 1, 2024 (the “AGREEMENT”); and
B. CITY and SUBRECIPIENT desire to amend the SUBRECIPIENT to reflect AMENDED BUDGET.
NOW, THEREFORE, the parties hereby agree as follows:
Section 1. Defined Terms. Except as otherwise defined herein, all quoted or capitalized terms used herein shall have the meanings set forth for such terms in the AGREEMENT.
Section 2. Cross-References. CITY and SUBRECIPIENT hereby agree that (a) all references in the AGREEMENT or this First Amendment are deemed and construed to refer to the AGREEMENT as amended by this First Amendment, and (b) all references in this First Amendment to any section or provision in the AGREEMENT are deemed and construed to refer to such section or provision of the AGREEMENT, as amended by this First Amendment.
Section 3. Revised Compensation. Section 2 of the AGREEMENT, “Compensation” is hereby corrected to reflect the amount of THIRTY-FOUR THOUSAND NINE HUNDRED NINETY SEVEN DOLLARS and 00/100 ($34,997.00).
Section 4. Integration. This First Amendment amends, as set forth herein, the AGREEMENT and, except as specifically amended hereby, the AGREEMENT shall remain in full force and effect. To the extent that there is any conflict or inconsistency between the terms and provisions of this First Amendment and the terms and provisions of the AGREEMENT, the
terms and provisions of this First Amendment shall control and govern the rights and obligations of the parties.
