Memorandum of Understanding
Between
The City of Orange
and
The GreaterOrangeCommunity Arts Theatre Foundation
This Memorandum of Understanding (" MOU") sets forth the mutual understanding between the City of Orange, a municipal corporation (" City") and The Greater Orange Community Arts Theatre Foundation, a California nonprofit corporation (" GOCAT") to facilitate fundraising by GOCAT for a Community Theater Venue.
Background
GOCAT is a California nonprofit 501(c)(3) corporation formed for the purpose of supporting the arts through programs, education andfacilities in the City.
The City lacks a suitable public or private Community Theater Venue.
GOCATseeksto fundthebuilding of a state-of-the-artaccessibleCommunityTheaterVenue that will servethe City' s youth and community by providing a community-level perfortning and fine arts venue.
The City owns Grijalva Park located at 368 N. Prospect Street (" Subject Property") which contains undeveloped land of sufficient size to support a Community Theater Venue.
The City values arts as an important educational and community resource that is compatible with the purpose and services already provided at Grijalva Park, and the City has identified GOCAT as a potential partner to develop a portion the Subject Property into a Community Theater Venue ( the " Project").
Purpose
This MOU provides a framework for GOCAT to pursue fundraising opportunities for the Project from major donors. The parties shall executeanAgreement for Fundraising Efforts setting for the terms and conditions for fundraising by GOCAT.
Renortin
GOCAT will provide updatesto the City on funding from major donors on an ongoing basis and every6 monthsataminimum.

The Ciiy is not responsible for providing any funding for the Project. All fundraising for the Project will be the responsibility of GOCAT.
Duration. Termination, Modification
The term of this MOU sha11 commence upon its execution and sha11 terminate on December 31, 2025, unless otherwise extended by mutual agreement of the parties. This MOU is at- will and may be terminated sooner by either party at any time without causeby giving ninety ( 90) days' written notice to the other party. This MOU may bemodified in writing, signedby the authorized official of eachparty.
