FIRST AMENDMENT TO AGREEMENT FOR NETWORK AND INTERNET
SERVICES
This First Amendment to the Agreement for Network and Internet Services (the "First Amendment") is made and entered into this 25th day of April, 2022, by and between THE CITY OF PACIFICA, a municipal corporation (hereinafter referred to as "CITY") and U.S. TelePacific Corp., a California corporation, d/b/a, TPx Communications, a Delaware corporation, with an address of 303 Colorado St., Suite 2075, Austin, TX 78701("TPx"). CITY and TPx may be collectively referred to as “Parties”.
RECITALS
WHEREAS, on September 10, 2018 the City Council approved a Master Service Agreement for Network and Internet Services for network and internet services for City operations, which included an Addendum that amended and modified the Master Service Agreement Terms and Conditions between the CITY and TPx (collectively referred to as “Agreement”); and
WHEREAS, the term of the Agreement was specified in the Agreement as thirty-six months (“Term”); and
WHEREAS, the CITY and TPx now desire to enter into this First Amendment to extend the Term of the Agreement an additional thirty-six months.
AGREEMENT
NOW, THEREFORE, for the considerations hereinafter set forth, CONSULTANT and CITY agree as follows:
1) The Term of the Agreement (as specified on page 2 of the Agreement and anywhere else the Term is identified) shall be amended from “thirty-six months” to “seventy-two months”, for a total Agreement term of 6 years (September 10, 2018 to September 10, 2025). 2) Unless specifically set forth in this First Amendment, all other terms and conditions of the Agreement shall remain in full force and effect.
IN WITNESS WHEREOF, the parties have executed this First Amendment as of the date set forth above.
