SECOND AMENDMENT TO AGREEMENT FOR PROFESSIONAL SERVICES
BETWEEN THE CITY OF PACIFICA
AND HINDERLITER, DE LLAMAS AND ASSOCIATES
THIS AMENDMENT to the existing Agreement, originally entered into November 12, 2019 (“Second Amendment”), is made and entered into this ___ day of _____________, 2022, by and between THE CITY OF PACIFICA, a municipal corporation, hereinafter called “CITY”, and HINDERLITER, DE LLAMAS AND ASSOCIATES, a California Corporation hereinafter called “CONSULTANT” or “HdL.” RECITALS:
WHEREAS, on November 12, 2019 the parties entered into an Agreement for the provision of Cannabis Management Services, for a term commencing November 12, 2019 through November 12, 2020 (“AGREEMENT”); and
WHEREAS, the parties subsequently amended the Agreement to extend the term for an additional two (2) years for a total term expiring three (3) years from the Effective Date of the Agreement; and WHEREAS, the CITY and CONSULTANT desire to do the following:
1. Extend the AGREEMENT term for an additional two (2) years for a total term of five (5) years
2. Provide a necessary price adjustment for successive years of the agreement
3. All other Terms and Conditions of the AGREEMENT are to remain the same.
NOW, THEREFORE, the parties agree to amend the AGREEMENT as follows; SECTION 1. Section 2 of the AGREEMENT, entitled “TERM” shall be replaced in its entirety to read as follows:
“2. TERM. The Agreement term will commence on the Effective Date and expire five (5) years from the Effective Date unless the Agreement term is amended to extend beyond the five (5) year term of the Agreement or the Agreement is terminated in accordance with its terms.” SECTION 2. Exhibit B “COMPENSATION” shall be replaced with the updated exhibit attached herein.
SECTION 3. All of the terms and conditions of the original AGREEMENT, except those specifically modified and amended herein in this Second Amendment, shall remain in full force and effect.
