SIXTH AMENDMENT TO AGREEMENT FOR CONSULTANT SERVICES
This Sixth Amendment to Agreement for Consultant Services (the "Sixth Amendment") is made and entered into this 1st day of July 2023, by and between THE CITY OF PACIFICA, a municipal corporation (hereinafter referred to as "CITY") and M-Group, a California Corporation (hereinafter referred to as "CONSULTANT").
RECITALS
WHEREAS, on July 22, 2016, CITY and Consultant entered into that certain agreement entitled “Agreement for Consultant Services” (“Agreement”) to provide on-call planning and related services; and
WHEREAS, on November 15, 2016, City and Consultant entered into a First Amendment to the Agreement; and
WHEREAS, on January 22, 2018, City and Consultant entered into a Second Amendment to the Agreement; and
WHEREAS, on December 4, 2018, City and Consultant entered into a Third Amendment to the Agreement; and
WHEREAS, on January 27, 2020, City and Consultant entered into a Fourth Amendment to the Agreement; and
WHEREAS, on July 12, 2021, City and Consultant entered into a Fifth Amendment to the Agreement; and
WHEREAS, City and Consultant now desire to enter into this Sixth Amendment to increase the Cost Ceiling in section 2.1 (“Compensation”) and extend the completion date identified in section 3.1 (“Effective Date”) of the Agreement.
AGREEMENT
NOW, THEREFORE, for the considerations hereinafter set forth, the parties hereby amend the Agreement as follows:
1. Section 2.1 of the Agreement, “Compensation” is hereby amended to read as follows:
Compensation. Compensation for the Services shall be in accordance with Exhibit A, Compensation, attached hereto and incorporated herein. It is agreed that the compensation for the Services shall not exceed $1,075,000 (“Cost Ceiling”).
2. Section 3.1 of the Agreement, “Effective Date” is hereby amended to read as follows:
Effective Date. This Agreement shall become effective upon execution of the second signature and shall remain in full force and effect until the Services are completed (the “Term”). CONSULTANT agrees to complete all services by June 30, 2025. - 2 -
3. Agreement in Effect. Except as amended by this Sixth Amendment, the Agreement shall remain in full force and effect.
4. Counterpart Signatures. This Sixth Amendment may be signed in multiple counterparts which, when signed by all parties, shall constitute a binding agreement.
