THIRD AMENDMENT TO AGREEMENT FOR CONSULTANT SERVICES
This Third Amendment to Agreement for Consultant Services (the "Third Amendment") is made and entered into this 5th _ day of October 2022, by and between THE CITY OF PACIFICA, a municipal corporation (hereinafter referred to as "CITY") and Good City Company, a California Corporation (hereinafter referred to as "CONSULTANT").
RECITALS
WHEREAS, on October 16, 2020, CITY and CONSULTANT entered into that certain agreement entitled "Agreement for Consultant Services" ("Agreement") to provide on-call planning services and related services; and
WHEREAS, on February 1, 2022, CITY and CONSULTANT entered into a First Amendment to that Agreement to increase the Cost Ceiling and extend the Term under the Agreement; and
WHEREAS, on June 27, 2022, the City Council authorized CITY and CONSULTANT to enter into a Second Amendment to that Agreement to increase the Cost Ceiling and extend the Term under the Agreement; and
WHEREAS, CITY and CONSULTANT now desire to enter into this Third Amendment to increase the Cost Ceiling in section 2.1 ("Compensation"') and extend the Term in section 3.1 ("Effective Date") of the Agreement.
AGREEMENT
NOW, THEREFORE, for the considerations hereinafter set forth, the parties hereby amend the Agreement as follows:
1. Section 2.1 of the Agreement, "Compensation" is hereby amended to read as follows:
Compensation. Compensation for the Services shall be in accordance with Exhibit A, Compensation, attached hereto and incorporated herein. It is agreed that the compensation for the Services shall not exceed $320,000 ("Cost Ceiling").
2. Section 3.1 of the Agreement, "Effective Date" is hereby amended to read as follows:
Effective Date. This Agreement shall become effective upon execution of the first signature and shall remain in full force and effect until the Services are completed (the "Term"). CONSULTANT agrees to complete all services by June 30, 2024.
3. Agreement in Effect. Except as amended by this Third Amendment, the Agreement shall remain in full force and effect.
4. Counterpart Signatures. This Third Amendment may be signed in multiple counterparts which, when signed by all parties, shall constitute a binding agreement.
IN WITNESS WHEREOF, the parties have executed this Agreement as of the date set forth above.
