MASTER AGREEMENT FOR CONSULTANT SERVICES
AMENDMENT NO. 1
This AMENDMENT NUMBER 1 is entered into as of the 3rd day of May 2024 (“Amendment No. 1”), by and between the CITY OF PACIFICA, herein called the “City,” and CAROLLO ENGINEERS INC. hereinafter called the “Consultant.” City and Consultant may be referred to individually as “Party” and collectively as “Parties”.
RECITALS
A. WHEREAS, City and Consultant entered into a Master Agreement for Consultant Services on August 9th, 2022 for professional design services for the City’s Ultraviolet Disinfection System Replacement Project (P034) – Engineering Design Services; and B. WHEREAS the Master Agreement identified an end of term date in Section 3.1 as December 31, 2024; and
C. WHEREAS, the Parties desire to extend that date to December 31, 2026.
AGREEMENT
A. Amendment. The Parties agree that the Master Agreement shall be amended as set forth below.
1. Section 3.1 “Effective Date”. This Agreement shall become effective upon execution of the second signature and shall remain in full force and effect until December 31, 2026 (the “Term”). Work authorized by a Task Order shall be performed in accordance with the schedule set forth in the Task Order.
2. Agreement in Effect. All other provisions of the original Master Agreement, except as amended herein, shall remain in full force and effect. [Signatures on Next Page]
