FIRST AMENDMENT TO AGREEMENT FOR CONSULTANT SERVICES
This First Amendment to Agreement for Consultant Services (the "First Amendment") is made and entered into this 4th day of June 2024, by and between THE CITY OF PACIFICA, a municipal corporation (hereinafter referred to as "CITY") and Dyett & Bhatia Urban and Regional Planners, a California corporation (hereinafter referred to as "CONSULTANT").
RECITALS
WHEREAS, on May 23, 2023, CITY and CONSULTANT entered into that certain agreement entitled “Agreement for Consultant Services” (“Agreement”) to provide environmental and related services in connection with the 2023-2031 Housing Element Update; and WHEREAS CITY and CONSULTANT now desire to enter into this First Amendment to expand the Scope of Work in Section 1.1 (“Scope of Work”), increase the Cost Ceiling in section
2.1 (“Compensation”) by $44,459, and extend the Term in section 3.1 (“Effective Date”) of the Agreement.
AGREEMENT
NOW, THEREFORE, for the considerations hereinafter set forth, the parties hereby amend the Agreement as follows:
1. Section 1.1 Scope of Work. CONSULTANT agrees to furnish the services set forth in Exhibit A, Scope of Work, which is attached hereto and incorporated herein (the “Services”).
2. Section 2.1 of the Agreement, “Compensation” is hereby amended to read as follows:
Compensation. Rates charged for Services shall be in accordance with Exhibit A, attached hereto and incorporated herein. It is agreed that the total compensation for the Services shall not exceed $262,662 (“Cost Ceiling”).
3. Section 3.1 of the Agreement, "Effective Date" is hereby amended to read as follows:
Effective Date. This Agreement shall become effective upon execution of the second signature and shall remain in full force and effect until the Services are completed (the 'Term"). CONSULTANT agrees to complete all services by June 30, 2026.
4. Agreement in Effect. Except as amended by this First Amendment, the Agreement shall remain in full force and effect.

5. Counterpart Signatures. This First Amendment may be signed in multiple counterparts which, when signed by all parties, shall constitute a binding agreement.
