FIRST AMENDMENT TO TASK ORDER NO. 4
CITY OF PACIFICA AND HINES EDM
SCANNING OF CITY CLERK FILES - RECORDED PROPERTY RECORDS This First Amendment to the Agreement Task Order No. 4 for Consultant Services (the "First Amendment) is made and entered into this 8th_day of July, 2024, by and between THE CITY OF PACIFICA, a municipal corporation (hereinafter referred to as "CITY") and Hines EDM ("Consultant"), a California corporation (hereinafter referred to as "CONSULTANT").
RECITALS
WHEREAS, on August 9, 2021, the CITY and CONSULTANT entered into that certain agreement entitled "Master Agreement for Consultant Services" ("Agreement") to provide scanning and digitization and related services in conjunction with the CITY'S Records and Information Management Program Policy; and
WHEREAS, on July 1, 2023, the CITY and CONSULTANT entered into the First Amendment to the Agreement to extend the term reflected in Section 3.1 "Effective Date" for completion of the services to June 30, 2024, and to amend Section 2.1 "Compensation" to increase the not-to-exceed total compensation for all services provided under the Agreement to not-to-exceed $150,000; and
WHEREAS, on April 14, 2024, the CITY and CONSULTANT entered into that certain Task Order entitled "Task Order No. 4 - City of Pacifica and Hines EDM" ("Task Order No. 4") to direct CONSULTANT to proceed with scanning services related to City Clerk Files - Recorded Property Records as specified in the scope of work; and WHEREAS, CITY and CONSULTANT now desire to enter into this First Amendment to Task Order No. 4 to increase the not-to-exceed total compensation for all services provided under Task Order No. 4 from $2,000 to $6,000; and
WHEREAS, CITY and CONSULTANT desire to extend the term reflected in Section 4 "Effective Date" for completion of the services from June 30, 2024 to August 30, 2024 consistent with the Second Amendment to the Master Agreement.
AGREEMENT
NOW, THEREFORE, for the considerations hereinafter set forth, CONSULTANT and CITY amend Task Order No. 4 as follows:
1. Section 3 of the Task Order No. 4 "COMPENSATION" is deleted and hereby amended to read in its entirety as follows:
SECTION 3 - COMPENSATION. Compensation shall be provided in the MASTER AGREEMENT. Compensation for services under this Task Order shall be set forth in Attachment "B" = Compensation, which is attached to hereto, and incorporated by this reference. Total compensation for all services provided under this Task Order shall not exceed $6,000 ("Cost Ceiling").
2. Section 4 of the Task Order No. 4 "SCHEDULE OF PERFORMANCE" is deleted and hereby amended to read in its entirety as follows:
SECTION 4 - SCHEDULE OF PERFORMANCE. The services described in SECTION 2 of this Task Order shall be completed by August 30, 2024, or as extended in writing by the City Manager.
3. Except as expressly modified herein, all other terms and provisions of Task Order No. 4 shall remain unmodified and in full force and effect.
IN WITNESS WHEREOF, the parties have executed this First Amendment to Task Order No. 4 as of the date set forth above.
