CONSULTANT SERVICES AGREEMENT
AMENDMENT No. 1 to TASK ORDER No. 1
This AMENDMENT NUMBER 1 to Task Order No. 1 is entered into as of the 23rd day of September 2024, by and between the CITY OF PACIFICA, herein called the “City,” and Cotton, Shires Associates, herein called the “Consultant.”
RECITALS
A. City desired to obtain professional design and environmental engineering services for the 310-330 Esplanade Infrastructure Preservation Project (“Project”), and for that purpose entered into a Consultant Services Agreement with Consultant dated September 24, 2018 (“Original Agreement”), by which City hired Consultant to provide professional design and environmental engineering services for the Project.
B. On September 24, 2018, the City and Consultant executed Task Order No. 1 for a total maximum compensation amount not to exceed $620,046 (“Task Order No. 1”).
C. City desires to amend the Compensation and Payment and Time of Performance sections of Task Order No. 1.
D. Consultant hereby warrants to the City that Consultant is skilled and able to provide such services described in this Amendment No. 1.
E. City desires to authorize Consultant to modify the services described in this Amendment No. 1 of the subject project per the attached scope.
AGREEMENT
A. Amendment. The Parties agree that Task Order No. 1 shall be amended as set forth below.
1. Section 3 “Compensation and Payment”.
A. Compensation. The compensation to be paid to Consultant, including both payment for professional services and reimbursable expenses, shall be at the rate and schedules set forth in this Amendment No. 1. The total combined compensation for the Original Agreement and Task Order No. 1 shall be increased by $197,355 for a maximum not to exceed amount of eight hundred seventeen thousand four hundred and one dollars ($817,401.00).
2. Section 4 “Time of Performance”. The services described in Task Order No. 1 along with the addition of work attached hereto as Exhibit A shall be completed by September 30, 2028.

3. Agreement in Effect. All other provisions of the Original Agreement and Task Order No. 1 not specifically amended herein shall remain in full force and effect.
IN WITNESS WHEREOF, the City and Consultant have executed this Amendment No. 1 to Task Order No. 1 as of the date first written above.
