NINTH AMENDMENT TO AGREEMENT FOR CONSULTANT SERVICES
This Ninth Amendment to Agreement for Consultant Services (the "Ninth Amendment") is made and entered into this 12th day of May 2025, by and between THE CITY OF PACIFICA, a municipal corporation (hereinafter referred to as "CITY") and Good City Company, a California Corporation (hereinafter referred to as "CONSULTANT").
RECITALS
WHEREAS, on October 16, 2020, CITY and CONSULTANT entered into that certain agreement entitled “Agreement for Consultant Services” (“Agreement”) to provide on-call planning services and related services; and
WHEREAS, on February 1, 2022, the City Council authorized CITY and CONSULTANT to enter into a First Amendment to that Agreement to increase the Cost Ceiling and extend the Term under the Agreement; and
WHEREAS, on June 27, 2022, the City Council authorized CITY and CONSULTANT to enter into a Second Amendment to that Agreement to increase the Cost Ceiling and extend the Term under the Agreement; and
WHEREAS, on October 5, 2022, the City Council authorized CITY and CONSULTANT to enter into a Third Amendment to that Agreement to increase the Cost Ceiling and extend the Term under the Agreement; and
WHEREAS, on January 9, 2023, the City Council authorized CITY and CONSULTANT to enter into a Fourth Amendment to that Agreement to increase the Cost Ceiling of the Agreement; and
WHEREAS, on August 14, 2023, the City Council authorized CITY and CONSULTANT to enter into a Fifth Amendment to that Agreement to restate the Scope of Work and to increase the Cost Ceiling of the Agreement; and
WHEREAS, on April 8, 2024, the City Council authorized CITY and CONSULTANT to enter into a Sixth Amendment to that Agreement to increase the Cost Ceiling; and WHEREAS, on June 10, 2024, the City Council authorized CITY and CONSULTANT to enter into a Seventh Amendment to that Agreement to extend the Term under the Agreement; and
WHEREAS, on January 12, 2025, the City Council authorized CITY and CONSULTANT to enter into an Eighth Amendment to that Agreement to increase the Cost Ceiling of the Agreement; and

WHEREAS CITY and CONSULTANT now desire to enter into this Ninth Amendment to increase the Cost Ceiling in section 2.1 (“Compensation”) of the Agreement.
AGREEMENT
NOW, THEREFORE, for the considerations hereinafter set forth, the parties hereby amend the Agreement as follows:
1. Section 2.1 of the Agreement, "Compensation" is hereby amended to read as follows:
Compensation. Rates charged for Services shall be in accordance with Exhibit A, attached hereto and incorporated herein. It is agreed that the compensation for the Services shall not exceed $802,500 (“Cost Ceiling”).
2. Agreement in Effect. Except as amended by this Ninth Amendment, the Agreement shall remain in full force and effect.
3. Counterpart Signatures. This Ninth Amendment may be signed in multiple counterparts which, when signed by all parties, shall constitute a binding agreement.
